ADDENDUM
BASIS OF AWARD
The Government intends to make an award to each and all qualifying offerors. A qualifying offeror is an offeror who is determined to be a responsible source, who submits an Acceptable technical proposal and conforms to the requirements of the solicitation, and who submits Acceptable past performance. Technical and Past Performance will be evaluated, which are equal in importance.
A written award or acceptance of offer emailed to the successful offerors within the time for acceptance specified in the offer shall be deemed to result in a binding contract without further action by either party.
The minimum guaranteed amount is $100.00 for the Contractor’s Quality Control Plan and will be awarded promptly at award of this MA/IDIQ Contract
This solicitation is 100% Total Small Business Set-aside.
Past Performance:
Offerors shall submit three (3) recent examples of Government and/or commercial contracts awarded during the past three years, from the issue date of this RFP, which are relevant to the efforts required by this RFP. The Government may consider a wide array of information from a variety of sources, but is not compelled to rely on all of the information available.
The past performance factor considers each offeror’s demonstrated recent and relevant record of performance in supplying products and services that meet the contract requirements.
The offeror must maintain a current and active registration in the System for Award management (SAM) website:
https://www.sam.gov, and must have no “ Active Exclusions” or “Debt Subject to Offset” in order to receive an award of a Task Order.
NOTE: Price will not be an evaluated Factor for the basic MA/IDIQ Contract Award. Price will be evaluated at the Task Order level. Task Order pricing will be firm fixed-price.

Emails not including all of these items MAY not be accepted.
Emails not received by the date and time specified in the solicitation or not providing all of the required documentation, may not be considered for award. It is the responsibility of the Offeror to verify that the email, to include all attachments, was received by the date and time specified in the solicitation.

If multiple emails are sent, emails must be marked 1 of 2, 2 of 2, etc. To be considered for award, the offeror's complete proposal, including all attachments, must be received in the email Inbox of the Contract Specialist identified in this solicitation before the closing date and time. If a complete proposal, including all attachments, does not appear in the email inbox of the Contract Specialist identified in this solicitation before the closing date and time, then it is not received, and the offeror's entire proposal is late and will not be considered for award. If the offeror does not receive written confirmation of receipt from the Contract Specialist before the closing date and time, it is the responsibility of the offeror prior to closing of the solicitation to contact the Contract Specialist identified above to confirm their not timely delivered to the Contract Specialist's email Inbox because of an issue with the offeror's or the Government's service providers, to include email maintenance, firewall or delivery to any other email box (e.g.

MULTIPLE AWARD IDIQ
1. PURPOSE AND SCOPE
1.1.The purpose of this Multiple Award (MA), five (5) year Indefinite Delivery/Indefinite Quantity (IDIQ) Contract in accordance with the Performance Work Statement (PWS).
1.2.As requirements develop, Requests for Proposals (RFP) for Task Orders will be issued on a competitive basis, at the Government's discretion. Task Orders will vary in size and will be awarded and issued by the individual Task Orders awarded and administered by duly appointed federal Contracting officers.
1.3.The minimum guaranteed amount is $100.00 for the Contractor’s Quality Control Plan and will be awarded promptly at award of this MA/IDIQ Contract.
1.4.While within the confines of Tobyhanna Army Depot, contractor employees will adhere to and be governed by all rules, regulations, policies, procedures and directives issued by the Commanding Officer, Tobyhanna Army Depot, and said employees will be required to conduct themselves in the same manner required of Government employees.
1.5.This Section contains significant information pertaining to the rules, regulations, policies, and procedures of this MA/IDIQ contract.
2. ORDERING PERIODS
2.1 Ordering Periods:
2.1.1 Each contract awarded under the MA/IDIQ will have a five (5) year ordering period.
2.1.2 The minimum guaranteed amount is $100.00; the maximum value of all requirements ordered under this MA/IDIQ contract will not exceed $21,000,000.00 over the five-year ordering period.
3. TASK ORDER LIMITATIONS (Reference FAR 52.216-19)
3.1 Minimum Order. When the Government requires services covered by this contract in an amount less than the minimum Task Order limitation of $100.00 the Government is not obligated to purchase, nor is the contractor obligated to furnish, those services under the contract.
3.2 Maximum Order. The maximum Task Order limitation is limited to $750,000.00. The Government may combine several requirements, as indicated by separate PWS and individual line items, in one Task Order, as required.
3.3 This is not a requirements contract.
4. ORDERING PROCEDURES FOR COMPETITIVE TASK ORDERS
4.1 Requests for Proposals (RFP) / NOTICE OF PROPOSED REQUIREMENT
4.1.1 When the Government requires work under the MA/IDIQ, an RFP will be issued, as appropriate, normally in the form of a letter “NOTICE OF PROPOSED REQUIREMENT,” sent electronically to all MA/IDIQ contractors.
Requirements will be of varying size and complexity. The request will include information such as drawings and any other requirements for submission (e.g. proposal requirements, delivery schedule, etc.).
4.1.2 The basis for award for each Task Order will be stated in each RFP. Each Task Order will be awarded based on Best Value/Trade-off. The following evaluation criteria will be considered: Price, Past Performance or Delivery Schedule.
4.2 Response to NOTICE OF PROPOSED REQUIREMENT
4.2.1 Notification will be through email. MA/IDIQ contractors shall keep an up-to-date email address on file with the Contracting Officer at all times. Backup addresses are encouraged. Upon receipt of the notification, the MA/IDIQ contractors shall acknowledge receipt of the offering by a return email. A Contracting Officer may make only one attempt to email a proposal offering to a MA/IDIQ contractor. No other means of notification will normally be used. The Government will not be responsible for lack of notification(s) for contractors who fail to maintain current email addresses, or acknowledge offerings.
4.2.2 MA/IDIQ contractors are expected to submit an offer on all requirements offered. In the event a contractor is unable to submit an offer in response to a “NOTICE OF PROPOSED RQUIREMENT”, hereafter referred to as RFP, the contractor shall notify the Contracting Officer electronically via e-mail, normally within 5 days.
4.2.3 In the event a contractor fails to submit an offer on a reasonable number of requirements offered, as determined by the Contracting officer, the Contracting Officer will notify the contractor when their offer record indicates an unacceptable number of offerings. In the event the contractor fails to correct this situation, the Government reserves the right to unilaterally cancel the contractor’s MA/IDIQ basic contract without further obligation.
4.2.4 At no time will the contractor be reimbursed for proposal preparation costs.
4.3 Task Order Competition.
4.3.1 To satisfy the contracting agency’s Small Business Administration contracting goals/targets, the Contracting Officer may consider such factors as achievement of Section 8(a), Service Disabled Veteran Owned Business and HUB Zone goals/targets. Individual requirements may be further set-aside for participation exclusively by all awardees in the specified socio-economic group.
4.3.2 All eligible MA/IDIQ contractors, unless a Task Order is set-aside for a specified socio-economic group, will be provided a fair opportunity to compete for each requirement offered under this contract unless the following (FAR 16.505(b) (2)) exceptions apply.
A) The agency’s need for the services is of such urgency that providing such opportunity to all such contractors would result in unacceptable delays;
B) Only one such contractor is capable of providing the servicess at the level of quality required because the services needed are unique or highly specialized;
C) The Task Order should be issued on a sole source basis in the interest of economy or efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity pursuant to the procedures in this clause to be considered for the original order; or
D) It is necessary to place an order to satisfy a minimum guarantee.
E) For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.
F) In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), Contracting Officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply.
4.3.3 The Contracting Officer may consider such factors that the Contracting Officer, in the exercise of sound business judgment, believes are relevant to the placement of orders.
4.3.4 Timely performance by a MA/IDIQ contractor is very important. Failure to prosecute the work diligently on a currently awarded Task Order may be cause for the Contracting Officer not to include the contractor in the competitive fair-opportunity pool for future Task Orders. When the contractor’s delinquency has been cured, it will be considered for competition in future Task Orders.
4.3.5 In the event the contractor has been determined to have unsatisfactory past performance, under the MA/IDIQ contract, the Contracting officer will notify the contractor of the unsatisfactory performance. Unsatisfactory past performance may result in the contractor not receiving future awards under the MA/IDIQ contract.
4.4 Proposal Contents.
4.4.1 The basis of award of each Task Order will be stated in the RFP. Depending upon the requirements of each Task Order, the contractor will be required to provide a price proposal in response to the RFP in addition to any other information required in the RFP. Contractors shall respond within the number of calendar days stated in the RFP by submitting a proposal to the Contracting Officer in accordance with requirements stated in the RFP.
4.4.2 Deviations and Alternate Proposals. Offerors shall specifically identify all deviations from the minimum RFP requirements in a cover letter in a section entitled "Alternate Proposal” or “Deviations." This requirement applies for all proposal revisions and Final Proposal Revisions. Proposed alternates/deviations shall specifically address in detail the alternate and rationale for proposing. Alternate solutions and deviations shall include separate pricing information. If an alternate/deviation is proposed, the work as specified in the solicitation must also be priced.
4.4.3 The non-cost factors and price factors will vary depending on the unique requirements for each Task Order. In addition to price, the RFP may indicate, in the offering, other factors (Past Performance and/or Delivery schedule considerations) that will be considered in the evaluation of offers.
4.4.3.1 Past Performance, within a three (3) year period, on previously awarded Task Orders under the MA/IDIQ or work on any awards completed for Tobyhanna Army Depot will be considered as well as relevant performance evaluations at any location accessible in Government Performance databases. Past performance will be evaluated in terms of quality, timeliness, management effectiveness or other factors that the Contracting Officer determines to be relevant to award on a particular Task Order
4.4.3.2 Delivery Schedule will be evaluated as meeting or exceeding the required delivery schedule for each Task Order.
4.5 Task Order Evaluation Method and Procedures
4.5.1 The Government intends to select the most advantageous, responsive, and responsible proposal, price and other factors considered. Each RFP will describe the criteria to be utilized in evaluating Task Order proposals.
4.5.2 Discrepancies in the Evaluation of Offers Submitted in Response to RFPs for Individual Task Orders.
4.5.2.1 For the purpose of initial evaluations of offers proposed for individual Task Order, the following will be utilized in resolving arithmetic discrepancies found on the face of pricing schedule as submitted by the Offeror: (1) Obviously misplaced decimal points will be corrected; (2) Discrepancy between unit price and extended price, the unit price will govern; (3) Apparent errors in extension of unit prices will be corrected.
4.5.2.1.1For purposes of price evaluation, the Government will proceed on the assumption that the Offeror intends the proposed price to be evaluated on basis of the unit prices, the totals arrived at by resolution of arithmetic discrepancies as provided above.
4.5.2.1.2These correction procedures shall not be used to resolve any ambiguity concerning which price is low.
4.5.3 The right is also reserved to reject any and all offers.
4.6 Award Decision
4.6.1 Whenever possible, award will be made without discussions.
4.6.2 If discussions are required, each MA/IDIQ contractor will be requested to provide a final proposal revision, unless eliminated from discussions through the establishment of a competitive range.
4.6.3 If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
4.6.4 The basis for award for each Task Order will be stated in each RFP. Each Task Order will be awarded based on Best Value/Trade-off. The following evaluation criteria will be considered: Price, Past Performance or Delivery Schedule. The Government will examine price proposals. Offers found to be unreasonably high, unrealistically low, or unbalanced, may be considered unacceptable.
4.6.5 The award will be a firm fixed-priced Task Order with a specific delivery date.
4.7 Task Order Issuance
4.7.1 Task Orders will be issued on a SF-1449. Orders will be placed via email. No oral task orders are authorized.
The appropriate issuing, administration, and payment offices will be cited on each Task Order.
4.7.2 The contractor will be provided an electronic copy of the PWS (with specifications and drawings as applicable) upon issue of each Task Order. All further reproduction shall be at the contractor's expense. The Government will provide these as e-mail.
5. ORDERING (REFERENCE FAR 52.216-18)
5.1 Any services to be furnished under this contract will be ordered by issuance of Task Orders by the individuals or activities designated in this contract. Only Federal Contracting Officers, at ACC-APG, Tobyhanna Division, are authorized to issue orders under the MA/IDIQ contract within the individual’s warrant levels. A copy of each Task Order ((SF-1449), and modification (SF 30 only) with funding information) issued shall be provided to the successful contractor at time of execution.
5.2 Task orders may be issued from date of contract award until the last day of the basic contract ordering period.
The total term of the contract may not exceed five years. However, Task Orders issued during the contract period may be completed, in accordance with the terms of the Task Order, after the contract ordering period has expired.
5.3 All Task Orders are subject to the terms and conditions of this contract. In the event of conflict between a Task Order and this contract, the contract will control. The Government reserves the right to incorporate additional clauses, as appropriate, into individual Task Orders solicitations and awards.
5.4 Ombudsman. If the contractor believes it was not fairly considered for a particular Task Order, the contractor may present the matter to the Contracting Officer. The contractor may appeal the explanation or decision of the Contracting Officer to the Ombudsman. The Special Competition Advocate, Small Business Administration (SBA) office, ACC-APG (443) 861-4844) acts as the Ombudsman. The Ombudsman will review the contractor's complaint, and in coordination with the Contracting Officer, verify that the contractor was afforded a fair opportunity to be considered for the Task Order.
ACWS
The Army Contracting Enterprise (ACE) is in the process of deploying new solicitation and contract writing software to Army contracting offices worldwide. Known as the Army Contract Writing System (ACWS), this modern software suite will soon replace most existing Army contract writing systems, including the system used to create and release this Solicitation.
During this transition period, Offerors are hereby advised:
The Contracting Office may use any combination of contract writing systems to create and release documents related to this solicitation (e.g. solicitation amendments and awards, if any). Due to this:
This solicitation may contain different offer submission instructions than other solicitations released by the same Contracting Office (e.g. requiring offer submission via the PIEE Solicitation Module vs. e-mail). Offerors should review all offer submission instructions contained in the solicitation documents and direct any questions or concerns to the Contract Specialist or Contracting Officer.
If the Contracting Office switches contract writing systems prior to award, documents you receive from the Contracting Officer or view on SAM.gov or other forums may appear noticeably different than the initial solicitation or previous solicitations or awards from the same Contracting Office. This is normal and expected.
A change between contract writing systems may cause important information concerning solicitation response (amendments) or accepted terms (awards) to take on different formatting or appear in different parts of later documents issued. Offerors shall review all documents carefully to locate this important information and direct any questions or concerns to the Contract Specialist or Contracting Officer.
The Government does not intend to use the transition between contract writing systems to effect any changes to solicitation or award terms and conditions without accompanying document narratives explicitly stating such changes are deliberate and desired. While the Contract Specialist and Contracting Officer will take care to minimize or eliminate any inadvertent changes when adapting to the new contract writing software, you, as the Offeror, may still be the first to spot such errors. Therefore, Offerors shall:
Notify the Contracting Officer immediately if any observed changes, removals, or additions affect your award eligibility, violate or alter existing quote/proposal terms, or could affect Contract performance post-award.
Take special care to ensure all fill-in Clauses are populated and remain populated across documents received from the Contracting Office throughout the Solicitation and Award process.
Contact the Contracting Officer listed on the first page of the solicitation or solicitation amendment for guidance if you notice or suspect any inadvertent change has occurred between document issuances.
The Contracting Officer will correct problems affecting award documents (if any) via bilateral modification, at no cost to the Contractor. Any such modification will reconcile the award with the latest version of this solicitation reflecting deliberate action by the Contracting Officer (e.g. the first issuance if no amendments, or the latest amendment with accompanying narratives), inclusive of any documented pre-award negotiations or accepted supplemental offer terms.
In the unlikely event a network disruption, contract writing system error, or financial system error threatens timely award of the requirement set forth in this solicitation, the Contracting Officer:
May elect to use alternative mechanisms to obligate funds and allow work or deliveries to legally begin to the benefit of, and with legal protection for, both parties.
Will incorporate the latest version of this Solicitation into such mechanisms to serve as a framework for contract execution until any such system problems are resolved.
Will ensure any action taken does not conflict with the stated offer evaluation and award methodology of this requirement.
Will issue a complete, properly-formatted award accurately reflecting this requirement and all applicable terms and conditions once systems return to normal.
