About this file
This is an addendum to a Request for Proposals issued by MMCAP Infuse, the Department of Administration/OSP, for the distribution of vaccines and vaccine-related products. The RFP seeks qualified distributors to supply flu vaccines, COVID vaccines, and related products to MMCAP member states. The addendum, issued on May 7, 2024, provides clarifications to questions submitted by prospective responders, with proposals due on May 21, 2024, at 2:00 PM Central Time. MMCAP Infuse intends to issue contracts with an initial term of two years, with options to extend for three additional one-year periods upon mutual agreement. The State of Minnesota reserves the right to award the solicitation to a single responder or multiple responders, or to cancel the solicitation if deemed in its best interest.
Key clarifications in the addendum address operational and contractual matters, including confirmation that exhibit designations refer to page 26 of the RFP, clarification that Member Fee details will be documented in Member-requested Participation Addendums (MPAs), and confirmation that separate MPAs are required for different contract categories. The addendum specifies that monthly Raw and Adjusted Fill Rate Reports are required from vendors, that members are responsible for notifying vendors of federal fund usage, and that all responsibility for RFP compliance lies with the responder. Administrative fees of 3% apply to both flu and vaccine categories, though negotiation is possible for awarded responders. Responders must submit a redlined Exhibit B (Agreement Template) for their proposal to be considered complete, and all terms, including fees and reporting requirements, are subject to negotiation with awarded responders.

RFP Title: Distribution of Vaccines and Vaccine-related Products
Scope of Addendum
The following are answers to questions submitted to MMCAP Infuse:
1. Question: We would use current accounts when customers order Flu vaccine and other vaccines from distributor. Is MMCAP expecting distributor to create separate “Vaccine” accounts for existing customers?
Answer: For awarded Responders, this would be subject to the negotiations.
2. Question: Certain items on the spreadsheet are covered under the current (and future) MMCAP distributor/wholesaler agreement. Are those items able to remain under the wholesaler agreement, and distributor contracts separately for flu and covid vaccines?
Answer: For awarded Responders, this would be subject to the negotiations.
3. Question: For states that currently have an MPA, will a separate MPA be needed for the MMCAP
RFP/Wholesaler and the Vaccine contracts?
Answer: Yes, MPAs (Member-requested Participation Addendums) are tied to a specific MMCAP Infuse agreement.
4. Question: Will distributor need to send separate sales reports for the vaccine sales data and the normal MMCAP distributor/wholesaler contract sales?
Answer: For awarded Responders, this will be subject to the negotiations. Sales reporting is required of MMCAP Infuse contracted vendors.
5. Question: In years past, MMCAP has offered three, one-year extensions by mutual consent upon expiration. Will this be the same for the resulting contract?
Answer: MMCAP Infuse intends to issue contracts for an initial term of two years with an option to extend an additional three, one-year periods, upon mutual agreement of the parties.
6. Question: Historically, MMCAP has awarded multiple Vendors. Will MMCAP award multiple Vendors in response to this RFP? If so, is there a designated number of Vendors that MMCAP plans to award?
Answer: MMCAP Infuse reserves the right to award this solicitation to a single Responder, or to multiple Responders, and the State of Minnesota reserves the right to cancel this solicitation if it is considered in its best interest.
7. Question: Statement number three on page six (6) requires that Responders have a relationship with at least ten of the listed suppliers in Exhibit F. The RFP does not contain an Exhibit F, however there is a list of suppliers on Attachment F. Are the suppliers referenced on Attachment F the suppliers with which the Responder must have a relationship? Alternatively, is the RFP missing Exhibit F?
Answer: Exhibit F is located on page 26 of the RFP. Be sure to distinguish between Exhibit F of the RFP and Attachment F of the Agreement Template (Exhibit B).
8. Question: Article I, Paragraph 1.2 states that, "The fees will be set aside and paid to the Member as detailed in a form provided and approved by MMCAP Infuse." Please clarify what is meant by "form."
Answer: A Member Fee would be detailed and accounted for in an MPA (Member-requested Participation Addendum). The form of remitting and reporting the Member Fee would vary based on the needs of the requesting Member and would be outlined in the respective MPA.
9. Question: As per the definition of Administrative Fee in the RFP it appears that the 3% percent
Administrative Fee applies to both the Flu and Vaccine category offerings. Is MMCAP open to negotiation on the final percentages for each category or is it expected to be the same for both categories?
Answer: For awarded Responders, this will be subject to the negotiations.
10. Question: If awarded, will the Responder and MMCAP negotiate the redlined terms of the Agreement
Template in order to execute a final Agreement? If not, how will MMCAP provide notice to Responder regarding the acceptance or rejection of redlined terms?
Answer: All Responders will be notified by email from MMCAP Infuse RFP Inbox (mmcap_infuse.rfp@state.mn.us) once the evaluation phase is complete. MMCAP Infuse expects to receive a redlined Exhibit B: Agreement Template for your proposal to be considered complete. The acceptance and rejection of the redlined terms will be negotiated.
11. Question: Please confirm the nature of the dispute for which the Responder should provide a dispute resolution process.
Answer: Any and all disputes that could arise between the responder and a Member and/or MMCAP Infuse. Examples of what would be considered a dispute can be found in the draft agreement.
12. Question: Article I, Paragraph 1.4 Product Dating of the Agreement Template: How will the responder verify the "date of acceptance" of the Product by the member? Is the member required to notify the Responder in writing?
Answer: This will be dependent upon each Member’s procedures of receiving product.
13. Question: Article II, Paragraph 2.4 of the Agreement Template: How and at what point in the ordering process will the Responder be notified that Federal funds will be used? Who is responsible for providing the notice to the Vendor?
Answer: Members are responsible for notifying awarded Responder(s) of the use of federal funds and any requirements imposed. The notice that a Member provides is to be determined between the Responder and the Member.
14. Question: Attachment A, Paragraph 1F and Attachment D of the Agreement template: Please confirm if the Raw and Adjusted Fill Rate Report is due monthly or quarterly.
Answer: Monthly.
15. Question: Attachment A, Paragraph 2Ai of the Agreement Template: Please confirm which pricing, if any, should be loaded while the discrepancy is being discussed with MMCAP Infuse.
Answer: Vendor will process product adds/deletes/price changes based on documentation received from manufacturers/suppliers and perform weekly audit of previous week changes, notifying MMCAP Infuse of any specific discrepancies in writing to the MMCAP Infuse at (MMCAP_Infuse.Contracts@state.mn.us).
16. Question: Is it acceptable for the Minimum Qualifications Required (Pass/Fail Criteria) to be met by
Responder’s affiliate that would be handling the physical distribution of the flu/vaccine products?
Answer: All responsibility for the RFP and compliance with the terms of the draft agreement and the RFP content lies with the Responder. The submission of a response to this RFP is a binding offer for contract by the Responder, who must have the authority to do so. The submission of an RFP response also requires that the Responder attest that the information within the proposal is true, correct, and reliable for purposes of the evaluation for a potential contract award. This includes information pertaining to the affiliate relationships.
