1. BACKGROUND:
The Virginia Alcoholic Beverage Control Authority (Virginia ABC) and its nearly 4,000 employees are proud to serve the Commonwealth of Virginia as an independent political subdivision and one of 11 public safety agencies working with the Secretariat of Public Safety and Homeland Security. The Authority administers ABC laws with an emphasis on public safety by ensuring an orderly and regulated system for convenient sales and responsible consumption of alcohol.
Virginia ABC is a leading revenue producer for the Commonwealth and a source of future economic growth and innovation for the State. The profits that Virginia ABC contributes – collected from sales of distilled spirits at Virginia ABC stores, taxes collected on beer and wine sales, violation penalties and license fees – provide much-needed funding for use in a multitude of State programs, thus benefiting all Virginians. Since its establishment in 1934, Virginia ABC has contributed $10.3 billion to the Commonwealth’s General Fund, which supports major education, health and transportation initiatives.
As one of 17 control states across the United States – where the state government manages the sale and distribution of distilled spirits at the wholesale level, Virginia ABC stores are the only retail outlets in Virginia where customers may purchase liquor.
Our Stores and Products: With more than 380 stores in convenient locations throughout the Commonwealth, Virginia ABC is dedicated to providing those ages 21 and older with an enjoyable, modern shopping environment.
Considerable planning is involved in determining locations for new stores to ensure optimum customer service.
Virginia ABC also strives to make sure that customers can easily obtain the spirit they want by being timely and nimble in response to market changes, product availability, and consumer desires.
Virginia ABC offers a wide selection of merchandise – including mixers, vermouth, and Virginia-made wines in addition to liquor – with more than 2,900 items available in its product catalog. These products are stored in the 292,285-square-foot Virginia ABC warehouse – the size of about five and a half (5½) football fields – located in Richmond, VA. The warehouse daily receives and ships about 20,400 cases of distilled spirits for a total of more than 4.8 million last year. Virginia ABC stores receive weekly deliveries to restock items available for sale to customers of legal drinking age.
2. PURPOSE:
The purpose of this Invitation for Bids is to solicit bids from qualified Bidders to establish a term contract to provide Grounds Maintenance and Snow and Ice Removal services for the Virginia Alcoholic Beverage Control Authority, located at 7450 and 7452 Freight Way, Mechanicsville, VA 23116.
3. DEFINITIONS:
BIDDER: The term “Bidder” as referenced in this solicitation refers to the individual or firm preparing and submitting a bid in response to this Invitation for Bids.
CONTRACTOR: The term “Contractor” refers to an individual or firm that has entered into an agreement to provide goods or services to Virginia ABC. In addition, it also refers to a firm who, when awarded the contract, will be responsible for the goods or services required, as a result of this solicitation.

Items labeled as “should” are highly desirable, although their absence will not have as large an impact. Items labeled “may” will be useful but are not necessary.
4. STATEMENT OF NEEDS:

AUDIT: Contractor shall retain all books, records, and other documents relative to this contract for three (3) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. Virginia ABC, its authorized agents, and/or state auditors shall have full access to and the right to examine any of said materials during said period.
AWARD: Selection shall be made of two (2) or more Bidders deemed to be fully qualified and best suited among those submitting bids on the basis of the evaluation factors included in the Invitation for Bids. Negotiations may be conducted with the Bidders so selected. After negotiations have been conducted with each Bidder so selected, Virginia ABC shall select the Bidder which, in its opinion, has made the best proposal, and shall award the contract to that Bidder. Virginia ABC may cancel this Invitation for Bids or reject bids at any time prior to an award and is not required to furnish a statement of the reasons why a particular proposal was not deemed to be the most advantageous. Should Virginia ABC determine in writing and in its sole discretion that only one (1) Bidder is fully qualified, or that one (1) Bidder is clearly more highly qualified than the others under consideration, a contract may be negotiated and awarded to that Bidder. The award document will be a contract incorporating by reference all the requirements, terms and conditions of the solicitation and the Contractor’s proposal as negotiated.
BID ACCEPTANCE PERIOD: Any bid submitted in response to this solicitation shall be valid for 60 days. At the end of the 60 days, the bid may be withdrawn at the written request of the Bidder. If the bid is not withdrawn at that time, it remains in effect until an award is made or the program is canceled.
CANCELLATION OF CONTRACT: Virginia ABC reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the Contractor. In the event the initial contract period is for more than 12 months, the resulting contract may be terminated by either party, without penalty, after the initial 12 months of the contract period upon 60 days written notice to the other party. Any contract cancellation notice shall not relieve the Contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.
CONTINUITY OF SERVICES: The Contractor recognizes that the services under this contract are vital to Virginia ABC and must be continued without interruption and that, upon contract expiration, a successor, either Virginia ABC or another Contractor, may continue them. The Contractor agrees:
A. To exercise its best efforts and cooperation to effect an orderly and efficient transition to a successor.
https://www.abc.virginia.gov/about/procurement/terms-conditions
B. To make all Virginia ABC owned facilities, equipment, and data available to any successor at an appropriate time prior to the expiration of the contract to facilitate transition to successor; and
C. That the Virginia ABC Contract Officer shall have final authority to resolve disputes related to the transition of the contract from the Contractor to its successor.
Contractor shall, upon written notice from the Contract Officer, furnish phase-in/phase-out services for up to ninety
(90) days after this contract expires and shall negotiate in good faith a plan with the successor to execute the phase-in/phase-out services. This plan shall be subject to the Contract Officer’s approval.
Contractor shall be reimbursed for all reasonable, pre-approved phase-in/phase-out costs (i.e., costs incurred within the agreed period after contract expiration that result from phase-in, phase-out operations) and a fee (profit) not to exceed a pro rata portion of the fee (profit) under this contract. All phase-in/phase-out work fees must be approved by the Contract Officer in writing prior to commencement of said work.
DISCOUNTS, PROMPT PAYMENT: Discounts for prompt payment will not be calculated in determining net low bid.
Discounts for prompt payment will be shown on the purchase order/contract and taken if invoices are processed and payment made within the stipulated time frame. If discounts are not offered, payment shall be made thirty
(30) days after receipt of an accurate invoice by Virginia ABC’s Accounts Payable Department.
A _____% prompt payment discount is offered by Contractor for prompt payment of _____ calendar days.
eVA ORDERS AND CONTRACTS: The solicitation/contract will result in one (1) purchase order with the applicable eVA transaction fee assessed for each order. It is anticipated that the contract will result in multiple purchase orders (i.e., one for each delivery requirement) with the applicable eVA transaction fee assessed for each order.
Vendors desiring to provide goods and/or services to Virginia ABC shall participate in the eVA Internet e-procurement solution and agree to comply with the following: If this solicitation is for a term contract, failure to provide an electronic catalog (price list) or index page catalog for items awarded will be just cause for Virginia ABC to reject your offer or terminate this contract for default. The format of this electronic catalog shall conform to the eVA Catalog Interchange Format (CIF) Specification that can be accessed and downloaded from www.eVA.virginia.gov. Contractors should email Catalog or Index Page information to eVA-catalog-manager@dgs.virginia.gov.
PERFORMANCE, CONTRACTOR: Contractors providing goods and services to Virginia ABC are required to perform in accordance with the terms and conditions of their contract. When contractual requirements are not met, the following actions may be taken (at Virginia ABC’s option):
A. Contractor Complaint Form: If a Contractor fails to perform in accordance with the terms and conditions of the contract, Virginia ABC will prepare a Contractor Complaint Form and forward to the Procurement Office.
This form will be sent to the Contractor for a corrective action plan.
B. Default: If the Contractor is non-responsive to the Complaint Form, does not satisfy the corrective action plan submitted in the Complaint Form, or provides an unsatisfactory corrective plan, as determined by Virginia ABC, the Contractor may, at Virginia ABC’s discretion, be placed in default and notified via Contractor Complaint Form.
C. Ineligible for Award: Once placed in default, the Contractor will be ineligible to do business with Virginia ABC for purchases exceeding $5,000 for a period of three (3) years.
D. Re-procurement of Goods and Services: In addition to a Contractor’s ineligibility for award of programs over
$5,000, Virginia ABC may procure the goods and/or services from other sources and hold the Contractor responsible for the price difference of the original contract amount and the amount of the new contract.
Virginia ABC will follow competitive principles as outlined herein for the re-procurement.
The vendor will remain in default until the re-procurement costs have been paid to Virginia ABC. The vendor is still subject to the three (3) year ineligibility based on the default regardless as to when the re-procurement cost is paid.
