About this file

This is a Public Notice of Intent to Award a Sole Source Contract issued by the Salem Area Mass Transit District (SAMTD/Cherriots) for Tyler Munis ERP Full Implementation, Configuration & Module Addition. The notice was posted on OregonBuys on October 9, 2026, with a seven-day protest deadline of October 16, 2026 at 3:00 PM PST. The project scope encompasses two major technical initiatives: Recruiting Implementation & Internal Audit Services requiring 348 hours of specialized technical consulting and module configuration, and ERP ACFR Statement Builder implementation services requiring 36 hours plus annual cloud SaaS subscription for automated Annual Comprehensive Financial Report generation. The contract deliverables include professional implementation, configuration, data conversion, training, and SaaS licensing to deploy the Tyler Munis ERP platform across human resources, payroll, financials, and procurement and contracts functions. No formal bidder's conference or site visit requirements are indicated in the notice.

The estimated contract value is $70,520.00, comprised of $53,940.00 for Recruiting Implementation & IA Services and $16,580.00 for ERP ACFR Statement Builder services ($5,580.00 in implementation services and $11,000.00 annual SaaS subscription). The sole source justification is based on Tyler Technologies, Inc.'s proprietary ownership of the Tyler Munis ERP application code, warranty preservation requirements that prohibit unauthorized third-party modifications, and the substantial cost and operational delays that would result from transitioning to an alternative ERP system. The intended awardee is Tyler Technologies, Inc. (Oregon SOS Registry #120935-88). Prospective contractors may submit written protests detailing their technical capacity and legal authority to perform the required services without infringing on proprietary code rights or invalidating existing software warranties through the procurement department email address by the protest deadline.

Public Posting Date: 10/9/2026

7-Day Protest Deadline: 7 Days from Posting, e.g., October 16, 2026 at 3:00 PM PST

Contracting Agency: Salem Area Mass Transit District (SAMTD / Cherriots)

Project Title: Tyler Munis ERP Full Implementation, Configuration & Module Addition

Intended Awardee / Vendor: Tyler Technologies, Inc. (Oregon SOS Registry #120935-88)

Estimated Contract Value: $70,520.00

1. Statutory Authority & Statutory Posting Purpose

Notice is hereby given by the Salem Area Mass Transit District (SAMTD / Cherriots) of its intent to award a non-competitive sole source contract to Tyler Technologies, Inc. pursuant to Oregon Revised Statutes (ORS) 279B.075, Oregon

Administrative Rules (OAR) 137-047-0275, and SAMTD Procurement Standards Policy 416.03(E). This public notice is posted on OregonBuys for a minimum of seven (7) calendar days prior to contract execution to provide public transparency and allow prospective contractors the opportunity to challenge the sole source determination.

2. Description of Scope & Project Deliverables

SAMTD requires professional implementation, configuration, data conversion, training, and SaaS licensing to re-engage full deployment across its enterprise Tyler Munis ERP platform (Human Resources, Payroll, Financials, and Procurement &

Contracts). The contract scope encompasses two major technical initiatives:

• Recruiting Implementation & IA Services (Quote #2026-623367): 348 hours of specialized technical consulting and module configuration for Recruiting and Internal Audit recommendation tracking ($53,940.00).

• ERP ACFR Statement Builder (Quote #2026-640081): Implementation services ($5,580.00, 36 hours) and annual cloud

SaaS subscription ($11,000.00/yr) for automated Annual Comprehensive Financial Report (ACFR) generation.

3. Summary of Sole Source Justification & Technical Findings

SAMTD has determined that Tyler Technologies, Inc. is the single, unique source capable of fulfilling this contract based on the following statutory findings under ORS 279B.075:

1. Proprietary Source Code & Copyright Ownership: Tyler Technologies, Inc. is the original developer, copyright holder, and sole owner of the proprietary Tyler Munis ERP application code. No third-party vendor or third-party integrator possesses access or legal authority to modify or reconfigure the internal software codebase.

2. Warranty Preservation: Engaging any unauthorized third party to configure or modify the Tyler Munis platform would breach existing software license agreements and invalidate SAMTD's ongoing software support warranties.

3. Prevention of Unacceptable Delay & Substantial Duplication of Cost: Transitioning to an alternative ERP software suite would require replacing SAMTD's core financial and operational infrastructure, causing unacceptable operational delay and duplicating over $100,000.00 in previously sunk capital costs.
