G-3 Designation of Contracting Officer’s Representative

1. The Contracting Officer will designate a Contracting Officer’s Representative (COR) at the time of task order award.

2. The COR is responsible for administering the performance of work under this contract. In no event, however, will any understanding , agreement, modification, change order, or other matter deviating from the terms of this contract be effective or binding upon the Government unless formalized by proper contractual documents executed by the Contracting Officer prior to completion of the contract.

3. The Contracting Officer should be informed as soon as possible of any actions or inactions by the Contractor or the Government which will change the required delivery or completion times stated in the contract, and the contract will be modified accordingly. (This does not apply to individual task assignments which were issued by the COR provided they do not affect the delivery schedule or performance period stated in the contract).

4. On all matters that pertain to the contract terms the Contractor must communicate with the Contracting Officer. Whenever, in the opinion of the Contractor, the COR requests effort outside the scope of the contract, the Contractor should so advise the COR. If the COR persists and there still exists a disagreement as to proper contractual coverage, the Contracting Officer should be notified immediately, preferably in writing if time permits. Proceeding with work without proper coverage could result in nonpayment or necessitate submittal of contract claim.

SECTION H – SPECIAL CONTRACT REQUIREMENTS

H-1 Safety

Data and information furnished or referred to below is for the contractor’s information. The government shall not be responsible for any interpretation of or conclusion drawn from the data or information by the contractor. This list shall not be deemed to be all-inclusive. The contractor shall bear the sole responsibility for taking all appropriate actions necessary to prevent accidents and injuries to individuals at the worksite.

The following checked activities have been identified by the government as potential safety hazards:

[X] Temporary excavation/deep trenching/slope stability.
[ ] Tree falling.
[X] Fall hazard from work heights exceeding 6 feet.
[ ] Blasting.

[X] Traffic control on high-volume and/or high-speed and/or limited visibility roads.

[X] Heavy equipment operation.
[ ] Tree climbing and/or tower climbing.
[X] Fire hazards.
[X] Hazardous materials handling.
[X] Electrical hazard.

2. Working in a developed camping area with buried utility lines. Utility locates are required prior to ground disturbing activities. Call 811 or visit www.colorado811.org.

H-2 Suspensions for Other Than Government’s Convenience

1. The Contracting Officer may issue orders to suspend the work wholly or in part for such period of time as deemed necessary because of: (1) Weather or ground conditions when further prosecution of the work might cause environmental or resource damage to the project, access roads to the project, or adjacent property. Such action would include but not be limited to instances such as siltation of streams, damage to access roads, rutting of project roads which causes otherwise suitable soils to become muddy or unsuitable; or (2) Failure of the Contractor to comply with Specifications such as but not limited to placement of frozen material in fills, placing of asphalts at temperatures lower than those specified, performing work prior to prerequisite approvals, operating equipment not meeting fire requirements, or when conditions exist which do not meet safety requirements. Whether or not a suspend work notice is issued, the Contractor shall be responsible for correcting any damage caused by his/her operation, whether inside or outside project limits, at no cost to the Government. Such suspensions shall not be considered as suspensions for the Convenience of the Government under FAR 52.242-14, Suspension of Work, and shall not qualify for equitable adjustment.

H-3 Use of Premises

1. Before any camp, quarry, borrow pit, storage, detour, or bypass site, other than shown on the drawings, is opened or operated on USDA land or lands administered by the USDA, the Contractor shall obtain written permission from the Contracting Officer. A camp is interpreted to include a campsite or trailer parking area of any employee working on the project for the Contractor.

Unless excepted elsewhere in the contract, the Contractor shall (i) provide and maintain sanitation facilities for the work force at the site and (ii) dispose of solid waste in accordance with applicable Federal, State and local regulations.

1. 80,000 GVWR max in all areas of the Difficult Campground without overload permit.

2. Highway 82 from gate towards Independence Pass (the gate is located 800 feet east of the difficult campground entrance road, therefore, this will not impact access to the site with truck and trailer combinations over 35 feet in length): Oversize and overweight vehicles are strictly prohibited from using the Pass at any time due to narrow and winding roads and steep inclines. Absolutely no vehicles over 35 feet in length may use the Pass at any time. Length and weight limits remain in place due to several existing single lane-only widths and tight curves.

H-5 Key Personnel

1. The following individuals are considered to be essential to the successful performance of the work hereunder:

The contractor agrees that personnel may not be removed from the contract work or replaced without compliance with paragraphs (2) and (3) of this section.

2. If one or more of the key personnel, for whatever reason, becomes, or is expected to become, unavailable for work under this contract for a continuous period exceeding 30 work days, or is expected to devote substantially less effort to the work than indicated in the proposal or initially anticipated, the contractor shall immediately notify the contracting officer and shall, subject to the concurrence of the contracting officer, promptly replace the personnel with personnel of at least substantially equal ability and qualifications.

3. Each request for approval of substitutions must be in writing and contain a detailed explanation of the circumstances necessitating the proposed substitutions. The request must also contain a complete resume for the proposed substitute and other information requested or needed by the contracting officer to evaluate the proposed substitution. The contracting officer and the project officer shall evaluate the contractor's request and the contracting officer shall promptly notify the contractor of his or her decision in writing.

4. If the contracting officer determines that suitable and timely replacement of key personnel who have been reassigned, terminated, or have otherwise become unavailable for the contract work is not reasonably forthcoming, or that the resultant reduction of productive effort would be so substantial as to impair the successful completion of the contract or the service order, the contract may be terminated by the contracting officer for default or for the convenience of the Government, as appropriate. If the contracting officer finds the contractor at fault for the condition, the contract price or fixed fee may be equitably adjusted downward to compensate the Government for any resultant delay, loss, or damage.

*To be incorporated into any resultant contract

{No Additional Information Available. Please Refer to Base Award}

SECTION L – INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS OR RESPONDENTS

{No Additional Information Available. Please Refer to Base Award}

SECTION M – EVALUATION FACTORS FOR AWARD

M-1 Award Determination

F. Task Order

Offerors shall submit one (1) original of their response. Responses shall include the following minimum documents for the task order:

One (1) Original Set containing the following:

Signed Standard Form (SF) 1442 Section B – Schedule of Items Section H – Key Personnel Section M – As identified in M.2

The completion and submission to us of the above items of information will constitute your offer to perform in accordance with the terms and conditions of this solicitation, including attachments and documents incorporated by reference.

We intend to award a contract without discussions. We reserve the right to conduct discussions and to permit offerors to revise their proposals if it is in the Government’s best interest to do so.

M-2 Evaluation Criteria

A. Task Order

We will award the task order to the offeror who represents the best value to the Government. The source selection decision will be based on the following:

1. Capability

a. The Offeror’s responses included in the base contract proposal addressed past performance and relevant experience, and offerors are NOT required to re-submit that information for this task order. The response in the base contract proposal for past performance and relevant experience will be used to evaluate contractor capability.

b. Past Performance - The Government will evaluate each Offeror's past performance to determine how well it satisfied its customers. The Government will review past performance, contact some of each Offeror's references to determine whether the offer conforms to the terms and conditions of its contracts; obeys the law; is honest, reasonable, and cooperative; maintains good labor relations; manages its subcontractors effectively; and is committed to customer satisfaction. The Government may contact sources outside those listed in the proposal. In the case of an offeror without a record of past performance or for whom information on past performance is not available the offeror may not be evaluated favorably or unfavorably on past performance, see far 15.305(a)(2)(iv). In this instance past performance will receive a neutral rating.

c. Relevant Experience - The Government will review the number of projects the offer has completed that are similar in scope to the work described in this solicitation. The more jobs that the offeror has had that are similar to this requirement, the better the offeror’s experience. If an offeror has no experience with similar work, the Government will evaluate its experience as “None”, which is an unfavorable assessment.

2. Price Reasonableness - Price proposal will not be point scored but will be subjectively evaluated to determine the reasonableness, affordability, and value of the price data.

3. Acceptability - If you; (1) fail or refuse to assent to any of the terms and conditions in this solicitation; (2) propose additional terms or conditions; (3) fail to submit any of the information required by this section; or (4) fail to submit the proposal by the specified closing date and time, then we will consider your offer unacceptable, which will make you ineligible for contract award. We will not entertain alternate proposals.

4. Technical Approach

a. Key Personnel – Section H-5. This sub-factor encompasses the offerors ability to adequately plan and staff the completion of projects with the appropriately skilled personnel. The Government will consider only the experience and past performance of personnel that are significant to the completion of the work.

i. When sub-contracting is proposed and additional staffing is needed to complete the schedule of items, offerors shall give detailed explanations of the plans for such additional staffing. The sub-contractors shall also be considered key personnel and subject to the clause.

b. Equipment - This sub-factor measures the resources the offerors have available and will allocate to work completion. List the facilities, supplies, tools, and equipment to be utilized for work completion.

c. Schedule - Proposals shall include a practical schedule showing the order in which the Offeror will perform the work and the dates on which the Offeror contemplates starting and completing each item if the Offeror is awarded the contract.

M-3 Relative Importance of the Evaluation Factors

A. Capability (past performance and relevant experience) is more important than price. When combined, capability and price are significantly more important than Technical Approach. The relative impact that any of the factors or subfactors will have on the source selection decision will depend on the differences among the competing offerors.

B. Source Selection Decision for Task Order Award - In order to select the winning offeror(s), we will rank the offerors by evaluating each proposal strictly on its content and will not assume that performance will include anything not specified in the proposal. The evaluation will be conducted in accordance with the procedures established herein. The technical evaluation panel will then assign to each evaluation criterion a final adjective consensus rating of exceptional, good, acceptable, marginal, or unacceptable based on the following descriptions:

Exceptional

An exceptional proposal contains significant strengths and no weaknesses. The proposal exceeds the performance and technical capability requirements defined in the Statement Of Work (SOW). The proposal offers value-added methodologies for improving service that benefits the Government. The evaluator has no doubt that the Offeror can successfully achieve the requirements in the SOW if the technical approach proposed is followed. The Offeror acknowledges risks and develops an approach that proactively identifies and mitigates risks, and looks to reduce or eliminate future risks.

Good

A good proposal contains significant strengths and only a few minor weaknesses. The Offeror’s proposal meets the performance and technical capability requirements as defined in the SOW. The evaluator has a high degree of confidence that the Offeror can successfully achieve the requirements in the SOW if the technical approach proposed is followed. The Offeror acknowledges technical or schedule risk and develops an approach capable of mitigating all apparent risks effectively.

Acceptable

An acceptable proposal contains strengths that outweigh any existing weaknesses. The Offeror’s proposal meets the performance and technical capability requirements defined in the SOW. The evaluator is confident that the Offeror can successfully achieve the requirements in the SOW if the technical approach proposed is followed.

Marginal

The proposal meets the bare minimum performance and technical capability requirements defined in the SOW, and also have significant weaknesses. The evaluator is not confident that the Offeror can successfully complete the required tasking without significant Government oversight or participation. The proposal either fails to address risks or the proposed risk mitigation approach is not deemed to be sufficient to manage the risk.

Unacceptable

An unacceptable proposal that contains one or more significant weaknesses and deficiencies. Proposal fails to meet specified minimum performance and technical capability requirements defined in the SOW. The evaluator is confident that the Offeror will be unable to successfully complete the required tasking. The proposal does not adequately acknowledge or address risk, mitigate risk, or may actually introduce risk.

Standard Definitions

Strength

A strong attribute or quality of particular worth or utility; an inherent asset. Note: Simple adherence to the requirements or ability to meet a requirement is compliance but should not be listed as strength.

Weakness
A flaw in the proposal that increases the risk of unsuccessful contract performance

Deficiency

A material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

1. When the adjective ratings for each criterion of each proposal have been assigned by each evaluator, the evaluation panel members will jointly discuss each proposal separately and develop an evaluation panel consensus adjective rating for each technical proposal (a single adjective rating for each proposal will be determined). The criteria established on the rating sheet will be used in developing the consensus adjective rating for each proposal. If a consensus rating cannot be reached, the Chairperson of the Evaluation Board will decide which rating is most representative.

2. The final rating assigned to each proposal shall be based on an average of all individual ratings, i.e. - If there are three (3) raters and two (2) provide an exceptional rating with the third providing an acceptable rating the overall rating assessed will be an exceptional minus

C. Award - A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), regardless of negotiations after its receipt, unless a written notice of withdrawal is received before award.
