About this file

This document is a Sole Source Justification for a bridge contract issued by the Department of Defense (DOD), specifically the Defense Health Network National Capital Region (DHN NCR). The contract is for Service Optimization Support Services to be awarded to Deloitte Consulting LLP for a 6-month base period from September 30, 2025 to March 29, 2026, utilizing Fiscal Year 2025 Operations & Maintenance funding. The bridge contract aims to maintain continuity of support for the Defense Health Agency (DHA) while a competitive acquisition is being pursued in Fiscal Year 2026, with the overall intent to ensure critical healthcare functions, enhance care coordination, and establish a replicable model for other DHA Networks.

The justification indicates that no vendors challenged the sole source notice posted on Sam.gov for two days, and the government will determine fair and reasonable pricing using historical contract prices. The rationale for sole sourcing includes avoiding substantial duplication of costs, preventing unnecessary delays and service interruptions, and minimizing hardships to multiple agencies that rely on these essential services. The contracting activity will use the incumbent vendor to ensure seamless transition and continued support while preparing for a full competitive acquisition in the upcoming fiscal year.

Text version

Due to unforeseen or unanticipated delays in the issuance of a long-term contract DHN NCR notified DHA on September 12, 2025, to implement a bridge contract for Service Optimization Support Services to minimize a lapse in services from the expiration of the current contract on September 29, 2025. Failure to award this bridge contract to the incumbent, Deloitte Consulting LLP, would result in substantial duplication of costs to the Government, estimated in the amount of which is not expected to be recovered through competition. The estimated include costs for additional labor hours for the contract personnel needed from another vendor to onboard and process security badges to begin executing performance on September 29, 2025

Deloitte Consulting LLP is currently providing Service Optimization Support Services to DHN NCR in support of Defense Health Agency (DHA). Implementing a new vendor to provide these services would result in unnecessary delays, interruptions in services, increased costs, and unnecessary hardships to multiple agencies who rely on these essential services. Therefore, an award of a bridge contract to Deloitte Consulting LLP is required to ensure continuity of support for these essential services while the Government is working a competitive acquisition in FY26.

6. EFFORTS TO OBTAIN COMPETITION: On September 17, 2025, HCD-NE issued a “Notice of Intent to Sole Source” this requirement to Deloitte Consulting LLP on Sam.gov’s website for two (2) days to comply with FAR 5.203(a) Publicizing and Response Time. The notice closed on September 19, 2025. No vendors responded the notice to challenge the bridge contract to Deloitte Consulting LLP.

7. FAIR AND REASONABLE COST DETERMINATION: The Government will make a determination of fair and reasonable pricing using the procedures in FAR 13.106-3(a) Basis for Award, specifically, FAR 13.106-3(a)(2)(vi) Comparison to an Independent Government.” Since this requirement will be solicited to the incumbent vendor, historical prices paid from the current contract were used to develop the Government estimate and will be utilized to determine fair and reasonable pricing.

8. MARKET RESEARCH: Market research has been limited to the pre-solicitation notice described under efforts to obtain competition, which was posted for 2 days on Sam.gov’s website. No vendors challenged this bridge effort. DHA will solicit this effort as a follow-on bridge contract in order to maintain continuity of support for DHN NCR. The bridge contract will be issued as the most logical and cost-effective strategy and solution to the Government which will avoid duplicative costs and unacceptable delays in fulfilling the agency’s requirement and a potential gap in performance of critical services while a competitive acquisition is taken place.
