About this file

This is a Justification and Approval (J&A) document for the award of a sole-source contract.

The Naval Air Warfare Center Aircraft Division (NAWCAD) at Patuxent River, Maryland, is authorizing a commercial Firm Fixed Price contract award to Thales Defense & Security, INC (TDSI) on a sole-source basis under 10 U.S.C. 3204(a)(1). The contract will provide technical, repair, and training support for the Scorpion Helmet Mounted Integrated Targeting (HMIT) system in support of the F-5 and F-16 aircraft operated by the United States Navy and United States Marine Corps. The Scorpion HMIT system has been deemed commercial by the DCMA Commercial Item Group. Services will include repair and replacement services, comprehensive testing and logistical support including shipping, technical and engineering support, training services, and procurement of flight gear, spares, and support equipment to sustain HMIT systems supporting up to 25 HMITs on F-5 aircraft and up to 20 HMITs on F-16 aircraft. The contract is structured as an Indefinite Delivery Indefinite Quantity (IDIQ) contract with a five-year ordering period. TDSI is identified as the sole capable source because the Scorpion HMIT system was developed exclusively by TDSI, the Government lacks data rights to compete the effort, and awarding to another source would result in substantial duplication of costs and unacceptable delays in HMIT sustainment. A sources sought posting was published on SAM.gov on December 5, 2024, receiving one response from TDSI. The Contracting Officer determined the anticipated cost is fair and reasonable. The document is certified as complete and accurate as of August 13, 2025, and August 18, 2025, and has been approved by the Procuring Activity Competition Advocate.

NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION

21983 BUNDY ROAD BUILDING 441

PATUXENT RIVER, MD 20670

J&A Number: 25-0163

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN

COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWCAD), Patuxent River, MD

2. Description of the Action Being Approved.

This Justification & Approval (J&A) authorizes and approves award of a commercial Firm Fixed Price (FFP) contract on a sole source basis to Thales Defense & Security, INC (TDSI) to provide technical, repair, and training support on the Scorpion Helmet Mounted Integrated Targeting (HMIT) system, in support of the Specialized and Proven Aircraft Program Office (PMA-226) F-5 and F-16 Integrated Product Teams (IPTs). This requirement is critical for aircraft and pilot readiness in support of the F-5 and F-16 operations for the United States Navy (USN) and United States Marine Corps (USMC). The Scorpion HMIT system has been deemed commercial by the DCMA Commercial Item Group, and thereby its associated support services are deemed commercial as well.

3. Description of Supplies/Services.

This contract action will provide support to sustain the F-5 and F-16 HMIT systems. This contract will service components required to support up to twenty-five (25) HMITs installed on F-5 aircraft and up to twenty (20) HMITs installed on the F-16 aircraft. This support will also include all repair and replacement services, as well as comprehensive testing and logistical support, including shipping.

TDSI will deliver technical and engineering support, along with training services. Additionally, this effort includes the procurement of flight gear, spares, and support equipment necessary to ensure the sustainment of the HMIT systems.

The total duration of this contract is anticipated to be for a five-year ordering period under an Indefinite Delivery Indefinite Quantity (IDIQ) contract.

J&A 25-0163

Therefore, TDSI is the only company capable of providing the supplies/services described in Section 3 above without the government experiencing substantial duplication of costs and unacceptable delays in fulfilling HMIT sustainment requirements.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

This proposed contract action with the Governments intent to award a sole-source contract to TDSI was posted with a sources sought on the SAM.gov website on 05 December 2024, in accordance with FAR 5.201 and DFAR PGI 206.302-1. One response was received from TDSI in response to the sources sought.

7. Determination of Fair and Reasonable Cost.

The Contracting Officer has determined the anticipated cost of the requirement, based on the Governments estimate, for the supplies / services covered by this J&A will be fair and reasonable.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph 5, NAWCAD has no plans at this time to compete future contracts for the types of supplies/services covered by this J&A. NAWCAD will continually monitor future source availability to assess whether a competition for future requirements is feasible.
