About this file

This is a Use and Non-Disclosure Agreement (NDA) template for government technical data related to the USNS GRASP (T-ARS 51) pilot house windows acquisition. The NDA governs access to technical data and computer software provided to offerors in response to solicitation N3220526Q7093 and is subject to DoDI 5230.24 distribution statement controls and DoD-M 5200.01-V4 regulations for controlled unclassified information. Offerors must designate a corporate principal responsible for NDA compliance and agree to use the data solely for proposal preparation and contract performance if awarded.

The agreement requires offerors to establish organizational controls limiting data access to authorized representatives, comply with all dissemination restrictions and export controls, and prohibit copying, reproduction, or distribution of data without written Contracting Officer authorization. Offerors must identify all subcontractors and vendors by name and ensure they execute similar flow-down NDAs through their corporate principals. Upon contract award to another entity or upon work completion, offerors must return or destroy all data and copies by shredding, with written certification to the Contracting Officer within 30 days. The agreement also requires offerors to cooperate with government recovery efforts and reimburse the government for costs or damages resulting from unauthorized disclosure by the offeror, its personnel, or subcontractors.
