About this file

This is Addendum #1 to a Request for Proposals issued by the Climate Action Department of the Town of Wellesley, Massachusetts, for Tax Advisory Services related to federal Investment Tax Credit (ITC) elective pay filing. The Town seeks qualified firms or individuals to provide professional tax advisory services for successfully pre-filing, filing for, and receiving elective pay for a Clean Electricity ITC (Section 48E) for three solar photovoltaic systems located on Town of Wellesley property: Hardy School, Hunnewell School, and the Resource Development Facility (RDF). The addendum addresses seven bidder inquiries and provides clarification on contract requirements and scope expectations. The Town awaits results of a Climate Leader Communities grant application to the Massachusetts Department of Energy Resources for up to $1 million for the two school solar projects, with a decision expected in May or June 2026. The contract term includes support through completion of the initial filing process and extends to include reasonable audit and post-filing support related to submitted claims during the applicable statute of limitations period.

Regarding pricing and contract terms, the Town requires proposers to provide not-to-exceed (NTE) pricing structured individually for each of the three solar projects, with the final contract incorporating NTE pricing for authorized services. The Town has clarified that a Performance and Payment Bond, while included in the standard procurement template, is not required for this engagement, and failure to provide such a bond will not disqualify a proposer. Professional liability insurance requirements remain applicable. The Town acknowledges that certain factors affecting project compliance or eligibility may be outside the tax advisor's control, including actions or determinations by utilities, permitting authorities, equipment suppliers, contractors, or other third parties, and such uncontrollable factors will not be grounds for adverse evaluation of performance provided the tax advisor exercises reasonable professional diligence. Regarding financial capacity documentation, the Town will accept alternative evidence such as a written statement attesting to the firm's financial capacity in lieu of formal financial statements, and failure to provide formal statements will not disqualify a proposer.

ADDENDUM # 1

REQUEST FOR PROPOSALS

TAX ADVISORY SERVICES FOR ITC ELECTIVE PAY FILING

May 15, 2026

Contact: Marybeth Martello, mmartello@wellesleyma.gov

Queson 1: Cerficate of Authority – Is there any addional context that you can provide with respect to the Township requiring a P&P bond for these professional services? It is very uncommon for professional services to operate under or contract through a P&P bond. The Contract Terms outline the professional liability insurance requirements that appear to be standard for these types of services.

Answer to Queson 1: The bond language was included as part of the Town’s standard procurement template. For this engagement, the Town does not intend to require a Performance and Payment Bond, and failure to provide such a bond will not disqualify a proposer. The professional liability insurance requirements stated in the RFP remain applicable.

Queson 2: Duraon of the contract – The meline does reference audit support, but the duraon outlined in the task 1 secon states that support would be through the compleon of the filing. Would it be more appropriate to state “through the statute of limitaons”?

Answer to Queson 2: The Town acknowledges that audit support may extend beyond compleon of the inial filing process. References to support “through compleon of the filing” should be understood to include reasonable audit and post-filing support related to the submited claims, including during the applicable statute of limitaons period. Proposers may describe any assumpons, limitaons, or addional service terms associated with extended audit support in their proposals.

Queson 3: External Funding – On page 2, there is a reference to the Mass Dept. of Energy Resources grant. Is the funding sll being pursued, or are these funding sources NOT being ulized? What is the expected date of decision on that?

Answer to Queson 3: The Town awaits results of a Climate Leader Communies grant applicaon to the Department of Energy Resources for up to $1 million for the two school solar projects. The Town expects to learn the grant applicaon results in May or June 2026.

Queson 4: Support in FEOC & Safe Harbors – While we can support the Town providing recommendaons and support, there are items outside the control that reside with the local AHJ, such as interconnect design reviews, and perming. Please confirm that these uncontrollable variables would not be held against or expected to be migated by the Tax Advisor.

mailto:mmartello@wellesleyma.gov

Answer to Queson 4: The Town expects the Tax Advisor to provide commercially reasonable professional guidance and support regarding FEOC compliance and applicable safe harbor provisions.

However, the Town acknowledges that certain factors affecng compliance or project eligibility may be outside the Tax Advisor’s control, including acons or determinaons by ulies, perming authories, equipment suppliers, contractors, or other third pares. Such uncontrollable factors will not, by themselves, be grounds for adverse evaluaon of the Tax Advisor’s performance, provided the Tax Advisor has exercised reasonable professional diligence and mely communicated relevant risks or issues to the Town.

Queson 5: Price Proposal – The Contract Term requirements outline that there should be a NTE pricing structure, and the projects are required to be individually priced. Is the Town looking for an individually NTE pricing structure or simply that the overall pricing proposal would then be subject to a NTE contract if selected?

Answer to Queson 5: The Town intends for proposers to provide pricing for each of the three solar projects (Hardy School, Hunnewell School, and the RDF), with each proposed fee structured on a not-to-exceed (NTE) basis to the extent praccable. The Town ancipates that the final contract would incorporate NTE pricing for authorized services. Proposers may also idenfy any assumpons, exclusions, or circumstances that could affect the proposed NTE amounts.

Queson 6: Financial Capacity – Would there be any means to waive the requirement to provide a financial statement?

Answer to Queson 6: The Town understands that some firms may not publicly disclose detailed financial statements for professional services engagements of this nature. In lieu of subming full financial statements, the Town will accept alternave evidence of financial capacity, which may include a writen statement atesng to the firm’s financial capacity. Failure to provide formal financial statements will not disqualify a proposer.

Queson 7: Compeng Commitments – Is this intended to outline responsible team members? It outlines an overall capability and assurances on items that are subject to review by other pares. Would this be able to be prefaced with “within all areas of scope, services, and advisement that proposer can control….”. If there are uncontrollable items that assurances are provided for, we do not wish to be held responsible for items outside the realm of possibility to perform.

Answer to Queson 7: The “Compeng Commitments” provision is intended primarily to ensure that proposers idenfy responsible personnel and provide assurances that they can complete the project.

The Town recognizes that certain project outcomes may depend on third pares or factors outside the proposer’s direct control. The Town sees the proposer’s assurances and commitments as applying to services reasonably within the proposer’s control.
