Issuing Authority: Town of Wellesley, Massachusets Procurement statute: MGL 30B
CONTRACT No. CAC-2026-1
Introducon
The Town of Wellesley, Massachusets (the “Town”) acng through its Select Board Office, Finance Department, and Climate Acon Department is solicing sealed proposals from qualified firms or individuals to provide professional Tax Advisory services related to the federal Investment Tax Credit (ITC) elecve pay mechanism (elecve pay) under Secon 6417 of the Internal Revenue Code, as enacted by the Inflaon Reducon Act of 2022. The purpose of this project is to successfully pre-file for, file for, and receive elecve pay for a Clean Electricity (Secon 48E) ITC for three (3) solar photovoltaic (PV) systems on Town of Wellesley property.
An Award, if any, will be made to the responsible and responsive proposer determined to be the most advantageous to the Town, taking into consideraon non-price and price criteria as set forth herein.
Project Goals
The Tax Advisor will work with Town staff and the Town’s design and construcon contractor(s) to pre-file for, file for, and receive elecve pay for three (3) rooop solar photovoltaic (PV) systems on Hardy Elementary School (Hardy School), Hunnewell Elementary School (Hunnewell School), and the Recycling and Disposal Facility administrave building (RDF), respecvely. In pursuing these outcomes the Tax Advisor will:
A. Successfully pre-file and file for elecve pay. In filing the Tax Advisor will:
a. Ensure that each of the solar PV systems is eligible for elecve pay and idenfy eligibility risks associated with design, procurement, and construcon. Recommend and implement mely migaon strategies to avoid these risks.
b. Idenfy start-of-construcon dates for each of the three (3) solar PV systems. Evaluate and, if possible, establish a start-of-construcon date prior to December 31, 2025, for the Hardy and Hunnewell school solar PV systems.
c. Demonstrate compliance with the elecve pay connuous progress requirement for all three (3) solar PV systems.
d. Seek a domesc content bonus for each solar PV system, as appropriate.
e. Avoid, minimize, and migate foreign enty of concern (FEOC) and prohibited foreign enty (PFE) risks to the maximum extent permited by law
f. Perform a final cost analysis to determine and maximize all costs for the school and RDF systems eligible for the elecve pay amount to be included in the final elecve pay filings.
B. Assist the Town in preparing for a potenal elecve-pay-related audit.
Project Background and Status
The Town plans to construct three (3) rooop solar PV systems on Town-owned municipal buildings. As of the issuance of this RFP:
1) One (1) rooop solar PV system is planned for Hardy School. Building construcon took place from 2023 to 2024, without installaon of solar PV.
a. Solar capacity: 430 kW DC
b. Esmated total project cost: $2,456,608.75
2) One (1) rooop solar PV system is planned for the Hunnewell School. Building construcon took place from 2022 to 2024 without installaon of solar PV.
a. Solar capacity: 374 kW DC
b. Estimated total project cost: $2,182,629.75
3) One (1) rooop solar PV system is planned for the RDF building. Building construcon is underway and solar PV construcon is planned for mid-summer 2026 with operaon commencing in December.
a. Solar capacity: 46 kW DC
b. Esmated construcon cost: $40,000
During planning for the two new elementary schools, there was a decision to postpone the solar installaons unl aer school building construcon was complete. System costs were high and elecve pay and grant opportunies were not available. The Wellesley Municipal Light Plant (WMLP) offered to coordinate solar installaon with a Power Purchase Agreement (PPA) for solar PV on the roof of each school. The WMLP’s atempt to establish a PPA failed due to unfavorable contract terms. The Town seeks the following external funding for the two school solar PV systems:
1) A Climate Leader Communies Decarbonizaon Accelerator Grant for up to $1 million from the
Massachusets Department of Energy Resources; and
2) ITC funding via elecve pay.
The Town seeks the following external funding for the RDF solar PV system:
• ITC funding via elecve pay.
The Hardy, Hunnewell, and RDF solar PV system projects will proceed according to the schedule below.
However, the Permanent Building Commitee and School Commitee are considering moving the Hardy and Hunnewell School solar installaons from summer 2027 to fall 2026. This schedule change would move procurement and construcon earlier by several months. In ancipaon of this potenal schedule change, the Town of Wellesley is working with temporary legal advisors to iniate document collecon and to navigate quesons around, for example, start-of-construcon dates and connuous progress.
• Hunnewell School and Hardy School solar PV o Feb.–Aug. 2026: Planning/Design o Aug.–Dec. 2026: Documents issued to the Hardy and Hunnewell construcon managers, respecvely, for pricing as a change order o Dec. 2026 – May 2027: Submitals and material procurement o May 2027: Construcon start o Oct. 2027: Construcon end o Nov. 2027: Commissioning o Dec. 2027: Interconnecon
• RDF solar PV o Jun.–Aug. 2026: Construcon o Sept.–Oct. 2026: Commissioning o Nov. 2026: Interconnecon
The Town will own all three solar PV systems and expects to be eligible to seek elecve pay as a tax-exempt government enty.
The Town intends to engage a Tax Advisor early in the project schedule for the two schools to inform design, procurement, contracng, and construcon decisions that may affect eligibility, credit amount, and compliance with IRA requirements.
Available Informaon
The Town will make available informaon regarding the school and RDF solar PV systems, including feasibility, design, budget, procurement, and construcon studies, reports, and correspondence as may be necessary for the Tax Advisor’s successful compleon of this project.
