About this file
This is a Signature Guidelines document issued by the Maryland Transit Administration that establishes authorization requirements for various legal entity types executing official documents and contracts. The document specifies which organizational representatives possess inherent signing authority and outlines additional proof requirements when other individuals execute documents on behalf of an entity. For corporations and professional service corporations, the President, Vice President, or Chief Executive Officer may sign without additional documentation; other signatories must provide Corporate By-Laws, Articles of Incorporation, or Corporate Resolution. Partnerships require signatures from any Partner acting in their capacity as agent, with Statement of Partnership Authority required for other signatories. Limited Partnerships need signatures from General Partners or supporting Certificate of Limited Partnership documentation for alternate signatories.
Limited Liability Companies, Religious Corporations and Churches, and Limited Liability Partnerships or Limited Liability Limited Partnerships require proof documentation in all circumstances. LLCs must provide Operating Agreements; Religious Corporations and Churches must submit Articles of Incorporation, By-Laws, or Corporate Resolution; and Limited Liability Partnerships or Limited Liability Limited Partnerships must provide Certificates of Limited Liability Partnership and Partnership Agreements or Statements of Partnership Authority. These guidelines establish a standardized authentication framework for the Maryland Transit Administration to ensure proper authorization and legal validity of executed documents across diverse organizational structures.
