About this file

This is Appendix G of a Request for Lease Proposal (RFLP No. AFCEC-27-R-0001) containing a Non-Binding Term Sheet for an Enhanced Use Lease (EUL) at Edwards Air Force Base. The term sheet outlines the preliminary framework for negotiating a Site Development Lease (SDL) between the United States Department of the Air Force and a potential lessee for a mixed-use project called "Edwards Housing Mix EUL" located inside the fence line at Edwards Air Force Base. The project is authorized under Title 10, United States Code, Section 2667, and involves development, financing, and management of an AI Data Center with directly related facilities including a pro shop, club house with restaurant/bar, and storage and maintenance buildings.

Key terms to be finalized include the SDL term (subject to Government approval for terms exceeding five years if in the public interest), base rent (to be paid annually in cash, with Government required to obtain fair market value), and participation rent (to be paid in arrears as a percentage of the lessee's revenue). The potential lessee must pay estimated transaction expenses not to exceed $250,000 at SDL execution. The leased premises will be delivered on an "as-is/where-is" basis with no warranties. The potential lessee is responsible for obtaining an ALTA survey, securing all utilities and water resources, obtaining all permits (including environmental permits), conducting NEPA requirements, maintaining insurance per RFLP specifications, paying all operating expenses and property taxes, and establishing a demolition reserve account beginning ten years prior to lease expiration with annual deposits equal to one-tenth of estimated restoration costs. The Government retains the right to terminate the SDL after three years regarding any substantially undeveloped portions and maintains various statutory and regulatory authority over the leased premises. This term sheet is explicitly non-binding and does not create legal obligations unless and until an SDL is executed by all parties.
