About this file
This document is Bid Amendment #1 to a Request for Proposals (RFP) issued by the New Jersey Department of the Treasury, Division of Purchase and Property for Park and Playground Equipment, Solicitation #16DPP00019 (T-0103). The RFP seeks to establish multiple Blanket Purchase Orders (Contracts) for various brands of park and playground equipment to serve the needs of state agencies and cooperative purchasing participants across three regions - North, Central, and South. The original proposal submission due date is July 15, 2016. The amendment provides answers to bidder questions, clarifies pricing submission requirements, modifies certain terms and conditions, and makes changes to the regional jurisdiction and price list revision policies.
The RFP requires bidders to submit a firm, fixed percentage discount or markup off the manufacturer's latest price list for each product category. Pricing shall not include freight charges, which will be negotiated separately. The contract will be awarded by brand on a regional basis, with one award per brand per region. The contract term is for an initial period with optional extensions. Bidders must indicate the region(s) they intend to serve and may submit proposals for partial regions, but full regional coverage is preferred.

Section 2 of the Bidder Data Sheet requires a Vendor {Bidder} to list Blanket POs {Contracts} of a similar size and scope performed within the last three (3) years; these Blanket POs {Contracts} should include, but are not limited to, Blanket POs {Contracts} with any other New Jersey entity (such as counties, school districts, etc.) or any other State or county or any other private entity. The Vendor {Bidder} can provide these references on an additional page if required.

1.2.2
While installation is not on the contract, can we provide it through a subcontractor? If so, can it be added to the price list or should it be handled outside the contract?
As stated in Bid Solicitation {RFP} Section 1.2.2, installation is not included as part of this contract. It will be the Using Agency’s responsibility to arrange for the installation of the equipment through a separate procurement channel/method.
Any reference to installation within a price list will not be considered.
11

1.2.5
The Bid Solicitation {RFP} states that Basketball items, goals, tennis and volleyball items have been removed from this Bid Solicitation {RFP} and are now available only under contract T-0640. Please advise why this was done and why manufacturers were not alerted to this earlier as now we do not have the opportunity to include these products or bid on the alternate contract until the next RFP is issued.
T-0640 is the term Blanket PO {Contract} for chain link fence. T-0118 is the term Blanket PO {Contract} for sporting goods.
To avoid a duplication of items available under Blanket POs {Contracts}, items covered under Category 1 for basketball nets and accessories, basketball supports, rims, nets and backboards, goals (all types), tennis nets and accessories and volleyball nets and accessories, which appeared on the previous solicitation, were removed from this Bid Solicitation {RFP} as those items are available under T-0118 (Sporting Goods).
The procurement for T-0118 (Sporting Goods)was conducted in accordance with the Division's governing statutes and regulations and by its standard announcement procedures and practices. Notice of the procurement for T-0118 publicly advertised on the Division's website and in The Star Ledger.
12
5
1.2.5
Removal of products in Section. Never received notice that these items would only be available on T-0118 and therefore did not bid on T-0118. T-0118 has only 4 brands providing by 2 vendors while T-0103 has 20 brands of basketball backboards, volleyball and tennis posts, hockey & soccer goals, baseball field safety fence toppers & line markers, provided by 15 vendors. These products previously available for purchase by State and Municipal agencies will now no longer be available. This will reduce the availability, standardization and compatibility of products for users to choose from. It is recommended that Mfrs. bid rather than vendors but no mfrs. were advised to bid T-0118. Also the terms for T-0118 are different than T-0103. Can these categories be reinstated in T-0103?
No, the sporting goods categories will not be made part of T-0103.
The procurement for T-0118 (Sporting Goods)was conducted in accordance with the Division's governing statutes and regulations and by its standard announcement procedures and practices. Notice of the procurement for T-0118 publicly advertised on the Division's website and in The Star Ledger.

1.3.2
When submitting a hard copy, does it need to be in a specific form, such as a Binder?
No.
14
8
1.4.4
Since proprietary and confidential information may be exempted from public disclosure by OPRA and/or common law, can the vendor use a Non-Disclosure Agreement to list the information considered as Proprietary and confidential?
In regards to the waiving of any claims of copyright protection set forth within the manufacturers price list and/or catalogs, can we ask that the wording in this section be modified to indicate that the vendor grants the state of NJ a non-exclusive license to use the vendors catalog and price list copyright but does not waive any claims against third parties for unauthorized use of its copyrights?
No, non-disclosure agreements are not permitted.
No, Bid Solicitation {RFP} Section 1.4.4 will not be amended.
15
11, 19 and 34
1.5, 3.11 and 5.2
When new products (that are within the scope of the item descriptions that we are awarded within the price sheet) are introduced throughout the year, are we able to quote these under the NJ Blanket PO {Contract} with the appropriate discounting that has been approved on the price sheet? For example, if a new, larger park grill is released, can this be quoted under the contract using the discount provided on price line no 30? Or do we have to wait until the next price list is submitted and approved to quote the new grill under the NJ State Blanket PO {Contract}?
As stated in Bid Solicitation {RFP} Sections 1.5, 3.11 and 5.2, Vendors {Bidders} are permitted to revise their price lists with new products and pricing (within the scope of the category) once during a twelve (12) month period. The Vendor {Contractor} shall determine the date for price list update.
See Part 2 below for revised RFP § 3.11 language.
16
11, 19 and 34
1.5, 3.11 and 5.2
Do all awarded brands price lists need to be updated at one time or can they be updated individually as they become available?
See Part 2 below for revised RFP § 3.11 language.
17
15
3.1 - ADA Beach Access Matting
Could you please let us know the dimensions required to be quoted in regards of your bid #16DPP00019 - reference to price line 2 of your word document entitled T0103 16DPP00019 RFP.
Since the Master Blanket Purchase Orders (Blanket POs) {Contracts} resulting from this Bid Solicitation {RFP} will be utilized by multiple State Agencies and could potentially be used by cooperative purchasing participants, it is impossible to predict the exact size or dimensions of the ADA beach matting required by those users. Since Vendors {Bidders} are supplying price lists and/or catalogs Vendors {Bidders} are able to include price list/catalog containing pricing for all ADA beach access matting sizes and dimensions offered by your firm.
18
15 and Price Sheet
3.1 and Price line item 3 – ADA Ladders, Steps and Ramps
Page 1, Item #3, indicates ADA Ladders, Steps and Ramps. Can you please clarify if you mean as part of a playground structure? Or are you asking for these items for some other use?
For the purposes of this Bid Solicitation {RFP}, ADA ladders, steps and ramps will refer to any ADA ladders, steps and ramps used for accessibility to swimming pools. Please refer to Part 2 of this Bid Amendment (Addendum}.
19
15 and 32
3.1 and 4.4.7.1
If we bid a particular category of items, do we have to enter a price for each product under this category on the sheet provided or will the details on our own price list for that category suffice to bid?
No, a Vendor {Bidder} shall not enter a price for each product. As stated in Bid Solicitation {RFP} Section 4.4.7.1, Vendors {Bidders} shall a bid firm, fixed % discount or markup off manufacturer's latest price list, by entering the percentage discount or markup bid in the "DISCOUNT %" column on each price line for which a Quote {Proposal} is submitted on the price sheets.
20
16 and 26
3.1.1 and 4.4.1.3
While it is stated that there is one award per Brand, what if our subcontractors have the ability to offer our products as well under our brand? Will they have to right to offer our products as a subcontractor?
Could we be awarded the contract and yet also have our subcontractor offer our product line, under our brand?
A Vendor {Bidder} is permitted to utilize subcontractors. Please refer to Bid Solicitation {RFP} Section 4.4.1.3. The Vendor {Bidder} would be considered the Vendor {Contractor} and would receive the Blanket PO {Contract} award. If a Vendor {Bidder} intends to utilize subcontractors, the Vendor {Bidder} must comply with RFP Section 4.4.1.3 and submit the Subcontractor Utilization Plan.
Yes, Vendors {Bidders} are permitted to use subcontractors. The Vendor {Bidder} must comply with RFP Section 4.4.1.3 and submit the Subcontractor Utilization Plan.
21
16 and 31
3.1.2 and 4.4.5.4
We are not expected to quote prices that include freight correct?
Correct. The pricing contained in the price list or catalog shall not include any freight charges. As stated in Bid Solicitation {RFP} Section 4.4.5.4, the Vendor {Contractor} shall negotiate and agree to freight charges with the Using Agency prior to the issuance of a purchase order. The negotiated delivery charge shall be noted on the order form and/or invoice.

3.3
Statewide Award; Multi reps. situation has been available for over 20 years. Mfrs. Have not been given enough time to bid themselves and do not currently hold a BRC or PWCR. The majority of awards have been given to the local reps not National Mfrs. The majority of Mfrs do not bid local contracts. Can this Section be removed or revised to allow a two rep. situation?
Please refer to Part 2 of this Bid Amendment {Addendum}.
23
16
3.3
Can a two rep. situation, to provide Statewide coverage, for a Mfrs. products be submitted as a Joint Venture?
Please refer to Part 2 of this Bid Amendment {Addendum}.
24
16
3.3
Mfr. certification can only be supplied for two reps, splitting the State, to provide statewide coverage. Two rep. condition has existed for over 20 years. See questions for section 1.4.8 & section 3.3. How do we handle this situation?
Please refer to Part 2 of this Bid Amendment {Addendum}.
25
16
3.3
We carry a product line only in the Southern Counties of New Jersey and another vendor carries the same product line only in Northern New Jersey. If we are permitted, may we bid this manufacturer's product lineup as a Joint Venture? (Related to following question)
Joint Ventures are permitted under RFP Section 1.4.8 and RFP Section 4.4.1.1.
26
16
3.3
We carry a product line only in the Southern Counties of New Jersey and another vendor carries the same product line only in Northern New Jersey. As with previous contract awards, our firm held the contract as the representative for the manufacturer in the Southern Counties of New Jersey; and another firm holds the contract as the representative for the manufacturer in the Northern Counties. This configuration of representation has continued for the past 20 years, and as such, the manufacturer does not carry the proper business registrations for doing business in New Jersey directly. If this requirement is the case, then the vendor must register for a NJ BRC and other certifications within the state. This will be impossible during the time permitted for the bid opening on 7/15 and will eliminate them from bidding, which is against the spirit of government bidding. This would also eliminate representatives from carrying lines that are commonly sold by many representatives ("open lines") which will result in fewer purchasing options for customers, and less competition will result in higher prices for New Jersey public entities. May we list manufacturers that we carry in only the Southern Counties of the State? And further, May we list manufacturers that many firms carry?
Please refer to Part 2 of this Bid Amendment {Addendum}.
27
26
4.4.1.3
Can the Vendor have more than 1 subcontractor for a similar item? Example: can we have multiple subcontractors for Playground Surfacing?
Yes.
28
29
4.4.3.2.6
For a brand that will have many lines bid, Can the Mfr. price list be color coded, along with pages noted on submittal page? Category color matching colored items on price list instead of redacting.
Yes.
29
32
4.4.7.3
If we provide a list of distributors, it means they can actually accept orders on our behalf (the Vendor)? Does this allow flexibility for orders to be accepted directly by the Vendor and/ or by the Distributors?
Would this be a contract assignment: While the vendor holds the contract, can our distributor offer our products (our brand) on our behalf?
Yes.
The dealers/distributors can offer the products on the Vendors {Contractors} behalf. The dealer/distributor would service any Blanket PO {Contract} awarded and receive payment for the transaction successfully completed. A Vendor {Bidder} should list its distributors as subcontractors with the Quote {Proposal} as per Bid Solicitation {RFP} Section 4.4.1.3, and complete the Subcontractor Utilization Plan form.
30
33
4.4.7.6
When more than one manufacturer is going to be offered under a price line item, example, #4, Arbors, Shade Structures, how would we indicate that?
How do I submit more than one brand per price line number on the price sheet spread sheet? The form does not allow any way to add additional rows.
The spread sheet (Price Sheet) used to submit brands for each price line item does not allow submission of multiple brands for same price line number. How can I do that?
Please refer to Bid Solicitation {RFP} Section 4.4.7.6.
31
40
6.6
Does the past performance under similar Blanket POs have to be in NJ only?
No. A Vendor’s {Bidder’s} past performance will be based on similar Blanket POs {Contracts} previously or currently held by the Vendor {Contractor} with the State of New Jersey.
32
49
New Jersey Standard Terms and Conditions Section 3.7 (Buy American)
Does this apply to components as well?
Yes.
33
49
New Jersey Standard Terms and Conditions Section 4.1 (Indemnification)
Can the indemnification clause be modified to indicate that the Vendor will indemnify for its own negligence or willful misconduct?
The Bid Solicitation {RFP} will not be revised as requested.
34
51
New Jersey Standard Terms and Conditions Section 5.6 (Suspension of Work)
Suspension of work: what is considered valid reason?
Any circumstance, as determined by the State, that requires services under this Blanket PO {Contract} to be suspended.
35
52
New Jersey Standard Terms and Conditions Section 5.8 (Subcontracting or Assignment)
Can the assignment can be done at the moment of bid or will it be after the contract is awarded?
The assignment would be processed only after a Blanket PO {Contract} is established.
36
54
New Jersey Standard Terms and Conditions Section 6.1 (Price Fluctuation During Contract)
This section about price fluctuation during contract states that all prices quoted shall be firm through the issuance of the contract or PO and shall not be subject to increase during the period of the contract, and the RFP states that vendors will be permitted to submit a revised manufacturers price list once during a twelve (12) month period for review and approval as per section 1.5 in page 11. Please clarify?
A Vendor {Bidder} must hold the pricing submitted in its Quote {Proposal} firm through the issuance of the contract.
After Blanket PO {Contract} award, a Vendor {Contractor} is permitted to submit an updated product and price lists during the term of the Blanket PO {Contract} and any extension(s) thereof as stated in Bid Solicitation {RFP} Sections 1.5, 3.11 and 4.4.3.2.8. As per Bid Solicitation {RFP} Section 5.1, Bid Solicitation {RFP} Section 5 takes precedence over the New Jersey Standard Terms and Conditions. Please refer to Section 5.2 of the Bid Solicitation {RFP} which incorporates Section 3.11.
