(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in subpart 12.6 of the Federal Acquisition Regulation (FAR), as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) This solicitation is issued as a Request for Quotation (RFQ).
(iii) The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2024-05.
(iv) This procurement is set aside for as 100% for small businesses. The NAICS code is
541620 Environmental Consulting Services, and the Small Business Size Standard is $19M.

The USDA- International Institute of Tropical Forestry Caribbean Climate Hub is requesting Technical Services support establishing and maintaining communications with stakeholders, preparing and delivering talks, factsheets, web content and other outreach materials describing the Hub goals and activities, gathering information on stakeholder issues and concerns related to climate change, and helping prepare reports for the national office.

Replace (f)(2)(i) with the following:
Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition. (Delete paragraphs A, B, C).
The word quote or quoter is substituted in provision 52.212-1 for the word offer or offeror.
This solicitation is issued as a Request for Quote (RFQ). FAR Part 13, Simplified Acquisitions Procedures, will be used.

Quotes submitted in response to this solicitation shall include the following:
Technical Capability:
(1) Key Personnel Qualifications (no more than 10 pages, 8.5 x 11-inch document size; 10 pitch Arial Font or larger). Include the following:
(a) Include resume(s) for Key Personnel for Technical Services Support. Resumes must demonstrate that all minimum Key Personnel Qualifications identified in the SOW will be met by all proposed primary and alternate key personnel.
(b) Supporting narrative showing how Key Personnel qualifications meet or exceed minimum requirements.
(2) Completed Schedule of Items/Price Schedule.
(3) Completed Representations and Certifications (complete and return with your offer)
Quoters may submit an alternative Schedule of Items. If submitting an alternative Schedule of Items, the quoter shall clearly indicate how all requirements of the SOW will be met with line items as proposed.

(ix) FAR 52.212-2 Evaluation – Commercial Products and Commercial Services (NOV 2021) (Provision)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Key Personnel Qualifications –Proposed key personnel qualifications will be evaluated to ensure these minimum qualifications will be met. Comparative evaluations will be performed among responses received.
Price - The price evaluation will document the reasonableness, balance, and affordability of the proposed total evaluated price. Affordability may be controlling in circumstances where two or more offers are evaluated for past performance and the superior offeror is at a cost that the Government cannot afford.
(b) Comparative Evaluation. The Government will perform a comparative evaluation (comparing quoters to each other) to select the contractor that is best suited and provides the best value, considering the evaluation factors in this solicitation.
(c) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one half of the quoter’s final option period price to the quoter’s total price (base and four option periods). Thus, the quoter’s total price for the purpose of Solicitation Number: 12445024Q0035 evaluation will include the base year, 1st option periods, and ½ of the 1st option period price. Quoters are not required to enter a price for the potential six-month extension period.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at FAR 52.215-2, Audit and Records- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1), in a subcontract for commercial products or commercial services.

52.217-8 Option to Extend Services (Nov 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days of contract expiration.
52.217-9 Option to Extend the Term of the Contract (Mar 2000)
(a)The Government may extend the term of this contract by written notice to the Contractor within 30 calendar days of contract expiration, provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 calendar days before the contract. expires. The preliminary notice does not commit the Government to an extension.
(b)If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c)The total duration of this contract, including the exercise of any options under this clause, shall not exceed 2 years and 6 months (total 30-months) inclusive of the potential 6-month extension under FAR 52.217-8.

452.237-74 Key Personnel (FEB 1988)
(a) The Contractor shall assign to this contract the following key personnel:
(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.
(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.
Personal Identity Verification of Contractor Employees
(a) The contractor shall comply with the personal identity verification (PIV) policies and procedures established by the Department of Agriculture (USDA) Directives 4620-002 series.
(b) Should the results of the PIV process require the exclusion of a contractor's employee; the Contracting Officer will notify the contractor in writing.
(c) The contractor must appoint a representative to manage compliance with the PIV policies established by the USDA Directives 4620-002 series and to maintain a list of employees eligible for a USDA Linc Pass required for performance of the work.
(d) The responsibility of maintaining a sufficient workforce remains with the contractor.
Contractor employees may be barred by the Government from performance of work should they be found ineligible or to have lost eligibility for a USDA Linc Pass. Failure to maintain a sufficient workforce of employees eligible for a USDA Linc Pass may be grounds for termination of the contract.
(e) The contractor shall insert this clause in all subcontracts when the subcontractor is required to have routine unaccompanied physical access to a Federally-controlled facility and/or routine unaccompanied access to a Federally-controlled information system.
(f) The PIV Sponsor for this contract is a designated program point of contact, which in most cases is the COR, unless otherwise specified in this contract. The PIV Sponsor will be available to receive contractor identity information from * (hours and days) to * (hours and days) at * (office address for registration). The Government will notify the contractor if there is a change in the PIV Sponsor, the office address, or the office hours for registration;
however, it is the contractor's responsibility to meet all aspects of paragraphs (c), (d), and (e).
