About this file
This is a Special Terms and Conditions document for the Southwest Virginia Regional Jail Authority (SWVRJA) governing a corrections supply contract for four jail facilities in Virginia. The document establishes contractual framework and operational requirements rather than specifying particular products, quantities, or deadlines. The contract may be renewed by mutual written agreement for two successive one-year periods, with price escalation discussions to occur approximately 60 days before expiration. Bidders have 60 days to submit proposals, after which bids remain valid until award or solicitation cancellation. The initial contract period may exceed 12 months, with either party able to terminate without penalty after the first 12 months upon 60 days written notice. The SWVRJA reserves the right to cancel and terminate any contract, in part or in whole, without penalty, also upon 60 days written notice.
Pricing is subject to escalation based on verified changes in the contractor's material costs, guided by the Consumer Price Index for the Food Category, though no increases are permitted for 365 days after contract effectiveness. Price decreases must be communicated immediately to the purchasing department. Contractors must provide 30 days advance notice of any price increases and maintain all books, records, and documents for five years after final payment, with full access granted to SWVRJA auditors and state auditors. Substitution of products or manufacturers after contract award is expressly prohibited without written approval from the Contract Officer. Subcontracting is prohibited without prior written consent, and the contract extends to cooperative procurement arrangements allowing other local governments and school boards in the region to participate at contract prices. Contractors must indemnify SWVRJA against claims arising from materials, goods, equipment, or services provided, except where liability results solely from the agency's negligence or misuse.
