In particular, the HRM Manual requires detailed security procedures for all individual contractors including contractors performing pursuant to any purchase order or any purchase card transaction, for which the period of performance is equal to or in excess of 30 days. Additionally, the policy is applicable whenever a contractor is performing pursuant to more than one purchase order or more than one purchase card transaction, for which the periods of performance, when combined, are equal to or exceed 30 days. The requirements of the HRM Manual, Part 731.2 and BPAP Part 37, for implementing such procedures for individual contractors for periods of service exceeding 30 days include:

STATEMENT OF WORK:

GENERAL INTENTION: It is the intent of this solicitation to result in a firm-fixed-price, indefinite delivery-indefinite quantity contract for Vegetable Transplant Services for the UNICOR Farm located in Lompoc, CA. The guaranteed minimum shall be $10,000.00.

The period of performance shall be date of award through 36 months. The qualified vendor shall provide their firm-fixed-price quote under three separate scenarios:

SCENARIO 1 – FULLY OUTSOURCED BROCCOLI TRANSPLANT SERVICES

FPI is in need of a qualified vendor to grow broccoli plant from seed, transport the seedlings to the UNICOR Farm in Lompoc, CA and then transplant the seedlings on to the UNICOR Farm. Seed will be provided by FPI to awarded vendor to use. Awarded vendor shall supply all other materials and labor necessary to the growing process.

Broccoli plants are to be transplanted by awarded vendor at a plant population rate of 36,682 plants per acre with a possible adjustment for plant spacing during the winter months. This rate is good for 365 consecutive days, beginning from the first transplant date. Weekly plantings will begin at four (4) acres per week and can be expanded to a maximum of fourteen (14) acres per week, using the same rate.

SCENARIO 2 – VERIMARK

Transplant Chemical Treatment: The Contractor shall perform a chemical dip treatment on all designated transplants using the Verimark® insect control product, or an equivalent product as specified by the Government. The Contractor shall conduct the dipping process only upon notification and direction from the Government’s designated representative.

The Contractor will supply all Verimark® chemical materials required for this treatment.

The Contractor shall ensure proper handling, mixing, and application in accordance with the manufacturer’s instructions, applicable safety guidelines, and all federal, state, and local regulations governing the use of agricultural chemicals.

The Contractor is responsible for ensuring that all personnel performing the treatment are trained in safe chemical handling procedures and that appropriate personal protective equipment (PPE) is used during all dipping operations.

Although the awarded vendor shall provide nursery services under each scenario, at

8 of 28SV0200-26 mailto:Accounts.payable@usdoj.gov the discretion of FPI, the awarded vendor may need to either transport the seedlings to the UNCOR Farm, or transplant the seedlings to the UNICOR Farm, or perform both services. Thus, it is contemplated that the final award shall reflect pricing for such service individually and the qualified vendor should provide pricing accordingly.

Awarded vendor will sow orders to meet a weekly planting schedule, which can vary pursuant at the discretion of FPI. Further, the quantity of the orders shall be based upon an expected germination rate of 90%. For example, for a required plant population of 36,862 per acre, FPI Lompoc UNICOR Farm will provide seed at a rate of 40,758 seeds per acre:

[36,682/.90 = 40,758 seeds per acre]

Once actual germination rates are known, the over-sow percentage and quantity of seed sown per acre may be adjusted to a mutually agreed upon quantity. Any plants that are not transplanted in a given week will either be used in the following week (rolled) or discarded (dumped) based on the quality, age and condition of the plants.

FPI Lompoc UNICOR Farm will only be invoiced for plants that get transplanted into their field. Invoices shall be submitted monthly, and reviewed for accuracy by the FPI Farm staff.

Transplants must be ready to plant according to attached planting schedule. Extra plants will be discarded at the discretion of FPI Lompoc UNICOR Farm based upon the quality and condition of the plants as well as the needed quantity.

In addition to the aforementioned contract guidelines, the following criteria must also be met:

• All Primus lab food management and safety guidelines must be followed;

• Must include 450 plugs (trays);

• Hours of operation must be set between Monday through Friday between the hours of 6:30am – 3:30pm (Holidays Excluded);

• Proper notification of delivery, pick up, and/or cleaning of portable restroom times must be communicated and coordinated with an FPI Lompoc UNICOR Farm staff member.

The awarded contract may be modified to include additional types of vegetable seed, other than broccoli. All specifications for such seed and transplants shall be included in modification to award and issued upon mutual agreement between FPI and the awarded vendor.

52.216-4 Economic Price Adjustment-Labor and Material (JAN 2017)

a) The Contractor shall notify the Contracting Officer if, at any time during contract performance, the rate of pay for labor (including fringe benefits) or the unit prices for material shown in the Schedule either increase or decrease. The Contractor shall furnish this notice within 60 days after the increase or decrease, or within any additional period that the Contracting Officer may approve in writing, but not later than the date of final payment under this contract. The notice shall include the Contractor’s proposal for an adjustment in the contract unit prices to be negotiated under paragraph (b) of this clause, and shall include, in the form required by the Contracting Officer, supporting data explaining the cause, effective date, and amount of the increase or decrease and the amount of the Contractor’s adjustment proposal.

(b) Promptly after the Contracting Officer receives the notice and data under paragraph (a) of this clause, the Contracting Officer and the Contractor shall negotiate a price adjustment in the contract unit prices and its effective date. However, the Contracting Officer may postpone the negotiations until an accumulation of increases and decreases in the labor rates (including fringe benefits) and unit prices of material shown in the Schedule results in an adjustment allowable under paragraph (c)(3) of this clause. The Contracting Officer shall modify this contract (1)to include the price adjustment and its effective date and (2)to revise the labor rates (including fringe benefits) or unit prices of material as shown in the Schedule to reflect the increases or decreases resulting from the adjustment. The Contractor shall continue performance pending agreement on, or determination of, any adjustment and its effective date.

(c) Any price adjustment under this clause is subject to the following limitations:

(1) Any adjustment shall be limited to the effect on unit prices of the increases or decreases in the rates of pay for labor (including fringe benefits) or unit prices for material shown in the Schedule. There shall be no adjustment for-

(i) Supplies or services for which the production cost is not affected by such changes;

(ii) Changes in rates or unit prices other than those shown in the Schedule; or

(iii) Changes in the quantities of labor or material used from those shown in the Schedule for each item.

(2) No upward adjustment shall apply to supplies or services that are required to be delivered or performed before the effective date of the adjustment, unless the Contractor’s failure to deliver or perform according to the delivery schedule results from causes beyond the Contractor’s control and without its fault or negligence, within the meaning of the Default clause.

(3) There shall be no adjustment for any change in rates of pay for labor

(including fringe benefits) or unit prices for material which would not result in a net 18 of 28SV0200-26 change of at least 3 percent of the then-current total contract price. This limitation shall not apply, however, if, after final delivery of all line items, either party requests an adjustment under paragraph (b) of this clause.

(4) The aggregate of the increases in any contract unit price made under this clause shall not exceed 10 percent of the original unit price. There is no percentage limitation on the amount of decreases that may be made under this clause.

(d) The Contracting Officer may examine the Contractor’s books, records, and other supporting data relevant to the cost of labor (including fringe benefits) and material during all reasonable times until the end of 3 years after the date of final payment under this contract or the time periods specified in subpart 4.7 of the Federal Acquisition Regulation (FAR), whichever is earlier.
