About this file

Summary

This is a Sole Source Justification document under simplified procedures for commercial items, issued by the Department of Veterans Affairs, Network Contracting Office 8 (Acquisition ID: 36C248-26-AP-2764). The contracting activity supports the C.W. Bill Young VA Medical Center in Bay Pines, Florida, and seeks preventive maintenance and software support services for an existing TransLogic/Swisslog pneumatic tube system consisting of approximately 89 stations, 70 transfer units, 11 blowers, associated components, and operational software.

The required services include quarterly preventive maintenance with four scheduled visits annually—two comprehensive visits covering 100 percent of the system and two interim visits covering 50 percent focusing on high-use components—plus software maintenance including licensing, service packs, version releases, bug-fix updates, and 24/7/365 technical support with Tier 2/Tier 3 capabilities. The contract structure is a firm-fixed-price award consisting of one 12-month base period plus four 12-month option periods. Competition is restricted to TransLogic Corporation as the sole responsible source based on the proprietary nature of the manufacturer's hardware and integrated software, manufacturer-authorized service requirements, and the risk that non-authorized work could void existing warranty coverage. Market research identified 19 active VA contract actions awarded to TransLogic Corporation for pneumatic tube system services, confirming it as the only contractor with demonstrated VA performance capability. The Contracting Officer will determine fair and reasonable pricing using price analysis considering the contractor's proposed pricing, historical VA prices for similar services, an Independent Government Cost Estimate, and relevant market research. A Notice of Intent to Sole Source will be published on SAM.gov with the RFQ and Statement of Work attached to provide industry notice and allow capable sources to submit capability information for consideration prior to award.

2. Bill Young VA Medical Center in Bay Pines, Florida. The installed system consists of approximately 89 stations, 70 transfer units, 11 blowers, associated components, and operational software.

This acquisition is being conducted using the simplified procedures for commercial products and commercial services prescribed by RFO 12.201-1, with competition restricted in accordance with RFO 12.102(b) under the statutory authority of 41 U.S.C. § 1901. 4. Statutory Authority Permitting Restricted Competition:

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): The Bay Pines VA Medical Center operates an existing TransLogic/Swisslog pneumatic tube system. The Government's requirement is for continued preventive maintenance and software support of the installed system rather than acquisition of a replacement pneumatic tube system.

Market research identified manufacturer documentation concerning the proprietary nature of TransLogic pneumatic tube systems. TransLogic has previously represented to VA that its pneumatic tube systems incorporate proprietary operational technology, including hardware such as motors, seals, sensors, stations, transfer units, blowers and electronics; integrated software, including system enhancements and protective security features; accessories; and preventive-maintenance items.

TransLogic further represented that only its Sales Representatives, Field Service Engineers, or designated employees are authorized to service, sell, install, or upgrade TransLogic pneumatic tube systems or individual system components. The manufacturer also stated that work performed by a non-authorized agent could affect existing TransLogic Corporation or Swisslog Healthcare warranty or service-agreement coverage.

The current requirement also includes maintenance and support of the TransLogic pneumatic tube system's operational software, including software licensing, releases, service packs, documented bug-fix updates, and Tier 2/Tier 3 technical support. Historical manufacturer information identifies the integrated software as proprietary TransLogic technology.

Bay Pines-specific modernization documentation confirms that the existing system incorporates TransLogic hardware and Nexus™ System Control Software, with software licensing, releases, service packs, bug fixes, and technical support provided through the Software Maintenance Agreement. Based on the proprietary nature and configuration of the installed system, manufacturer service authorization, and VA acquisition history, TransLogic Corporation is the only responsible source capable of providing the required preventive maintenance and software support for the existing Bay Pines TransLogic/Swisslog pneumatic tube system.

6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable: The Contracting Officer conducted market research to identify potential sources capable of providing preventive maintenance and software support for the existing TransLogic/Swisslog pneumatic tube system. Research included review of VA acquisition history through the Analytics, Data and Decision Support Unified Platform (ADDS UP), review of prior VA and NCO 8 acquisitions involving TransLogic pneumatic tube systems, review of manufacturer proprietary-source information, and review of available Government contract vehicles.

The market research identified numerous VA acquisitions for maintenance and support of existing TransLogic pneumatic tube systems. The research did not identify another contractor with demonstrated VA performance providing the complete manufacturer-supported preventive maintenance and proprietary software-support requirement for an installed TransLogic system.

To provide additional notice to industry, the Government will publish a Notice of Intent to Sole Source on SAM.gov with the complete RFQ and Statement of Work attached. Responsible sources that believe they can satisfy the complete requirement will be afforded an opportunity to submit capability information for consideration by the Contracting Officer prior to award.

7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: In accordance with RFO 12.204(a), the Contracting Officer will determine the final price to be fair and reasonable using price analysis prior to award. The analysis will consider the contractor's proposed pricing, relevant historical prices paid by VA for TransLogic pneumatic tube preventive
