About this file
This is a Justification for Sole Source Procurement document submitted by the Centers for Disease Control and Prevention (CDC) for a Transmission Electron Microscope (TEM) Service Agreement under $350,000.
The CDC's Infectious Diseases Pathology Branch (IDPB) at the Roybal Campus in Atlanta, Georgia, seeks a sole source acquisition from FEI Company for service, repairs, and software updates with annual preventative maintenance and calibration for a Talos L120C G2 TEM instrument. The equipment is highly specialized and used for imaging, diffraction, and analytical techniques at high spatial resolution, including bright- and dark-field imaging, microprobe and nanoprobe analysis, and examination of various specimen types. The justification is based on exclusive licensing agreements and proprietary data, as FEI Company is the original equipment manufacturer (OEM) and the only source capable of providing authorized service, replacement parts, and software updates. The TEM can only be maintained by factory-trained FEI personnel with access to OEM parts, which is necessary to meet Clinical Laboratory Improvement Amendments (CLIA) quality regulations. The program office conducted market research, including a GSA Market Research As a Service request and a Request for Information notice posted November 24, 2025 (closed December 5, 2025) with no interested responses. Alternative vendors were contacted and deemed incapable: Saf-T-Gard International is limited to dielectric testing services, and TSS Microscopy LLC does not provide service agreements outside the Pacific Northwest region. The CDC also confirmed that other institutions using the same Talos L120C G2 TEM contract with FEI for maintenance service. The justification was certified by Lisa Angel (Program Official) on January 7, 2026, and approved by Latoya Michel (Contracting Officer) on January 15, 2026.

Rev. 1/6/14
JUSTIFICATION FOR SOLE SOURCE PROCUREMENT (OPEN
MARKET OR GSA) UNDER $350,000
Sole source acquisitions may be used on a limited basis and only when the Contracting Officer’s Representative (COR)/Program Official has provided sufficient justification and the Contracting Officer has determined that the circumstances warrant such action. The content for a justification must contain detailed facts and rationale to justify the sole source acquisition. Soliciting from a single source must be done in accordance with FAR 13.106-1(b) or 8.405-6. At a minimum, the following information must be included:
Identification of Program Office, Contracting Activity, and Proposed Requirement, Justification and Program Office Certification:
A. Program Office:
Infectious Diseases Pathology Branch Roybal Campus Building 18, SB-132 Centers for Disease Control and Prevention Atlanta, GA 30329
B. Contracting Activity:
Centers for Disease Control and Prevention Office of Acquisition Services Acquisition Branch NCEZID
C. Identification of Requirement:
1. Nature of Action to be Approved by Contracting Officer:
a. Sole source acquisition of: Transmission Electron Microscope (TEM) Service Agreement for Infectious Diseases Pathology Branch (IDPB)
b. Procurement Request (PR) Number (if available): 00HCRED-2026-95064
2. Proposed Vendor and Estimated Procurement Amount (if available):
a. Proposed Vendor: FEI Company
b. Estimated Procurement Amount:
3. Is the requirement on GSA Schedule? ☐ Yes ☒ No
If yes, provide schedule number: Click here to enter text.
D. Justification:
1. The justification for this non-competitive action is:
Rev. 1/6/14
☒ In accordance with FAR 13.106-1(b)(1), “only one source [is] reasonably available” which states that, “For purchases not exceeding the simplified acquisition threshold. (i) Contracting officers may solicit from one source if the contracting officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name or industrial mobilization). (ii) Where a single source is identified to provide a portion of a purchase because that portion of the purchase specifies a particular brand-name item, the documentation in paragraph (b)(1)(i) of this section only applies to the portion of the purchase requiring brand-name item. The documentation should state it is covering only the portion of the acquisition which is brand- name.”
☐ Urgency ☒ Exclusive licensing agreements/Proprietary data ☐ Brand name required ☐ Industrial mobilization ☐ Other (e.g., compatibility, space issues, continuity, compatibility, etc.)
☐ In accordance with FAR 8.405-6 “Limiting Sources” which states that, “the only circumstances that may justify the action are – (A) An urgent and compelling need exists, and following the procedures would result in unacceptable delays; (B) Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or (C) In the interest of economy and efficiency, the new work is a logical follow-up to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original BPA must not have been previously issued under sole-source or limited-sources procedures.”
☐ Urgency ☐ Only One Source ☐ Logical Follow Up
2. Other facts supporting sole source procurement:
a. What can this product/service do that other products/services cannot do? Service agreement including repairs and required software updates with annual preventative maintenance calibration for the Talos L120C G2, a Transmission Electron Microscope (TEM) instrument that is a highly specialized microscope used for combining all imaging, diffraction, and analytical techniques at good spatial resolution and detection efficiency and offers bright- and dark-field imaging, TEM microprobe and nanoprobe analysis, small-probe convergent beam, and large specimen tilts. It provides several modes for directly imaging cell and macromolecular ultrastructure and can be used to examine negatively-stained specimens, cryo-specimens and sections of resin-embedded specimens. Repair/replacement parts require OEM parts to maintain equipment integrity and to meet quality regulations for Clinical Laboratory Improvement Amendments of 1988 (CLIA) testing for the CDC laboratory environs.
Field Electron and Ion (FEI) Company is the OEM of the instrument and is the only source to provide service on this specialized equipment. Service/maintenance must be performed by an authorized personnel/engineer specially trained to maintain the
TEM.
b. What other products/services were considered and why did they not meet the need?
Due to the high level of automation and computerization, it can only be maintained and serviced by specially factory-trained personnel with FEI. As the OEM the vendor
