SUPPLIES OR SERVICES AND PRICES/COSTS

COMPETITION IS NOT ANTICIPATED: However, for an offeror to be eligible for contract award, offerors must be approved sources, in accordance with the Qualification Requirements clause. Note that the Government is not required to delay contract award to review pending Source Approval Requests (SARs). Therefore, offerors are encouraged to submit the SAR as soon as possible. Due to export control restrictions, the Engineering Data List (EDL) and drawings can only be obtained through www.sam.gov via secure link to the solicitation notice for view only by vendors authorized to view export-controlled data. Solicitation Closing Dates WILL NOT be extended for the sole purpose to allow for additional time to propose.

Award will be made only if the offeror, the product/service, or the manufacturer meets qualification requirements at the time of award in accordance with FAR Clause 52.209-1.

AWARD WILL NOT BE WITHHELD WAITING QUALIFICATION: Potential sources are not to utilize intellectual property of third parties without appropriate authorization of the intellectual property owner. Potential sources are cautioned that no part of the Government property qualification requirement is intended to endorse or encourage the improper use of intellectual property developed by the Original Equipment Manufacturer or any other third party.

IF ONLY ONE OFFER IS RECEIVED: The following clauses shall apply- FAR 52.215-10, Price Reduction for Defective Certified Cost or Pricing Data FAR 52.215-12, Subcontractor Certified Cost or Pricing Data FAR 52.215-20, Requirements for Certified Cost or Pricing data and Data Other Than Cost or Pricing Data FAR 52.215-22, Limitations on Pass-Through Charges-Identification of Subcontract Effort FAR 52.215-23, Limitations on Pass-Through Charges

The data rights for this item are not owned by the Government. Permission for providing (manufacturing or distributing) the item must be attained from the OEM. Quotes provided without valid evidence from the OEM giving specific expressed permission to provide the item to the U.S. Government, will be considered non-responsive.

NOTICE OF RANGE QUANTITY SOLICITATION: The current required production quantity is 861 ea. However, the final required quantity may change. Therefore, offeror(s) are required to propose prices for the specific quantity ranges identified in the solicitation. The current overall possible quantity range for this acquisition is between a minimum quantity of 216 ea and maximum quantity of 1292 ea. First article quantities are considered to be in addition to those production quantities. If the specific quantity ranges identified in the solicitation do not provide the best pricing option for your company business model, then the contractor has the option of identifying within Provision 52.207-4, those suggested quantity ranges, for informational/planning purposes only, that yield your best prices to the Government. Offeror(s) are still required to submit proposals for the specific quantity ranges identified in the solicitation. The Final fixed-quantity of this requirement is at the sole discretion of the Government and the Government reserves the right to award no contract at all depending on the quality and prices of proposal(s) received. The final buy quantity will be re-evaluated and determined upon receipt of proposal(s) and the closing date of the solicitation.

NOTES APPLICABLE TO FIRST ARTICLE EXHIBITS IN CLINs 0002 - 0003:

There is a requirement for multiple First Article Exhibits. The Government will perform a proper test in accordance with 52.209-4 (Government Test). The exhibits in CLIN 0002 are for Fitment Test and the exhibit in CLIN 0003 is to be expended during Government testing. If the First Article Exhibits are approved, exhibits in CLIN 0002 will remain on the aircraft and will not be forwarded to USAF supply and are considered to be in addition to the production quantity. Disapproved exhibits and the expended exhibit will be retained by usaf supply pending disposition instructions by the contractor.

The contractor shall not proceed with production quantities until notice of First Article approval is received from the Contracting Officer. The First Article offered must be manufactured at the facilities in which that item is to be produced under the contract, or if the First Article is a component not manufactured by the contractor, such component must be manufactured at the facilities in which the component is to be produced for the contract.

52.209-1 QUALIFICATION REQUIREMENTS (FEB 1995)

(IAW FAR 9.206-2)

(a) Definition: "Qualification Requirement," as used in this clause, means a Government requirement for testing or other quality assurance demonstration that must be completed before award.

(b) One or more qualification requirements apply to the supplies or services covered by this contract. For those supplies or services requiring qualification, whether the covered product or service is an end item, the product, manufacturer, or source must have demonstrated that it meets the standards prescribed for qualification before award of this contract. The product, manufacturer, or source must be qualified at the time of award whether or not the name of the product, manufacturer, or source is actually included on a qualified products list, qualified manufacturers list, or qualified bidders list. Offerors should contact the agency activity designated below to obtain all requirements that they or their products or services, or their subcontractors or their products or services, must satisfy to become qualified and to arrange for an opportunity to demonstrate their abilities to meet the standards specified for qualification.

Item No Agency Name/Address

(c) If an offeror, manufacturer, source, product or service covered by a qualification requirement has already met the standards specified, the relevant information noted below should be provided.

Offeror's Name ______________________________

Manufacturer's Name _________________________

Source's Name ______________________________

Item Name _________________________________

Service Identification _________________________

Test Number _______________________________ (to the extent known)

(d) Even though a product or service subject to a qualification requirement is not itself an end item under this contract, the product, manufacturer, or source must nevertheless be qualified at the time of award of this contract.

This is necessary whether the Contractor or a subcontractor will ultimately provide the product or service in question.

If, after award, the Contracting Officer discovers that an applicable qualification requirement was not in fact met at the time of award, the Contracting Officer may either terminate this contract for default or allow performance to continue if adequate consideration is offered and the action is determined to be otherwise in the Government's best interests.

(e) If an offeror, manufacturer, source, product, or service has met the qualification requirement but is not yet on a qualified products list, qualified manufacturers list, or qualified bidders list, the offeror must submit evidence of qualification prior to award of this contract. Unless determined to be in the Government's interest, award of this contract shall not be delayed to permit an offeror to submit evidence of qualification.

(f) Any change in location or ownership of the plant where a previously qualified product or service was manufactured or performed requires reevaluation of the qualification. Similarly, any change in location or ownership of a previously qualified manufacturer or source requires reevaluation of the qualification. The reevaluation must be accomplished before the date of award.

(f) If the Government does not act within the time specified in paragraph (b) or (c) above, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the Changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.

(g) The Contractor is responsible for providing operating and maintenance instructions, spare parts support, and repair of the first article during any first article test.

(h) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for

(1) progress payments, or

(2) termination settlements if the contract is terminated for the convenience of the Government.

(i) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the Offeror/Contractor and have been accepted by the Government. The Offeror/Contractor may request a waiver.

(j) The Contractor shall produce both the first article and the production quantity at the same facility.

(The above Clause/Provision has been modified.)
