· Amendment 0001 Page 7 of Section 10 – PAST PERFORMANCE, (4), (r), is revised to state: “ Actual Subcontracting Plan performance for small disadvantaged business, veteran-owned small business concerns, service-disabled veteran-owned small business concerns, HUBZone small business concerns, and woman-owned small business concerns (where applicable).”

· Sales for FY2013 have been included in Attachment 5.

· No additional PEL questions will be answered prior to closing.

Questions were submitted by interested parties. DLA Troop Support has prepared answers to these inquiries. See below:

1. Question: Paragraph (1) of the Past performance instructions state for the offeror to “provide a list of your top 3 highest dollar value contracts performed at some point within the past five years for Maintenance, Repair and Operations type items as described in the SOW”. For the most recent MRO TLS solicitations for Hawaii (SPM8E3-14-R-0003) and Southwest (SPM8E3-14-R0004, Amendments were released that revised the instructions to: “Provide a list of your top 5 highest volume dollar contracts performed at some point within the past 5 years for Maintenance, Repair and Operations (MRO) type items as described in the SOW”. Will an amendment be issued for North Central that is consistent with Amendment #5 (Hawaii) and Amendment #6 (Southwest) to provide a list of the top 5 highest dollar value contracts for MRO type items within the past 5 years?

Answer: No. The instructions in the solicitation are correct: “provide a list of your top 3 highest dollar value contracts performed at some point within the past five years for Maintenance, Repair and Operations type items as described in the SOW”.

2. Question: RFP exempts Attachment mentioned on page 56 from the page limit. Based on previous RFPs, we assume the Attachment refers to the "written evidence from the supplier/subcontractor that states intent to provide services to the offeror" discussed on page 60. Is this correct?

Answer: Yes

3. Question: SOW paragraph 4(a) does not list any technical requirements for interfacing with customer specific systems. Is the contractor required to develop any IT interfaces with customer systems, for example, with CEMAS or Maximo? Are there any additional requirements related to contractor reporting to customer-specific systems Answer: During contract performance, the TLS PV may be required to interface with additional customer specific systems as developed or implemented by the customer.

4. Question: Do the Distribution Ceiling Prices (i.e. the Distribution Matrix) apply to any item that may be ordered during the term of the contract regardless of whether or not the item is included with the initial PEL or Acceptable Alternates list incorporated into the initial contract award?

Answer: Yes, the Distribution Ceiling Prices are firm fixed ceiling prices per order that are applicable to all items, including products and incidental services, that may be ordered during the life of the contract.

5. Question: Please provide the full 2012 line item level details for each order from RFP attachment 3 for the below DODAACs: FC4407,FA4600,FC2300,W58XUW,SC0707,W90T7E,FB4528,W908ZY,F7H3CF,W81C8X and W90G4S Answer: Information is not available

6. Question: Please provide the text for the following clause: DLAD 52.215-9036 Sales Pricing Practices – Commercial (JAN 2014) and DLAD 52.215-9037 Price Reductions (JAN) Answer: Full text of both clauses is provided below:

DLAD 52.215-9036 -SALES PRICING PRACTICES - COMMERCIAL ITEMS (JAN 2014)

(a) This provision is applicable to items meeting the definition of commercial item in FAR 2.101.

(b) Before award of a contract, the Contracting Officer, using the submitted information , and the Offeror will agree upon: (1) the customer (or category of customers) which will be aligned with the Government for pricing; and (2) the Government's price or discount relationship to the aligned customer (or category of customers). This agreement will be based on the information provided by the Offeror in accordance with paragraph (e) of this clause. Any change in this pricing arrangement during the contract period shall constitute a price reduction and be subject to the requirements of 52.215-9037, Price Reduction.

(c) Definitions.

"Aligned customer" means the customer (or category of customers) whose pricing is aligned with the Government pricing for purposes of the 52.215-9037, Price Reductions.

"Concession" means a benefit, enhancement or privilege (other than a discount), which either reduces the overall cost of a customer's acquisition or encourages a customer to consummate a purchase. Concessions include, but are not limited to, freight allowance, extended warranty, extended price guarantees, free installation, and bonus goods.

"Discount " means a reduction to item prices (published or unpublished). Discounts include, but are not limited to, rebates, quantity discounts, purchase option credits, and any other terms or conditions other than concessions that reduce the amount of money a customer ultimately pays for goods or services ordered or received. Any net price lower than an established or list price is considered a "discount" by the percentage difference from the established or list price to the net price.

(d) For each item included in an offer, provide the information outlined in paragraph (e). The Offeror may provide a single response covering more than one item, if the information disclosed is the same for all covered items. If discounts and concessions vary by item, model, or product line, the Offerors shall ensure that information is clearly annotated as to item or items referenced.

(e) Provide information described below for each item (or groups of items, as applicable):

(1) Two copies of the Offeror's current published (dated or otherwise identified) commercial descriptive catalogs and/or price list(s) from which discounts are offered. If special catalogs or price lists are printed for the purpose of this offer, such descriptive catalogs or price lists shall include a statement indicating the special catalog or price list represents a verbatim extract from the Offeror's commercial catalog and/or price list and shall identify the descriptive catalog and/or price list from which the information has been extracted.

(2) The discount(s) offered under this solicitation. The description of discounts offered shall include all discounts, such as prom pt payment discounts , quantity/dollar volume discounts (indicate whether models/prod ucts can be combined to earn discounts), blanket purchase agreement discounts, or purchase option credits. If the terms of sale appearing in the commercial catalogs or price list on which an offer is based are in conflict with the terms of this solicitation, the latter shall govern.

(3) A description of concessions offered that are not granted to other customers. Such concessions may include, but are not limited to, an extended warranty, a return/exchange goods policy, or enhanced or additional services.

(4) If the Offeror is a dealer/reseller or will use dealers to perform any aspect of contract requirements awarded under this solicitation, describe the functions, if any, that the dealer/reseller will perform.

(5) Provide the dollar value of sales to non-DLA Department of Defense and commercial customers at or based on an established catalog or market price during the previous 12-month period or your last fiscal year. Identify the beginning and ending of the 12-month or fiscal year period, as applicable. In the event that a dollar value is not an appropriate measure of the sales, the Offeror shall provide and describe its own measure of the sales of the item(s).

(6) Based on the Offeror's written discounting policies (or standard commercial sales practices, in the event the Offeror does not have written discounting policies), state whether the discounts and any concessions being offered are equal to or better than the Offeror's best price (discount and concessions in any combination) offered to any customer acquiring the same item(s),regardless of quantity or terms and conditions. For each item or group of items for which the response is affirmative (i.e., the discounts and any concessions offered to the Government under this solicitation are equal to or better than the Offeror's best price offered to any customer), submit the information covered by the chart in paragraph (7) below for the customer(s) who receive your best discount. For each item or group of items for which the response is negative, submit the information covered by the chart in (7) identifying the Offeror's written policies or standard sales practices for all customers or customer categories to whom the Offeror sells at a price (discounts and concessions in combination) that is equal to or better than the price(s) offered to the Government under this solicitation or with which the Offeror has a current agreement to sell at a discount that equals or exceeds the discount(s) offered under this solicitation. Such agreement shall be in effect on the date the offer is submitted or contain an effective date during the contract period that will result from this solicitation. If the offered price is lower than the Offeror's price to other customers or customer categories, the Offeror will be aligned with the customer or category of customers that receives the Offeror's best price for purposes of 52.215-9037, Price Reductions.

Provide information required by the format in (7) below in accordance with these instructions that is, to the best of the Offeror's knowledge and belief, current, accurate, and complete as of 14 calendar days prior to its submission. The Offeror shall also disclose any changes in its price list(s), discounts and/or discounting policies that occur after the offer is submitted but before the close of negotiations. If the Offeror's discount practices vary by item, model, or product line, the discount information should be by model or product line as appropriate. The Offeror may limit the number of items, models, or product lines reported to those which exceed 75% of actual historical Government sales (commercial sales may be substituted if Government sales are unavailable) value of the item.

(7) Based on the Offeror's written discounting policies (or standard commercial sales practices, in the event the Offeror does not have written discounting policies), the Offeror shall use the format of the chart below to provide the information in each column heading for each item (or group of items for which the information is the same) covered by this solicitation. Identify each chart by the associated item(s) nomenclature. Provide a separate chart for each item (or group of items) for which the information in any of columns 2 through 5 is different from other items or groups of items. Add rows as needed for additional customers. Complete each chart in accordance with the instructions following the sample chart below.

(i) For each chart, state whether any deviations from the Offeror's written policies or standard commercial sales practices disclosed in each chart ever result in better discounts (lower prices) or concessions than indicated. In each case where there are better discounts of concessions com pared to a chart, explain basis for the deviations. When there are deviations, provide an explanation of the circumstances under which the Offeror deviates from its written policies or standard commercial sales practices disclosed in the chart and explain how often they occur. The Offeror's explanation shall include a discussion of situations that lead to deviations from standard practice, an explanation of how often they occur, and the controls the Offeror employs to assure the integrity of its pricing. Examples of typical deviations may include, but are not limited to, one-time goodwill discounts to charity organizations or to compensate an otherwise disgruntled customer; a limited sale of obsolete or damaged goods; the sale of sample goods to a new customer; or the sales of prototype goods for testing purposes.

(ii) If deviations from the Offeror's written policies or standard commercial sales practices disclosed in the chart on the Commercial Sales Practices Format are so significant and/or frequent that the Contracting Officer cannot establish whether the price(s) offered is fair and reasonable, then the Offeror may be asked to provide additional information. The Contracting Officer may ask for information to demonstrate that the Offeror has made substantial sales of the item(s) in the commercial market consistent with the information reflected on the chart on the Commercial Sales Practice Format, a description of the conditions surrounding those sales deviations, or other information that may be necessary in order for the Contracting Officer to determine whether the Offeror's price(s) is fair and reasonable. In cases where additional information is requested, the Contracting Officer will target the request in order to limit the submission of data to that needed to establish the reasonableness of the offered price.

COLUMN 1 COLUMN 2

COLUMN 3

COLUMN 4 COLUMN 5

Customer Discount Quantity Volume FOB Term Concessions

Column 1-.Identify the applicable customer or category of customer. A "customer" is any entity that acquires supplies from the Offeror. The term includes, but is not limited to, original equipment manufacturers, value-added resellers, state and local governments, distributors, educational institutions (an elementary ,junio1·high, or degree-granting school that maintains a regular faculty, established curriculum, and an organized body of students), dealers, national accounts, and end users. In any instance when the Offeror is asked to disclose information for a customer, the Offeror may disclose information by category of customer if the Offeror's discount policies or practices are the same for all customers in the category. (Use a separate line for each customer or category of customer.)

Column 2-Identify the discount. The term "discount" is defined in paragraph (c) of this provision. Indicate the best discount (based on the Offeror's written discounting policies or standard commercial discounting practices if the Offeror does not have written discounting policies) at which the Offeror sells to the customer or category of customers identified in Column 1, without regard to quantity; terms and conditions of the agreements under which the discounts are given; and whether the agreements are written or oral. Net prices or discounts off of other price lists should be expressed as percentage discounts from the price list which is the basis of the Offer. If the discount disclosed is a combination of various discounts (prompt payment, quantity, etc.), the percentage should be broken out for each type of discount. If the price lists which are the basis of the discounts given to the customers identified in the chart are different than the price list submitted upon which the Offer is based, identify the type or title and date of each price list. The Contr·acting Officer may require submission of these price lists. To expedite evaluation, the Offeror may provide these price lists at the time of submission.

Column 3-Identify the quantity or volume of sales. Insert the minimum quantity or sales volume which the identified customer or category of customer must either purchase/order , per order or within a specified period, to earn the discount. When purchases/orders must be placed within a specified period to earn a discount indicate the time period.

Column 4-Indicate the FOB delivery term for each identified customer. See FAR 47.3 for an explanation of FOB delivery terms.

Column 5-Indicate concessions regardless of quantity granted to the identified customer or category of customer. Concessions are defined in paragraph (c) of this provision. If the space provided is inadequate, the disclosure should be made on a separate sheet by reference.

(End of provision)

DLAD 52.215-9037 PRICE REDUCTIONS ( JAN 2014 )

(b) During the contract period, the Contractor shall report to the Contracting Officer all price reductions to any aligned customer (or category of customers). The Contractor's report shall include an explanation of the conditions under which the reductions were made.

(c) Price reductions.

(1) Commercial items. A price reduction shall apply to purchases of commercial items under this contract if, after the date negotiations conclude, the Contractor -

(i) Revises the commercial catalog, pricelist, schedule, or other document upon which contract award was based to reduce prices;

(ii) Grants more favorable discounts or terms and conditions than those contained in the commercial catalog, pricelist, schedule, or other documents upon which contract award was based; or

(iii) Grants discounts to an aligned customer (or category of customers) for item pricing, and the change disturbs the price/discount relationship of the Government to that customer (or category of customers).

(2) Noncommercial items. A price reduction shall apply to purchases of noncommercial items under this contract if, after the date negotiations conclude, the Contractor lowers the price paid by an aligned customer. The price reduction to the Government for an item will be calculated by applying the same percentage reduction to the Government price as was made to the price to the aligned customer.

(3) The Contractor shall offer the price reduction to the Government with the same effective date, and for the same time period , as extended to the aligned customer (or category of customers).

(4) There shall be no price reduction for sales caused by an error in quotation or billing, provided adequate documentation is furnished by the Contractor to the Contracting Officer.

(d) The Contractor may offer the Contracting Officer a voluntary price reduction at any time during the contract period.

(e) The Contractor shall notify the Contracting Officer of any price reduction subject to this clause as soon as possible, but not later than 15 calendar days after the effective date of the price reduction.

(t) The contract will be modified to reflect any price reduction that becomes applicable in accordance with this clause, with an effective date for the price change determined in accordance with paragraph (c) of this clause.

(End of clause)

8. Question: Additional Requirements Section 15 Paragraph (a) States no storefronts in North Central Region, however in Attachment 1, a storefront requirement is listed for Joint Base Elmendorf-Richardson. Is this an error?

Answer: Please see the changes incorporated via Amendment 0001 regarding requirements for a storefront(s). among other things, Amendment 0001 revised Section 15(a) entirely regarding storefront(s) requirements and requires offerors to provide pricing for a storefront scenario.

9. Question: For the pricing (acquisition price) of add-ons (non-PEL items) to the price catalog – will it be one-time firm-fixed pricing for all 5 years, or can it be re-bid at the time of the 2nd and 3rd pricing period, or will it be priced each time the request is entered? The material only, not the distribution fee.

Answer: After award, non-PEL items will be priced by the TSL PV each time the item is requisitioned and quoted during contract performance.

10. Question: Can you please confirm that the state of MN is included in the North Central region of the subject solicitation? It is not listed on Page 7 of the solicitation but it is listed as the state of one of the implementation sites. It is also part of the current territory.

Answer: Minnesota is part of the North Central Region. Amendment 0001 included that revision.

13. Question: On Page 56– “Three physical copies of the Non-Price proposal and one copy submitted as a Microsoft Word document on a disk per region proposed. Can we submit in Adobe PDF Format?

Answer: No. Refer to page 56 of the solicitation under Special Instructions for Submission of Proposal Information -Proposal Organization/General Information

Three (3) physical copies of the Non-Price Proposal and one (1) copy submitted as a

Microsoft Word document on a disk per region proposed.

** One (1) physical copy of Price Proposal and two (2) copies submitted as a

Microsoft Excel Spreadsheet on a disk per region proposed. Please do not copy in a format other than Microsoft Excel. An Adobe PDF format is not acceptable.

14. Question. On Page 56– “Non-Price Proposals, including attachments, shall be no longer than 50 pages.” Are Cover Letters and Tables of Contents included in the 50 pages?

Answer: Cover letters and Table of Contents are not included as part of the 50 pages.

15. Question: On Page 58 – Past Performance (a) “...Provide a list of your top three (3) highest dollar value contracts performed OCONUS or CONUS at some point within the past five years for Maintenance, Repair and Operations (MRO) type items.” Would the government accept past performance for other non-MRO DLA commodities (such as Class I) in place of the Class IV items specified? For example, could a contract to provide Prime Vendor services for a different commodity group be assessed as “Relevant” and given a “substantial or satisfactory confidence” rating or would it be precluded from receiving those ratings because it was for a different Class of commodities?

Answer: Refer to page 58 of the solicitation. Instructions to Offerors – Non-Price Proposal:

FACTOR I - PAST PERFORMANCE

(1) Provide a list of your top three (3) highest dollar value contracts performed at some point within the past five years for Maintenance, Repair, and Operations (MRO) type items as described in the SOW. This requirement may include contracts with Federal, state, or local government agencies and/or with commercial customers. If offeror lists less than three (3), the offeror should make a clear statement that less than three (3) contracts have been provided.

(2) In addition to the contracts in (1) above, provide a list of your top three (3) highest dollar value supply contracts at some point within the past five years with Federal, state or local government agencies, and/or with commercial customers, unless already listed above. For example, if two of the three contracts listed for requirement (1) are also your highest dollar value contracts, then only one additional contract is needed to satisfy requirement (2).

Further, as per pages 69-70 of the solicitation, “The Government will evaluate the relevancy of the contracts identified by the contractor in its proposal. Relevancy includes, but is not limited to: similarity, recency, length, volume, delivery points, and dollar value. Performance occurring in the last five years will be considered recent with performance occurring in the last three years the most relevant…However, contracts determined “not relevant” will not be evaluated for performance.”

It is a business decision by the offeror regarding which contracts to submit for past performance evaluation, provided the contracts are in accordance with the submission requirements outline above and on page 58 of the solicitation.

16. Question: In Attachment 3 (Customer Implementation Site), Minnesota has been included as one of the states; however it is not listed on page 7 of the RFP as one of the locations. Please confirm that Minnesota will be included.

Answer: Minnesota has been included as part of amendment 0001 revisions.

17. Question: In Attachment 3 (Customer Implementation Site), DLA has provided sales for FY2012. Can you please provide sales for FY2013?

Answer: FY2013 sales has been included in Attachment 5.

18. Question: On the PEL List, the Manufacturer has requested clarification on PEL Line Number 010 – Avtron LPH-100. The load bank is available in three standard versions which do you want below as this will effect pricing?

1.) 100 KW at 480 VAC, 3 phase, 60 Hz and 93.75 KW at 240 VAC, 3 phase, 60 Hz

2.) 100 KW at 208 VAC, 3 phase, 60 Hz 3.) 50.5 KW at 208 VAC, 3 phase, 4 wire, 60 Hz Answer: The PEL list has been revised and addresses these concerns/issues.

19. Question: Also, are any of the following options required as this will affect pricing?

1) 20 foot cable set with connectors

2) Heavy duty shipping case

Answer: The PEL list has been revised and addresses these issues/concerns.

20. Question: For those offerors proposing a team approach, is it the expectation of the Government that each team member (company) must provide the full past performance requirements (potentially up to six citations per team member/company)? Or is it the expectation of the Government that each of the companies must be represented in the past performance citation requirement of providing the 3 highest value MRO and 3 highest value supply contracts per team for the full proposal.

Answer: In accordance with the instructions for submitting past performance information on page 58 of the solicitation, offerors may submit a maximum of six contracts total. For offerors that are proposing a joint venture, partnership, or teaming approach, it is a business decision by the offeror regarding whether to submit contracts performed by the primary offering entity, contracts performed by a partner, or some combination of both. However, the offeror must follow the submission requirements outlined in the solicitation and may not submit more than six contracts. Please note that the most relevant past performance data is the information directly related to the primary offering entity.

21. Question: Are index, table of figures, acronyms list included in the 50 page count?

Answer: Index and acronyms are not counted in the 50 page count. Table of figures would be included in the 50 page count.

22. Question: The unit of measure of Pricing Period 2 & 3 is different from Pricing Period 1.

Answer: The unit of measure for Pricing Period 2 & 3 have been revised in Amendment 0001.

23. Question: Will you consider reducing the percentage back to 90% to allow for a better competitive playing field and eliminate any perceived advantage to the incumbent?

Answer: No

24. Question: Will you consider restoring the implementation period to 60 days as has been the norm in previous solicitations?

Answer: No

25. Question: As the date rapidly approaches with outstanding questions to be answered, request a 30 day extension on the due dates for both of the subject solicitations?

Answer: An extension has been granted to May 1, 2014; 3:00PM EST as stated in Amendment 0003.

26. Question: Page 7 of Amendment 0001: Section 10) – PAST PERFORMANCE, (4), (r), contains an apparent typo omission, i.e., the word “plan”. The corrected wording should state: “Actual subcontracting plan performance . . .”?

Answer: Revised to state: “ Actual Subcontracting Plan performance for small disadvantaged business, veteran-owned small business concerns, service-disabled veteran-owned small business concerns, HUBZone small business concerns, and woman-owned small business concerns (where applicable).”

27. Question: Please confirm that the Price Volume must be submitted in Microsoft Excel V5.0 format only.

Answer: Confirmed. Refer to Page 56 Under SPECIAL INSTRUCTIONS FOR THE SUBMISSION OF PROPOSAL INFORMATION:A. PROPOSAL ORGANIZATION/GENERAL INFORMATION

(3) Volume II, Price Proposal
