Payment will be made for the actual quantity of Work performed in accordance with the Contract. The Agency reserves the right to increase or decrease the amount of any class or portion of the Work, or to omit portions of the Work, as may be deemed necessary or advisable in the sole discretion of the Agency.

The Contractor shall make no claim nor receive any compensation for anticipated profits, loss of profit, damages, or any extra payment due to any difference between the amount of work actually completed, or materials or equipment furnished, and the Estimated Quantities. However, if the final quantity of an item of work required under the Contract varies from the Estimated Quantities by twenty-five percent (25%) or more, compensation can be adjusted in accordance with Section 9-1.06, “Changed Quantity Payment Adjustments,” of the State Specifications, except that markups are to be applied per Section 9-9,“Markups for Changed Work,” of the Standard Construction Specifications.

6-11 EXISTING UTILITIES

Existing Utilities shall conform to Section 6-11, "Existing Utilities," and Section 5-5, "Cooperation with Other Entities," of the Standard Construction Specifications and these Project Special Provisions.

The Contractor shall be responsible for contacting the various utility owners to determine the exact location and depth of existing underground facilities. The Contractor is required to call Underground Service Alert (USA) at 1-800-227-2600 at least 2 working days (not including day of notification), but no earlier than 14 calendar days in advance of performing any excavation work. When calling be prepared to supply location, nature of work, start date, company name, company address, and company contact telephone number. No excavation shall be allowed until all notified utilities have positively responded to your request.

The Contractor is directed to the Utility Plan. The Contractor shall use extreme care, including but not limited to USA notification, potholing, and hand digging to ensure that his operations do not disturb or damage any existing above ground or underground facility including property owner facilities (irrigation lines, drain pipes, and so on). The Contractor shall repair or replace, at his expense, any facilities damaged by his personnel or equipment during the course of construction work to the satisfaction of the Engineer.

The Contractor shall fully coordinate and cooperate by revising the order of work or project schedule with the Agency and a utility owner—including a County utility—for any improvement, upgrade, relocation, lowering, adjustment, and protection of utility work.

The Contractor shall be prepared to inform each utility owner what work is required to complete the Contract Work and the date the work needs to be completed, so that the Contractor’s construction schedule is not delayed. The status and schedule for any remaining utility work, if any, will be provided by the various utility owner representatives at the pre-construction meeting as detailed in Section 7-3, “Preconstruction Conference and Progress Meetings,” of the Standard Construction Specifications.

Any disputes or conflicts between the Contractor and utility forces or utility contractors that create delays or hindrances to any party shall be referred to the Agency for assistance in resolution. If the Contractor’s work is delayed because of acts, failures to act, or omissions of any utility force or utility contractor, the Contractor shall have no claim against the Agency other than for an extension of time (see Section 7-18, “Extension of time,” of the Standard Construction Specifications).

All utility facilities and covers encountered in the area to be paved over with asphalt concrete (or another operation that will cover a utility facility or cover) shall be carefully referenced by the Contractor. After paving (or another operation that covered utility facilities or covers), the Contractor shall mark the pavement or ground indicating the location of each referenced utility facility or cover. The Contractor’s attention is directed to Table 6-2 (page 6.12) of the Standard Construction Specifications for utility color codes and symbols. Unless otherwise indicated on the Plans or in these Project Special Provisions, all utility facilities (except storm drain and sanitary sewer manholes) shall be raised to grade by others.

Full compensation for Existing Utilities as specified herein shall be considered as included in the prices paid for the various items of work involved as specified in Section 8-3, “Work to be Done Without Direct Payment,” of the Standard Construction Specifications and no additional compensation will be made.

SECTION 7 PROSECUTION OF THE WORK

7-4.04 ORDER OF WORK

When required by the Project Special Provisions, the plans, or by the Engineer with advanced written notification of at least 15 calendar days, the Contractor shall follow the sequence of operations set forth therein. The Contractor shall have no claim against the Agency for a change in sequence of operations from the Engineer other than for an extension of time.

The order of work shall comply with the following:

1. All work on 4914 Puma Way shall be scheduled and performed first.

Full compensation for Order of Work, as specified herein, shall be considered as included in the prices paid for the various items of work involved as specified in Section 8-3, “Work

7-5 SCHEDULES

Progress schedules shall conform to Section 7-5, “Schedules,” of the Standard Construction Specifications and these Project Special Provisions.

All submitted Progress Schedules shall incorporate current schedule information, actual progress, approved adjustments of time, and proposed changes in sequence and logic.

All electronic copies of progress schedules shall be submitted in the latest version of MS Project or other software/formats acceptable to the County.

Because the Agency places a high value on the importance and use of project scheduling information as a management tool in achieving the completion of the Work as planned, the Agency will deduct 10% of the monthly Progress Payment, but not more than $25,000, for failure by the Contractor to submit the baseline or monthly updated schedule, as required by these specifications, with each monthly progress payment request. This deduction is cumulative, and it will be made for each and every month that the Contractor fails to provide the required information. The monthly updated schedule and narrative shall be accurate, reflect actual events on the project, and meet all requirements of these specifications. If the contractor does not correct the deficiency by providing an acceptable schedule update within 10 days of the Agency’s receipt of the monthly Progress Payment request, the deduction will become permanent via a deductive change order.

No work shall take place prior to the review and approval of the Contractor’s baseline schedule by the Agency.

The Contractor shall also submit, on a weekly basis, a four-week rolling schedule conforming to Section 7-5.03, “Four-Week Rolling Schedule,” of the Standard Construction Specifications. The four-week rolling schedule shall be submitted on the first day of the work week or as indicated by the Engineer at the Pre-construction Conference.

Full compensation for Schedules, as specified herein, shall be considered as included in the prices paid for the various items of work involved as specified in Section 8-3, “Work

7-6.01 DIFFERING SITE CONDITIONS

During the progress of the work, if subsurface or latent physical conditions are encountered at the site differing materially from those indicated in the contract or if unknown physical conditions of an unusual nature, differing materially from those ordinarily encountered and generally recognized as inherent in the work provided for in the contract, are encountered at the site, the party discovering such conditions shall promptly notify the other party in writing of the specific differing conditions before the site is disturbed and before the affected work is performed.

Upon written notification, the engineer will investigate the conditions, and if it is determined that the conditions materially differ and cause an increase or decrease in the cost or time required for the performance of any work under the contract, an adjustment, excluding anticipated profits, will be made and the contract modified in writing accordingly.

The engineer will notify the contractor of the determination whether or not an adjustment of the contract is warranted.

No contract adjustment which results in a benefit to the contractor will be allowed unless the contractor has provided the required written notice.

No contract adjustment will be allowed under this clause for any effects caused on unchanged work.

7-6.02 SUSPENSIONS OF WORK ORDERED BY THE ENGINEER

If the performance of all or any portion of the work is suspended or delayed by the engineer in writing for an unreasonable period of time (not originally anticipated, customary, or inherent to the construction industry) and the contractor believes that additional compensation and/or contract time is due as a result of such suspension or delay, the contractor shall submit to the engineer in writing a request for adjustment within 7 calendar days of receipt of the notice to resume work. The request shall set forth the reasons and support for such adjustment.

Upon receipt, the engineer will evaluate the contractor's request. If the engineer agrees that the cost and/or time required for the performance of the contract has increased as a result of such suspension and the suspension was caused by conditions beyond the control of and not the fault of the contractor, its suppliers, or subcontractors at any approved tier, and not caused by weather, the engineer will make an adjustment (excluding profit) and modify the contract in writing accordingly. The contractor will be notified of the engineer's determination whether or not an adjustment of the contract is warranted.

No contract adjustment will be allowed unless the contractor has submitted the request for adjustment within the time prescribed.

No contract adjustment will be allowed under this clause to the extent that performance would have been suspended or delayed by any other cause, or for which an adjustment is provided or excluded under any other term or condition of this contract.

7-6.03 SIGNIFICANT CHANGES IN THE CHARACTER OF WORK

The engineer reserves the right to make, in writing, at any time during the work, such changes in quantities and such alterations in the work as are necessary to satisfactorily complete the project. Such changes in quantities and alterations shall not invalidate the contract nor release the surety, and the contractor agrees to perform the work as altered.

If the alterations or changes in quantities significantly change the character of the work under the contract, whether such alterations or changes are in themselves significant changes to the character of the work or by affecting other work cause such other work to become significantly different in character, an adjustment, excluding anticipated profit, will be made to the contract. The basis for the adjustment shall be agreed upon prior to the performance of the work. If a basis cannot be agreed upon, then an adjustment will be made either for or against the contractor in such amount as the engineer may determine to be fair and equitable.

If the alterations or changes in quantities do not significantly change the character of the work to be performed under the contract, the altered work will be paid for as provided elsewhere in the contract.

The term “significant change” shall be construed to apply only to the following circumstances:

1. When the character of the work as altered differs materially in kind or nature from that involved or included in the original proposed construction; or

2. When a major item of work, as defined elsewhere in the contract, is increased in excess of 125 percent or decreased below 75 percent of the original contract quantity. Any allowance for an increase in quantity shall apply only to that portion in excess of 125 percent of original contract item quantity, or in case of a decrease below 75 percent, to the actual amount of work performed.

7-15 TIME OF COMPLETION

The time of completion of this contract shall be 45 working days.

The time limit and other working restrictions specified for the completion of the work contemplated in the Project Special Provisions is considered sufficient to permit completion of the portions of work by the Contractor working a normal number of hours per day or week on a single shift basis. Should the Contractor fail to maintain the progress of the work in accordance with the “Progress Schedule” required in these Project Special Provisions, the Contractor shall be required to provide additional resources (e.g., equipment, labor, work shifts, etc.) to the extent necessary to ensure that the progress conforms to the above mentioned schedule and that the work will be completed within the time limit specified.

The Contractor shall pay to the County of Sacramento, the sum of $2,000.00 per day for each and every calendar day beyond the number of working days plus any extensions of time as set forth in Section 7-18, “Extension of time,” of the Standard Construction Specifications.

7-17 INCLEMENT WEATHER AND CONTRACT TIME

Inclement weather protection on work already started shall conform to Section 7-7, “Pursuance of Work During Inclement Weather,” Section 7-10, “Protection of Work, Persons, and Property,” and Section 10-4, “Erosion, Sediment, and Water Pollution Control,” of the Standard Construction Specifications and these Project Special Provisions.

If the Contract is not completed before the start of the winter construction season, the Engineer shall notify the Contractor in writing to cease Work for the winter construction season. The Contractor shall then cease operations and winterize the project limits no later than the date specified in the Engineer’s letter. Project winterization shall conform to Contractor’s WPCP to the satisfaction of the Engineer. After the winter construction season, the Engineer shall notify the Contractor in writing to resume Work.

The Contractor shall resume construction operations within 15 calendar days of the notification date and diligently complete the Contract. The counting of Working Days shall resume 15 calendar days after the date of the notification or when the Contractor resumes work, whichever occurs first. The winter construction season shall be defined as November 1st through March 31st. However, the Engineer shall be the sole judge as to the exact starting and ending dates of the winter construction season, which will be based upon historical and current weather data.
