About this file
This is a Special Terms and Conditions document for the Virginia Department of Fire Programs, establishing contractual requirements for the procurement of one new 20-foot enclosed utility trailer with tandem axles, scheduled for delivery in April 2026. The solicitation does not specify response deadlines, bid due dates, site visits, or bidder's conferences. Award will be made to the lowest responsive and responsible bidder based on net prices, with unit prices, extensions, and grand totals required in bids. The resulting contract may be terminated by either party without penalty upon 60 days written notice, with the Commonwealth able to cancel at any time without penalty.
Pricing shall include all costs associated with complete installation and delivery, with no extra charges permitted beyond the bid price. All materials and equipment must include a five-year warranty against defects in material and workmanship from the date of delivery. The supplier must be registered with the Virginia Department of Motor Vehicle Board per Code of Virginia 46.2-1508. Trailers must be delivered clean, complete, and ready for service with a current Virginia State Inspection Sticker dated to match delivery month and year, accompanied by thirty-day license tags and a Certificate of Origin/Title. Pre-delivery inspections, dealer preparation according to manufacturer specifications, and all associated costs are the responsibility of the vendor and must be included in the bid price. The contractor shall provide operations and maintenance manuals with wiring diagrams, parts lists, and warranty copies. Delivery notification must be provided 48 hours in advance to John Calhoun at 804-664-0078, with all solicitation questions directed to purchasing@vdfp.virginia.gov.

SPECIAL TERMS AND CONDITIONS
A. AUDIT: The contractor shall retain all books, records, and other documents relative to this contract for five (5) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. The agency, its authorized agents, and/or state auditors shall have full access to and the right to examine any of said materials during said period.
B. AWARD: An award will be made to the lowest responsive and responsible bidder. Evaluation will be based on net prices. Unit prices, extensions and grand total must be shown. In case of arithmetic errors, the unit price will govern. If cash discount for prompt payment is offered, it must be clearly shown in the space provided. Discounts for prompt payment will not be considered in making awards. The State reserves the right to reject all bids in whole or in part, to waive any informality, and to delete items prior to making an award.
C. CANCELLATION OF CONTRACT: The purchasing agency reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the contractor. In the event the initial contract period is for more than 12 months, the resulting contract may also be terminated by the contractor, without penalty, after the initial 12 months of the contract period upon 60 days written notice to the other party. Any contract cancellation notice shall not relieve the contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.
D. eVA ORDERS AND CONTRACTS: The solicitation/contract will result in one purchase order with the applicable eVA transaction fee assessed for each order. Vendors desiring to provide goods and/or services to the Commonwealth shall participate in the eVA Internet e-procurement solution and agree to comply with the following: If this solicitation is for a term contract, failure to provide an electronic catalog (price list) or index page catalog for items awarded will be just cause for the Commonwealth to reject your bid or terminate this contract for default. The format of this electronic catalog shall conform to the eVA Catalog Interchange Format. Contractors should email Catalog or Index Page information to eVA-catalog-manager@dgs.virginia.gov.
E. BID ACCEPTANCE PERIOD: Any bid in response to this solicitation shall be valid for (60) days. At the end of the days the bid may be withdrawn at the written request of the bidder. If the bid is not withdrawn at that time it remains in effect until an award is made or the solicitation is canceled.
F. EXTRA CHARGES NOT ALLOWED: The bid price shall be for complete installation ready for the Commonwealth’s use and shall include all applicable freight and installation charges; extra charges will not be allowed.
G. MAINTENANCE MANUALS: The contractor shall provide with each piece of equipment an operations and maintenance manual with wiring diagrams, parts list, and a copy of all warranties. PRODUCT INFORMATION: The bidder/offeror shall clearly and specifically identify the product being offered and enclose complete and detailed descriptive literature, catalog cuts and specifications with the bid/proposal to enable the Commonwealth to determine if the product offered meets the requirements of the solicitation. Failure to do so may cause the bid/proposal to be considered nonresponsive.
H. WARRANTY: All materials and equipment shall be fully guaranteed against defects in material and workmanship for a period of 5 years following date of delivery. Should any defect be noted by the owner, the Purchasing Office will notify the contractor of such defect or non-conformance. Notification will state either (1) that the contractor shall replace or correct, or (2) the owner does not require replacement or correction, but an equitable adjustment to the contract price will be negotiated. If the contractor is required to correct or replace, it shall be at no cost to the Commonwealth and shall be subject to all provisions of this clause to the same extent as materials initially delivered. If the contractor fails or refuses to replace or correct the deficiency, the office issuing the purchase order may have the materials corrected or replaced with similar items and charge the contractor the costs occasioned thereby or obtain an equitable adjustment in the contract price.
J. PRODUCT AVAILABILITY/SUBSTITUTION: Substitution of a product, brand or manufacturer after the award of contract is expressly prohibited unless approved in writing by the Contact Officer. The Agency may, at its discretion, require the contractor to provide a substitute item of equivalent or better quality subject to the approval of the Contract Officer, for a price no greater than the contract price, if the product for which the contract was awarded becomes unavailable to the contractor.
K. SUPPLIER LICENSURE REQUIREMENT: A supplier’s bid shall not be considered responsive or responsible unless registered with the Virginia Department of Motor Vehicle Board. Per Code of Virginia § 46.2-1508, it shall be unlawful for any person to engage in business in the Commonwealth as a motor vehicle dealer or salesperson without first obtaining a license.
L. TITLING REQUIREMENTS FOR GOODS DELIVERED: The Supplier shall provide a Certificate of Origin/Title and all other necessary paperwork so the trailer can be titled and licensed by VDFP upon delivery.
M. DELIVERY REQUIREMENTS: Trailer must be delivered clean, complete and ready for service including a current Virginia State Inspection Sticker with the month/year corresponding to the month/year of trailer delivery. Thirty-day license tags shall be furnished with the trailer. New trailer service preparation must be performed by the dealer according to the manufacturer’s specifications. Trailer delivered without proper dealer preparation must be picked up, serviced, and re-delivered by the dealer at the expense of the dealer. The trailer delivered shall be checked for compliance with the specifications. If any deviations from the specification, damage, or improper dealer preparation exist, the invoice will not be approved for payment until the vendor corrects all defects. VENDOR’S PRICE MUST INCLUDE COST OF ALL PRE-DELIVERY INSPECTIONS.
N. DELIVERY NOTIFICATION: The Agency shall be notified 48 hours prior to delivery of any items so that personnel may be available to allow access to the building and verify items received. Notification shall be made to:
