SUBJECT: Justification and Approval for Other than Full and Open Competition;

Add 1 – Phase 5 and Add 2 to Contract SPE7MX-16-D-0100

Solicitation SPE7MX-14-R-0106

1. Contracting Agency – Defense Logistics Agency DLA Land and Maritime 3990 E. Broad St Columbus, OH 43218-3990

2. Summary/Introduction (10 U.S.C. 2304(c)(1)): The Government intends to add 282 National Stock Number (NSN) items, hereinafter referred to as the Add 1 – Phase 5 (22 NSNs) and Add 2 NSNs (260 NSNs), to Contract SPE7MX-16-D-0100 (16D0100) by bilateral modification.

The Add 1 – Phase 5 and Add 2 NSNs are separate projects that are likely to progress through the procurement process at different times and are likely to be awarded separately.

These projects were grouped on a single J&A for administrative advantage.

Contract 16D0100 was originally awarded by DLA Land and Maritime to GDLS on 12 August 2016 for five years, with a three-year base period and two, one-year option periods.

The contract is a multiyear arrangement designed to sustain and improve readiness for the six vehicular platforms produced by GDLS: 1) Abrams Main Battle Tank; 2) Stryker Family of Vehicles; 3) Light Armored Vehicle Family of Vehicles; 4) Cougar; 5) Buffalo; and 6) RG-

31. The contract also provides for improved Obsolescence and Configuration Change Management and improves DLA’s visibility of the supply chain through enhanced communication with GDLS for items the Government has identified as critical parts. This element of the program is supported through a Supply Chain Risk Assessment report

(SCRA).

The SCRA is not separately priced and will be presented by GDLS in three formats.

Additionally, there will be a biannual meeting between the Government and GDLS to review the status of resolution activities, answer questions arising from the SCRA submitted since the last meeting, secure feedback on recommended courses of action and discuss any issues or concerns highlighted in the biannual report.

The contract supports production lead time (PLT) reductions through three “Inventory Programs” that provide the Government the opportunity to reduce inventories while responding to customer demands in a timely manner. Contract 16D0100 supports standard stock deliveries through delivery orders issued with the “Lead Time Away” (LTA) Inventory Program. The contract contains two additional, innovative Inventory Programs designed to support the program goals of PLT reduction and obsolescence management. The additional

Inventory Programs are the Planned Production Program (PPP) and the Prepositioning Program (PRE). Under the PPP, the Government receives monthly deliveries of a set number of each NSN in the program over the course of each contract year. Under the PRE, the Government receives 30-day delivery for NSNs in the program. The 30-day delivery is accomplished by GDLS prepositioning completed end-items or long lead-time sub-components. While all contract NSNs are not in the PPP and PRE, all are eligible for the PPP and PRE programs. Contract NSNs may enter or exit the PPP and PRE by mutual agreement of the Government and GDLS through the yearly NSN inventory program assessment process.

During the first year of performance of Contract 16D0100, PLT was significantly reduced.

The Government received 30-day delivery for items that historically had PLTs ranging from 167 to 244 days. Under the PPP, the Government was able to receive monthly deliveries of high demand items reducing lead times to between 23 and 79 days. GDLS has also averaged a 22% lead time reduction for delivery orders for stock issued under the LTA program. The Government expects similar benefits for the 282 NSNs to be added to the contract through this action.

* - The total estimated potential value for the Add 1 – Phase 5 and Add 2 project was based on 3.25 contract years as the Add 2 NSNs are estimated for award in the May 2018 timeframe which would place the NSNs on the contract with approximately .25 of contract year 2 remaining and all of contract years 3 through 5.

The Add 1 – Phase 5 and Add 2 project contains NSNs from 2 different add-on projects.

The NSNs that belong to each add project are noted in Attachment 1 in the column titled “Add Project Number”.

The potential contract maximum addition for the Add 2 NSNs was based on the following rationale: The estimated 3.25 year value of the Add 2 NSNs was multiplied by

1.5 to cover unexpected spikes in demand.

The potential contract maximum addition for the Add 1 – Phase 5 was based on the ADV and contract maximum calculations for the Add 1 – Phase 5 NSNs at the time of the issuance of Acquisition Plan Addendum 2, with 4.5 years remaining on contract 16D0100. The contract maximum calculation was based on the estimated 4.5 year value

of the Add 1 – Phase 5 NSNs which was multiplied by 1.5 to cover unexpected spikes in demand to ensure the contract could reach its entire 5 year contract term. As this addition to the contract maximum has been approved at the appropriate levels, the Contracting Officer decided to continue its use in this document.

The final addition to the contract maximum will be based on the number of Add 1 – Phase 5 and Add 2 NSNs added to the contract.

Additionally, there are several additional add projects underway that could increase the contract maximum to as much as $200,461,647.31. All current add projects and their current project status are listed below. The approval of this J&A will authorize the contract maximum of contract 16D0100 to be increased to $200,461,647.31 should all of the add projects listed below be awarded in their entirety.

3. Description of Agency’s Need (10 U.S.C. 2304(f)(3)(A)): The Government intends to add the Add 1 – Phase 5 NSNs and Add 2 NSNs to Contract 16D0100 by bilateral modification.

This Justification is necessary to support the intended modification because the addition of the Add 1 – Phase 5 NSNs and Add 2 NSNs could potentially increase the contract maximum

to $200,461,647.31 and to justify the exclusion of sources from competing for these requirements.

All NSNs from the Add 1 – Phase 5 and Add 2 projects support one of the six vehicular platforms produced by GDLS: 1) Abrams Main Battle Tank; 2) Stryker Family of Vehicles;

3) Light Armored Vehicle Family of Vehicles; 4) Cougar; 5) Buffalo; and 6) RG-31. The vehicle supported by each specific NSN is noted on Attachment 1 in the column titled “Vehicle Supported”.

4. Authority for Other than Full and Open Competition (10 U.S.C. 2304(c)(1)): The modification to Contract 16D0100 described in this document will be conducted via Other than Full and Open Competition authority for supplies or services available from only one source (GDLS), 10 U.S.C. 2304(c)(1), as implemented by FAR 6.302-1.

Competition is restricted to a single source GDLS (7W356) for the 2 reasons, (A) and (B) stated below along with the discussion of each restriction in competition.

(A) Each individual NSN covered by this action is restricted to either one approved source, GDLS, or a limited number of approved sources that include GDLS; see the list of approved sources and their respective CAGE codes for each NSN in Attachment 2.

(B) The Government intends to negotiate with only the awardee of contract 16D0100, GDLS (CAGE 7W356) for this action. The Government’s determination to negotiate with only GDLS for the award of these 282 NSNs is based on the fact that the Government’s market research establishes GDLS as the only source interested and capable of supplying this requirement for these 282 NSNs with obsolescence management and lead-time reduction inventory programs. This includes the 97 NSNs with multiple approved sources. Market research efforts and results are further detailed in the following pages of this document.

(C) The discussion of each restriction in competition is below:

(1) GDLS is an approved source for all 282 NSNs to be added to contract 16D0100. 185 of the 282 NSNs are sole-sourced to GDLS, and the remaining 97 NSNs have multiple approved sources in addition to GDLS as shown in Attachment 2. According to technical review conducted by DLA Product Specialists, the production of these items is limited to the sources listed in Attachment 2 as these sources are the only companies with the data, data rights, and/or manufacturing capability required to produce the items to satisfy the military’s requirements. These sources are the only ones currently approved by the design control activity for these NSNs. Additionally, technical reviews conducted by DLA Product Specialists for the 282 NSNs have certified the technical information relied upon in this document as complete and accurate as of the time of the reviews in October and November 2017. Each NSN’s specific AMSC, noting the level of technical information the Government possesses, is listed in Attachment 1. A summary is provided below:

The use of the authority cited is based on:

[ X ] AMSC B. This part must be acquired from a manufacturing source(s) specified on a source control or selected item drawing as defined by the current version of DoD-STD-100. Suitable technical data, Government data rights, or manufacturing knowledge are not available to permit acquisition from other sources, nor qualification testing of another part, nor use of a second source part in the intended application. Although, by DoD-STD-100 definition, altered and selected items shall have an adequate technical data package, data review discloses that required data or data rights are not in Government possession and cannot be economically obtained.

[ X ] AMSC C. This part requires engineering source approval by the design control activity in order to maintain the quality of the part. Existing unique design capability, engineering skills, and manufacturing knowledge by the qualified source(s) require acquisition of the part from the approved source(s). The approved source(s) retain data rights, manufacturing knowledge, or technical data that are not economically available to the Government, and the data or knowledge is essential to maintaining the quality of the part. An alternate source must qualify in accordance with the design control activity's procedures, as approved by the cognizant Government engineering activity. The qualification procedures must be approved by the Government engineering activity having jurisdiction over the part in the intended application.

[ X ] AMSC D. The data needed to acquire this part competitively is not physically available, it cannot be obtained economically, nor is it possible to draft adequate specifications or any other adequate, economical description of the material for a competitive solicitation..

[ X ] AMSC L*. The annual buy value of this part falls below the screening threshold established by DoD components and field activities. However, this part has been screened for additional known sources, resulting in either confirmation that the initial source exists or that other sources may supply the part. No additional screening was performed to identify the competitive or noncompetitive conditions that would result in assignment of a different AMSC. This code shall not be used when screening parts entering the inventory. This code shall be used only to replace AMSC O for parts under the established screening threshold.

[ X ] AMSC P. The rights to use the data needed to purchase this part from additional source(s) are not owned by the Government and cannot be purchased, developed, or otherwise obtained. It is uneconomical to reverse engineer this part.

This code is used in situations where the Government has the data but does not own the rights to the data.

[ X ] AMSC Q. The Government does not have adequate data, lacks rights to data, or both needed to purchase this part from additional sources. The

Government has been unable to economically buy the data or rights to the data, although the part has been undergoing full screening for 12 or more months.

Breakout to competition has not been achieved, but current, continuing actions to obtain necessary rights to data or adequate, reprocurement technical data indicate breakout to competition is expected to be achieved. This part may be a candidate for reverse engineering or other techniques to obtain technical data. All AMSC Q items are required to be reviewed within the timeframes cited in 2-203(b).

[ X ] AMSC R. The Government does not own the data or the rights to the data needed to purchase this part from additional sources. It has been determined to be uneconomical to buy the data or rights to the data. It is uneconomical to reverse engineer the part. This code is used when the Government did not initially purchase the data and/or rights.

[ X ] AMSC Z. This part is a commercial/nondevelopmental/off-the-shelf item.

Commercial item descriptions, commercial vendor catalog or price lists or commercial manuals assigned a technical manual number apply.

*APPLIES TO LTCs - An Item identified by AMSC A, H, or L has been subjected to limited screening. The Government does not physically have in its possession sufficient, accurate, or legible data to purchase this item from other than the identified source. Items identified by AMSC A, H, or L on Long Term Contracts, are subject to annual review for possible assignment of a different or permanent AMSC. DLA Land and Maritime agrees to maintain a continual review of these items to ensure that an annual review at a minimum, in part to determine if new technical data is available to allow for assignment of a more permanent AMSC. Any item determined to be competitively available during the solicitation evaluation phase will be removed from the acquisition requirement.

Any item determined after contract award to be competitively available may be deleted from the contract and resolicited.

(2) The proposed action includes 97 NSNs that have multiple approved sources of supply; however, the Government intends to negotiate with only GDLS. Market research establishes that GDLS is the only source interested in or capable of supplying this action’s 282 NSNs, including the 97 NSNs with multiple approved sources, under the IPS program and DLA’s support for these “Readiness Driver” NSNs is enhanced through participation in the IPS program.

(i) Contract 16D0100 was originally solicited providing for full and open competition; thus, a J&A for Other than Full and Open Competition was not completed at the solicitation phase. At both the solicitation stage and when these items were synopsized, the NSN populations included NSNs with multiple approved sources providing notification to potentially interested parties that NSNs with multiple sources of supply may be awarded as part of contract 16D0100 or added to the contract at a later date. At the solicitation phase, market research indicated a number of companies interested in the project including GDLS, SAIC, SupplyCore, Justification and Approval SPE7MX-16-D-0100 – Add 1 – Phase 5 & Add 2 Page | 7

Lockheed Martin, AAR Defense, and Aviall. A summary of the market research responses received at the solicitation phase of this project is located in Attachment 4. During the solicitation process, an amendment was issued allowing any potential sources to provide an offer under their own concept of support that would provide obsolescence management and lead-time reduction for NSNs associated with the six weapon systems identified in the scope of the contract. Only one offer was received from GDLS. This, along with the market research conducted that was specific to the 282 NIINs discussed in this J&A, supports that GDLS is the only source interested in or capable of supply this requirement.

Further, previous add-on populations to the contract have been synopsized (and Special and Sources Sought Notices posted) soliciting interest in providing obsolescence management/lead-time reduction efforts for additional NSNs beyond the original NSN population and under the concept awarded to GDLS without interest from viable sources.

Additional market research was conducted specifically related to the addition of this project’s NSNs to contract 16D0100. The Buyer synopsized the Government’s intent to add the Add 1 – Phase 5 NSNs and Add 2 NSNs to contract 16D0100 and no responses were received from potential sources other than GDLS indicating interest in supplying an offer. The Government synopsized its intent to add the Add 1 – Phase 5 NSNs to Contract 16D0100 on October 11, 2016. The Government synopsized its intent to add the Add 2 NSNs to contract SPE7MX-16-D- 0100 to FedBizOpps on May 24, 2017. No response has been received as of this date.

A second attempt to identify potential sources that may be interested in supplying these specific items under contract 16D0100’s terms and conditions was made via special notice and sources sought notices posted on FedBizOps. The special notice and sources sought provided no responses from industry identifying suppliers capable of supplying the project’s NSNs under the terms and conditions of Contract 16D0100.

Additional details of the market research efforts made for this action are found in section 6 of this document.

(ii) As the vendor under contract 16D0100, GDLS is currently providing the programs described above for 54 NSNs. The Add 1 – Phase 5 NSNs and Add 2 NSNs were chosen for addition to contract 16D0100 because they are critical “Readiness Drivers” for the program’s supported vehicles.

These “Readiness Drivers” significantly affect vehicle readiness and customer support for these NSNs is positively affected by their participation in the IPS program through reduced lead time, reduced operational, technical, and obsolescence risk, and an improved partnership with the OEM, TACOM and DLA.

The Government expects similar benefits for the Add 1 – Phase 5 NSNs and Add 2 NSNs to be added to the contract through this action.

The inventory program assessment process for the Add 1 – Phase 5 NSNs and Add 2 NSNs has yet to be completed. However all project NSNs are eligible for all three inventory programs and may change inventory programs over the life of the contract based on the yearly assessment process. It is the Governments desire that all of the multi-sourced items be supported by either the PRE or PPP concept at some point over the life of the contract.

5. Price/Cost Considerations (10 U.S.C. 2304(f)(3)(C)): The anticipated cost to the Government will be fair and reasonable. The basis for the Government’s fair and reasonable price determination will be the analysis of certified cost or pricing data. In addition, price analysis will be conducted to ensure the awarded pricing is in line with previous procurements.

The Government anticipates reviewing GDLS’s subcontractor material costs and quotes, as part of its review of GDLS’s cost or pricing data. Rates have already been negotiated based on audited certified cost and pricing data obtained prior to the initial award and GDLS’ pricing will be reviewed to ensure the rates were applied properly. Additionally, a price analysis including a comparison of the offered pricing to historical pricing, adjusted for inflation and quantity variation, to ensure the pricing GDLS is offering is in line with previous purchase history. The comparison to past purchase history is particularly important for the multisource items to ensure the Government will continue to benefit from the competitively set pricing for the multisource NSNs. Although GDLS may be able to support their own price, GDLS’ pricing may not be the best pricing available to the Government.

The price analysis identifies the NSNs where better pricing is available from other sources.

In the cases where the pricing offered by GDLS on multi-sourced items does not compare favorably to the Government’s past purchase prices, award of those NSNs is highly unlikely and the Government’s position will be not to add the NSNs to contract 16D0100, without significant information to explain the pricing difference from past purchase history. For sole source items where current pricing does not compare favorably to past history, the

Government may or may not make the award based on additional research conducted with GDLS to identify the reasons the current pricing is out of line with past procurement history.

6. Market Research/Efforts to Obtain Competition (10 U.S.C. 2304(f)(3)(D) and 10 U.S.C.

2304(f)(3)(E)): The Government’s market research efforts for this action have consisted of Government review of the NSNs to ensure they meet the criteria of “Readiness Drivers” that significantly affect vehicle readiness, contracting GDLS to ensure GDLS agrees with the addition of these NSNs to the contract, synopsizing the Government’s intent to add these items to the contract, and posting a special notice and sources sought notices.

Significant review of the NSNs proposed for addition has been conducted by Government personnel including the Program Manager, SAPD analysts, Weapons System Support Managers, Land Customer Operations representatives and GDLS to ensure they are appropriate for Contract 16D0100.

GDLS has agreed that these NSNs are appropriate for addition to this action and indicated interest in this project.

The Government synopsized its intent to add the Add 1 – Phase 5 NSNs to Contract 16D0100 to FedBizOpps on October 11, 2016. No response has been received as of this date.

The Government synopsized its intent to add the Add 2 NSNs to contract SPE7MX-16-D- 0100 to FedBizOpps on May 24, 2017. No response has been received as of this date.

A Special Notice was posted to FedBizOpps (FBO) for the Add 2 NSNs on August 2, 2017.

The notice did not make mention of contract 16D0100 and simply requested sources interested in participating in a program designed to sustain/improve readiness for the contract’s covered vehicles. Mentions of contract 16D0100 were removed from the notice so that potentially interested parties would not be discouraged from expressing interest due to the belief the Government’s intention to add these NSNs to contract 16D0100 is predetermined.

One response was received to the Special Notice posted for the Add 2 NSNs from BAE Systems. BAE Systems indicated it was interested in performing the obsolescence management functions of the contract but could not supply the Add 2 items as required by the contract.

The Special Notice was intended to be a Sources Sought Notice but was incorrectly titled a “Special Notice”. As a result, a Sources Sought Notice for the Add 2 NSNs was posted December 2017 and this document was processed prior to its closing. The Contracting Officer does not expect additional responses resulting from the Sources Sought Notice, however, if potential sources are uncovered for the Add 2 NSNs through this second Sources Sought Notice, the Contracting Officer will take appropriate action which may include removing NSNs from the Add 2 population.

A Sources Sought Notice was posted to FBO for the Add 1 – Phase 5 NSNs on August 15, 2017. The notice did not make mention of contract 16D0100 and simply requested sources interested in participating in a program designed to sustain/improve readiness for the contract’s covered vehicles. Mentions of contract 16D0100 were removed from the notice so that potentially interested parties would not be discouraged from expressing interest due to the belief the Government’s intention to add these NSNs to contract 16D0100 is predetermined

Two responses were received to the Sources Sought Notice posted for the Add 1 – Phase 5 NSNs. Means Engineering indicated interest in supplying items from the Add 1 – Phase 5 population if the Technical Data Packages (TDP) were available for the Add 1 – Phase 5 population. When notified the Government does not possess the TDPs, Means expressed no further interest in the Add 1 – Phase 5 population. Additionally, Hutchinson Industries, Inc.

expressed interest in the Add 1 – Phase 5 population. Hutchinson stated it was an approved source for NSN 2640014569307 and was interested in supplying NSN 2640014569307 under the terms of Contract 16D0100. Further Hutchinson stated it recently received an LTC for NSN 2640014569307. Based on the interest expressed by Hutchinson and the fact that it recently received an LTC to supply NSN 2640014569307, NSN 2640014569307 was removed from the project. Hutchinson was notified it was likely NSN 2640014569307 would not be pursued as a candidate for Contract 16D0100 due to the NSN being recently placed on LTC. Following that notification, Hutchinson expressed no further interest in the project.

Additionally, the previous contract history was reviewed by the Contracting Officer. The previous contract history (Attachment 3) reveals awards to companies other than GDLS for supply only contracts. However as noted in this document, this procurement is for more than just stock support and the Government’s market research establishes that GDLS is the only source interested in or capable of supplying this action’s items under the IPS program.

7. Action Being Taken to Overcome Barriers to Competition (10 U.S.C. 2304(f)(3)(F)): A Special Notice was posted in August 2, 2017 through August 9, 2017 for the Add 2 NSNs.

A Sources Sought Notice was posted August 15, 2017 through August 22, 2017 for the Add 1 – Phase 5 NSNs. The proposed contract action was synopsized indicating the Government’s intent to add the Add 1 – Phase 5 and Add 3 NSNs to Contract 16D0100 in October 2016 and May 2017, respectively.

All NSNs other than those listed below did not require J&A’s as the previous purchase of these items were under the Simplified Acquisition Threshold.
