MEMORANDUM FOR RECORD

SUBJECT: Justification and Approval for Other than Full and Open Competition;

Add 1 – Phase 3 NSNs to Contract SPE7MX-16-D-0100

Solicitation SPE7MX-14-R-0106

1. Contracting Agency – Defense Logistics Agency DLA Land and Maritime 3990 E. Broad St Columbus, OH 43218-3990

2. Summary/Introduction (10 U.S.C. 2304 (c)(1)): The Government intends to add six National Stock Number (NSN) items, hereinafter referred to as the Add 1 – Phase 3 NSNs, to Contract SPE7MX-16-D-0100 (16D0100) by bilateral modification. As part of that modification, the Government intends to add an industrial preparedness investment under the Warstopper Program and provide General Dynamics Land Systems (GDLS) additional component parts, currently in the Government’s possession, necessary for successful production of the Add 1 – Phase 3 NSNs as Government Furnished Material (GFM).

Contract 16D0100 was originally awarded by DLA Land and Maritime to GDLS on 12 August 2016 for five years, with a three-year base period and two, one-year option periods.

The contract is a multiyear arrangement designed to sustain and improve readiness for the six vehicular platforms produced by GDLS: 1) Abrams Main Battle Tank; 2) Stryker Family of Vehicles; 3) Light Armored Vehicle Family of Vehicles; 4) Cougar; 5) Buffalo; and 6) RG-

31. The contract also provides for improved Obsolescence and Configuration Change Management and improves DLA’s visibility of the supply chain through enhanced communication with GDLS for items the Government has identified as critical parts. This element of the program is supported through a Supply Chain Risk Assessment report

(SCRA).

The SCRA is not separately priced and will be presented by GDLS in three formats.

Additionally, there will be a biannual meeting between the Government and GDLS to review the status of resolution activities, answer questions arising from the SCRA submitted since the last meeting, secure feedback on recommended courses of action and discuss any issues or concerns highlighted in the biannual report.

The contract supports production lead time (PLT) reductions through three “Inventory Programs” that provide the Government the opportunity to reduce inventories while responding to customer demands in a timely manner. Contract 16D0100 supports standard stock deliveries through delivery orders issued with the “Lead Time Away” (LTA) Inventory Program. The contract contains two additional, innovative Inventory Programs designed to support the program goals of PLT reduction and obsolescence management. The additional Inventory Programs are the Planned Production Program (PPP) and the Prepositioning

Program (PRE). Under the PPP, the Government receives monthly deliveries of a set number of each NSN in the program over the course of each contract year. Under the PRE, the Government receives 30-day delivery for NSNs in the program. The 30-day delivery is accomplished by GDLS prepositioning completed end-items or long lead-time sub-components. While all contract NSNs are not in the PPP and PRE, all are eligible for the PPP and PRE programs. Contract NSNs may enter or exit the PPP and PRE by mutual agreement of the Government and GDLS through the yearly NSN inventory program assessment process.

During the first year of performance of Contract 16D0100, PLT was significantly reduced.

The Government received 30-day delivery for items that historically had PLTs ranging from 167 to 244 days. Under the PPP, the Government was able to receive monthly deliveries of high demand items reducing lead times to between 23 and 79 days. GDLS has also averaged a 22% lead time reduction for delivery orders for stock issued under the LTA program. The Government expects similar benefits for the six NSNs to be added to the contract through this action. With the Warstopper investment, the Government anticipates the PLT reductions shown in Chart 1.

* - The total estimated potential value of the Add 1 – Phase 3 NSNs was based on 3.5 contract years as the Add 1 – Phase 3 NSNs are estimated for award in February 2018, which would place the NSNs on the contract with approximately .5 of contract year 2 remaining and all of contract years 3 through 5.

The potential contract maximum addition of the Add 1 – Phase 3 NSN group was based on the following rationale: In the Add 1 – Phase 3 NSNs, there are 5 NSNs managed by TACOM and purchased through DLA Warren and 1 NSN managed by DLA Land and Maritime. The contract maximum calculation for the Add 1 – Phase 3 NSNs was based on the updated estimated values of the NSNs. In order to calculate the new potential contract maximum, the estimated 3.5 year value of the Add 1 – Phase 3 NSNs was multiplied by 1.5 to cover unexpected spikes in demand.

The actual addition to the contract maximum will be based on the number of NSNs awarded and will not exceed as a result of this action.

** - Please note, the Warstopper Investment value is estimated based on the information in Attachment 4. The Warstopper Investment value may change following negotiation with GDLS. Investment value will be finalized prior to its addition to Contract 16D0100.

DLA is currently in negotiations with GDLS for the Add 1

– Phase 2 NSNs and expect the addition to be completed in October/November 2017.

3. Description of Agency’s Need (10 U.S.C. 2304(f)(3)(A)): The Government intends to add the Add 1 – Phase 3 NSNs to Contract 16D0100 by bilateral modification. A summary of the Add 1 – Phase 3 NSNs is found in Chart 2 below, and more complete individual NSN

As part of the modification, the Government intends to add an industrial preparedness investment under the Warstopper Program, provide GDLS additional component parts, currently in the Government’s possession, necessary for successful production of the Add 1 – Phase 3 NSNs as GFM, and allow GDLS rent-free use of the following Government Facilities: Scranton Plant, Tallahassee Operations, Sterling Heights Complex under Contract W56HZV-17-C-0140. This Justification is necessary to support the intended modification because the addition of the Add 1 – Phase 3 NSNs, the Warstopper Program investment, and providing GDLS GFM will potentially increase the contract maximum to and include terms and conditions not within the original scope of competition.

The Add 1 – Phase 3 NSNs include various spare parts in support of the Abrams Main Battle Tank. GDLS is the sole source of supply for all of the Add 1 – Phase 3 NSNs proposed for addition.

DLA Land and Maritime will invest in the subcomponents listed in Attachment 4 using funds allocated under the Warstopper Program and add that investment to Contract 16D0100. These subcomponents are used in the production of the Add 1 – Phase 3 NSNs.

The aim of the Warstopper investment is to help reduce the PLT for the Add 1 – Phase 3 NSNs as shown in Chart 1. The Add 1 - Phase 3 NSNs are Class IX items that can affect readiness of the Abrams Main Battle Tank, a strategic Warfighter weapon system. The Warstopper program will only be implemented for the following 5 NSNs managed by TACOM: 1290011264268, 5855016238582, 5998016275506, 5998016275520, and 6120014690181.

Other GFM will also be provided to GDLS as part of this modification and will be applicable to all of the Add 1 – Phase 3 NSNs. The current GFM listing can be found in Attachment 5.

The GFM are necessary subcomponents of the Add 1- Phase 3 NSNs that are now obsolete.

Only the Government has the inventory, which must be provided to the sole manufacturer, GDLS, to ensure successful production and continued availability of the Add 1 – Phase 3 NSNs. The GFM listing found in Attachment 5 may change prior to adding these NSNs to the contact as obsolescence issues with the component parts are resolved or new ones arise.

The listing will be finalized and approved prior to the addition of the Add 1 – Phase 3 NSNs to the contract.

GDLS will also be allowed the rent-free use of the above Government facilities for the production of these items because they are for the support of the Abrams Tank.

4. Authority for Other than Full and Open Competition (10 U.S.C. 2304(c)(1)): The modification to Contract 16D0100 described in this document will be conducted via Other than Full and Open Competition authority for supplies or services available from only one source, 10 U.S.C. 2304(c)(1), as implemented by FAR 6.302-1.

GDLS is the sole approved source for all six NSNs because it is the only known source that has the data, data rights, and manufacturing knowledge necessary to manufacture the items to meet the needs of the military. Technical reviews conducted by the Product Specialists for the Add 1 – Phase 3 NSNs have certified the technical information relied upon in this document as complete and accurate as of the time of the reviews in September/October 2017.

The following NSNs are managed by the Tank-automotive and Armaments Command (TACOM): 1290011264268, 5855016238582, 5998016275506, 5998016275520, and 6120014690181. The Contracting Office relied upon the TACOM Product Specialist technical review and certification rather than Acquisition Methods Codes (AMC) / Acquisition Method Suffix Codes (AMSC) to conclude that GDLS is the sole source of supply for these items and the Government nor any other known entity possesses the technical data necessary to facilitate a solicitation under full and open competitive procedures. The DLA managed item, 5998016159015, does have assigned to it an updated and verified AMC/AMSC of 3C further substantiating GDLS as the sole source of supply.

As such, TACOM has certified that GDLS is the sole source or supply for these items as follows:

NSN 5998016159015 - CIRCUIT CARD ASSEMBLY:

The only approved source for this item is GDLS, CAGE 1EFH8.

This part requires engineering source approval by the design control activity in order to maintain the quality of the part. Existing unique design capability, engineering skills, and manufacturing knowledge by GDLS require acquisition of the part from GDLS. GDLS retains data rights, manufacturing knowledge, or technical data that are not economically available to the Government, and the data or knowledge is essential to maintaining the quality of the part. An alternate source must qualify in accordance with the design control activity's procedures, as approved by the cognizant Government engineering activity. The qualification procedures must be approved by the Government engineering activity having jurisdiction over the part in the intended application.

NSN 1290011264268 - LOADERS PANEL ASSEMBLY:

The only approved source for this item is GDLS, CAGE 0HGX3.

This part must be acquired from a manufacturing source(s) specified on a source control or selected item drawing as defined by the current version of DoD-STD-100. Suitable technical data, Government data rights, or manufacturing knowledge are not available to

Although, by DoD-STD-100 definition, altered and selected items shall have an adequate technical data package, data review discloses that required data or data rights are not in Government possession and cannot be economically obtained.

The unique military grade Loaders Panel Assembly is a vital part of the M1A2 Abrams Tank.

The Government has limited data rights for this item and the Technical Data Package (TDP) acquisition production specification data is not fully defined and not suitable for full and open competition. The unique military grade Loaders Panel Assembly was developed, designed, built, and tested at GDLS's expense. This item is proprietary to GDLS, who is the actual (or original equipment) manufacturer.

Thus, the Government does not own a competitive TDP for this item, and no other contractor can viably provide this item to be used on the M1A2 Abrams Tank.

NSN 5855016238582 - DISPLAY UNIT, HEAD-UP:

The only approved source for this item is GDLS, CAGE 0HGX3.

The unique military grade Commanders Color Tactical Display is integral part of the Improved Commander's Display Unit (ICDU) which is used on the M1A2 SEP V2 Abrams Tank.

The TDP acquisition production specification data is not fully defined and not suitable for full and open competition. The unique military grade Commanders Color Tactical Display was developed, designed, built, and tested at GDLS’s expense. Thus, GDLS owns the proprietary rights to the technical/design data for the Commanders Color Tactical Display.

GDLS is the only contractor who has the required technical and engineering knowledge, production facility expertise, internal configuration control, overall management capability and quality testing capabilities necessary to produce this item.

NSN 5998016275506 - CIRCUIT CARD ASSEMBLY, IFCEU DIGITAL I/O:

The only approved source for this item is GDLS, CAGE 0HGX3.

This part must be acquired from a manufacturing source(s) specified on a source control or selected item drawing as defined by the current version of DoD-STD-100. Suitable technical data, Government data rights, or manufacturing knowledge are not available to permit acquisition from other sources, nor qualification testing of another part, nor use of a second source part in the intended application. Although, by DoD-STD-100 definition, altered and selected items shall have an adequate technical data package, data review

The unique military grade Digital Input/Output Circuit Card Assembly (CCA) is a vital part of the Improved Fire Control Electronics Unit (IFCEU), which in turn is used on the M1A2 System Enhancement Package Versions 1 & 2 (SEP v1 & v2) Abrams Tank.

The Government has limited data rights for this item and the TDP acquisition production specification data is not fully defined and not suitable for full and open competition. The unique military grade Digital Input/Output CCA was developed, designed, built, and tested at GDLS's expense. This item is proprietary to GDLS, who is the actual (or original equipment) manufacturer.

Thus, the Government does not own a competitive TDP for this item, and no other contractor can viably provide this item to be used on the M1A2 SEP v1 & v2 Abrams Tank.

GDLS has the requisite technical and engineering expertise to perform all efforts required to provide this Assembly. GDLS has demonstrated the unique and proven manufacturing capabilities to establish and maintain the processing control required to repetitively produce this item. GDLS is the only contractor who has the required technical and engineering knowledge, production facility expertise, internal configuration control, overall management capability, and quality testing capabilities necessary to produce, and deliver this item.

NSN 5998016275520 - CIRCUIT CARD ASSEMBLY (CCA):

The only approved source for this item is GDLS, CAGE 0HGX3.

The customized military-grade CCA is a vital part of the Improved Fire Control Electronics Unit Analog Input/output, which is used on the M1A2 System Enhancement Package Version 2 Abrams.

The Government has limited data rights for this item and the TDP acquisition production specification data is not fully defined and not suitable for full and open competition. The unique military grade CCA was developed, designed, built, and tested at GDLS’s expense. This item is proprietary to GDLS, who is the actual (or original equipment) manufacturer. Thus, the Government does not own a competitive TDP for this item, and no other contractor can viably provide this item to be used on the M1A2 Abrams Tank.

GDLS has the requisite technical and engineering expertise to perform all efforts required to provide this Assembly. GDLS has demonstrated the unique and proven manufacturing capabilities to establish and maintain the processing control required to repetitively produce this item. GDLS is the only contractor who has the required technical and engineering knowledge, production facility expertise, internal configuration control, overall management capability, and quality testing capabilities necessary to produce, and deliver this item.

The lack of data makes it necessary to procure this item on a non-competitive basis from the listed source.

NSN 6120014690181 - POWER SUPPLY:

The only approved source for this item is GDLS, CAGE 7W356.

This part must be acquired from a manufacturing source(s) specified on a source control or selected item drawing as defined by the current version of DoD-STD-100. Suitable technical data, Government data rights, or manufacturing knowledge are not available to permit acquisition from other sources, nor qualification testing of another part, nor use of a second source part in the intended application. Although, by DoD-STD-100 definition, altered and selected items shall have an adequate technical data package, data review discloses that required data or data rights are not in Government possession and cannot be economically obtained.

The unique military grade Turret Remote Switching Module Assembly is a vital part of the Elementary Wiring Diagram, Cable Interconnect Diagram Turret, Turret Electrical Installation which is used on the M1A2 System Enhancement Package Versions 1 & 2 (SEP v1 & 2); KUW; KSA Abrams Tank.

The Government has limited data rights for this item and the TDP is not fully defined and not suitable for full and open competition. The unique military grade Turret Remote Switching Module Assembly was developed, designed, built, and tested at GDLS's expense. This item is proprietary to GDLS, who is the actual (or original equipment) manufacturer.

Thus, the Government does not own a competitive TDP for this item, and no other contractor can viably provide this item to be used on the M1A2 System Enhancement Package Versions 1 & 2 (SEP v1 & 2); KUW; KSA Abrams Tank.

Based on the above information, sole source procurement to GDLS is the only method of procurement currently available to ensure supportability of fielded vehicles.

GDLS has the unique experience with the required item to meet the requirements timeframe to prevent further delay of meeting backorders. No other vendors have been approved for production on this item nor have any other vendors expressed interest in becoming qualified to producing this item.

GDLS has successfully produced this item on numerous occasions. GDLS has the facilities, personnel, technology and ability to deliver this item in accordance with the Government's requirements.

The Government will also add a Warstopper Program investment and provide GFM to GDLS as part of this modification. The Warstopper investment is for $2.6 million and will consist of sub-components of five of the Add 1 – Phase 3 NSNs: 1290011264268, 5855016238582, Justification and Approval SPE7MX-16-D-0100 – Add 1 – Phase 3 Page | 9

5998016275506, 5998016275520, and 6120014690181. The GFM is similarly necessary subcomponents for the Add 1 – Phase 3 NSNs.

GDLS is the sole approved source and manufacturer for the Add 1 – Phase 3 NSNs. GDLS is the only source able to use the Warstopper program investment, GFM, and Government Facilities as required by the military to reduce PLT and ensure continued availability of these NSNs for the support of the Abrams Main Battle Tank.

5. Price/Cost Considerations (10 U.S.C. 2304(f)(3)(C)): The anticipated cost to the Government will be fair and reasonable. The Government has received certified cost and pricing data from GDLS for all Add 1 – Phase 3 NSNs. The Defense Contract Audit Agency (DCAA) conducted an audit of GDLS’s cost and pricing data, and the DLA Land and Maritime Pricing Office will review the DCAA’s findings and provide recommendations to the Contracting Officer regarding appropriate target pricing. If fair and reasonable pricing cannot be negotiated, the NSN or NSNs will not be awarded.

6. Market Research/Efforts to Obtain Competition (10 U.S.C. 2304(f)(3)(D) and 10 U.S.C.

2304(f)(3)(E)): The buyer synopsized the Government’s intent to add the Add 1 – Phase 3 NSNs to Contract 16D0100 on October 11, 2016. There were no responses received from potential sources other than GDLS.

The buyer contacted GDLS in October 2016 to determine its interest in adding the Add 1 – Phase 3 NSNs to the current contract. GDLS expressed interest in supplying the Add 1 – Phase 3 NSNs. GDLS agreed with the Government’s finding that the proposed NSNs are appropriate candidates for Contract 16D0100. In addition, GDLS confirmed that each NSN supported the Abrams Main Battle Tank and recommended an “Inventory Program” for each

NSN.

The Government issued a sources sought notice on August 15, 2017. A copy of the notice is provided in Attachment 6. The notice did not make mention of Contract 16D0100 and simply requested sources interested in participating in a program designed to sustain/improve readiness for the contract’s covered vehicles. Mentions of Contract 16D0100 were removed from the notice so that potentially interested parties would not be discouraged from expressing interest due to the belief the Government’s intention to add these NSNs to Contract 16D0100 is predetermined. No responses were received to this notice.

Contract history reflects GDLS has been the only source of supply for these items. The procurement history for the Add 1 – Phase 3 NSNs is included in Attachment 3.

7. Action Being Taken to Overcome Barriers to Competition (10 U.S.C. 2304(f)(3)(F)): A Sources Sought Notice was posted from August 15, 2017 through August 22, 2017. The proposed contract action was synopsized indicating the Government’s intent to add the Add 1

– Phase 3 NSNs to Contract 16D0100 in October 2016.

Per DFARS PGI 206.303-2, previous J&As are attached to assist the approval authority.

The most recent purchase of NSNs 1290011264268 and 5998016159015 did not require J&As as they were under the Simplified Acquisition Threshold.

The J&As for the remaining NSNs are available in Attachment 7.

The previous J&A for Contract 16D0100 is found in Attachment 7.

8. A List of Sources that expressed, in writing, an interest in the acquisition: GDLS

Based on the foregoing justification, I hereby approve the addition of the Add 1 – Phase 3 NSNs, an industrial preparedness investment through the Warstopper Program, and GFM to Contract 16D0100 on an other than full and open competition basis pursuant to the authority of 10 USC 2304(c)(1) at FAR 6.302-1, only one or a limited number of sources. I hereby certify that the information contained in this justification is accurate and complete to the best of my knowledge and belief.
