Unless specifically stated elsewhere in the contract, the contractor shall provide all motor vehicles and any other transportation equipment required for the performance of this contract.

13.0 Security Measures/Force Protection

The Contractor may provide support under this contract during peacetime as well as during regional conflicts, contingency operations, national emergencies and natural disasters. At any time, the Government, its personnel, resources, and interests may be the target of enemy aggression to include espionage, sabotage, or terrorism. This increased risk requires the Contractor to take measures to ensure that steps are taken to prevent deliberate tampering with, damage to, and/or sabotage of MRO items provided to the customer. The Contractor shall ensure that all items and their packaging have not been tampered with throughout the manufacturing, storage, and delivery process. The Contractor shall immediately inform the Contracting Officer of any attempt or suspected attempt by any party or parties, known or unknown, to tamper with items to be provided under this contract. The following security guidance is also provided for selecting and overseeing transportation subcontractors in the performance of this contract:

1. The Contractor and its relevant subcontractors/suppliers shall ensure that boxes, bags, packaging, etc. are intact and demonstrate no evidence of tampering. All incoming truck drivers shall provide adequate identification upon request. Contractor visitors to Government installations, facilities, etc. shall be properly identified and shall have limited access to those areas appropriate for their visit. Procedures for storing product shall enforce controlled access in order to prevent product alteration. The Contractor shall convey to all warehouse, office and fleet personnel that security shall not be taken lightly and that any suspected adulteration or evidence of product tampering shall be reported immediately.

2. The Contractor and its relevant subcontractors/suppliers shall ensure that open trucks are never left unattended. Bolt-seals shall be used, when possible, to designate loaded trailers. Security seals shall be properly placed on all delivery vehicles and registered/logged in per delivery. The Contractor shall ensure that employee background checks are up to date. The Contractor shall ensure that drivers have communication devices available in the event of an emergency and shall establish emergency phone numbers for them to use. The Contractor and its relevant subcontractors/suppliers should keep a low profile and shall only share customer routes, etc. on a need-to-know basis. The Contractor shall immediately notify the Contracting Officer of any third-party requests for customer information that is not from one of its subcontractors/suppliers, and is not information directly related to the delivery of ordered MRO items.

The Contractor shall prevent the unauthorized release of any sensitive and/or classified information coming into its possession by all employees. The Contractor shall provide sensitive information only to those of its employees and subcontractors who have a need to know the information in furtherance of the performance of their duties. Information made available to the Contractor by the Government for the performance and/or administration of this contract shall be used only for those purposes and shall not be used or disclosed for any other purpose without the written agreement of the Contracting Officer. The Contractor shall establish, maintain, and execute communications, operations, and information systems security programs adequate to prevent unauthorized disclosures of sensitive and/or classified information.

14.0 Report of Damage, Destruction, Injury, or Death

The Contractor shall submit a full and complete written report of damage, destruction, personal injury, or death to the Contracting Officer within 72 hours of the following:

1. The damage or destruction of any equipment, cargo, or any other property of any type, nature, or description, whether owned by the Government or not, through any act of the Contractor, its agents, or employees, including any subcontractors, or through any other cause whatsoever arising out of and during the performance of this contract.

2. Personal injury to or death of any person engaged directly or indirectly in the performance of this contract or to Government personnel, contractor personnel, or any other third-party as a result of performance of this contract.

15.0 Local Law

FAR Clause 52.212-4 is incorporated into this solicitation and any resultant contract. The contractor shall be responsible for complying with all applicable local laws during the full term of the contract. If the contractor is required to make staffing adjustments in order to comply with local law, such adjustments shall be the sole responsibility of the contractor with no additional cost to the Government.

16.0 Status of Forces Agreements (SOFA)

The Status of Forces Agreements (SOFA) and implementing agreements or statutes govern shipments to United States Government facilities in each of the countries in the AFRICOM AOR. The current SOFA, to the best of the Governement’s knowledge at this time, permits the import of supplies intended for U.S.

Forces free of duties and taxes. The Contractor assume responsibility for ascertaining the precise rules and regulations, limitations, document requirements and restrictions that apply to these imports. The Contractor shall make every effort to obtain tax exemption for supplies sourced through countries having SOFA relationships with the U.S. Government. If the Contractor is unable to obtain tax exemption, then the Contractor may include tax in its pricing to the Government. However, in the event that Contractor later receives the tax-exemption, then the Contractor shall notify the Contractor Officer and reimburse taxes charged to the Government.

17.0 Contract Implementation and Transition Plan

17.1 Contract Implementation. The transition period is intended to provide the Contractor time to perform additional due diligence functions and stand up operations in support of the contract. The transition period shall not exceed 60 calendar days. The effective date of the contract shall be the start of the transition period. The Contractor shall be able to begin filling customer order (if necessary) before the end of the implementation period.

17.2 Transition Plan. In the event that a follow-on contract is awarded to a firm other than the Incumbent Contractor, the Government intends to: (i) make award at least 60 days prior to the expiration date of the expiring contract and (ii) establish a time-phased transition schedule during the Incumbent Contractor’s final 60 days of operation. During the transition period, the Incumbent Contractor remains contractually bound to fill orders placed against the contract. Performance failure during this period may result in Termination for Cause. The order of precedence for customer support is (1) the Incumbent Contractor, then (2) the Successor Contractor.

The successful offerer is required to provide its implementation plan to the contracting officer no more than 7 calendar days after award.

18.0 Contracting Officer Authority

The Contracting Officer is the only authorized representative that may enter into binding agreements, and obligate funds on behalf of the US Government. Modifications/changes to order quantities, prices, delivery dates, and delivery locations are contractual changes that can only be approved by the Contracting Officer.

The Contractor shall not implement any changes to an awarded delivery order without prior written consent from the Contracting Officer, nor shall it seek approval from anyone other than the Contracting Officer. Should the Contractor act on any such agreement, it does so at its own risk and may not be entitled to any financial consideration.
