Offerors must address electronic ordering and invoicing requirements and submit a catalog using the provided workbook template. Pricing must be FOB destination and include all costs. The base period and four option periods shall not exceed 60 months total. Award will be to responsible offerors at fair and reasonable prices who can meet supply and technical requirements. One or more items are subject to trade agreements. A draft solicitation is attached but the final will be via DIBBS.

This solicitation is a standing solicitation from which the Government contemplates award of contracts for various commercial items (see Section A.6.2.1.). The solicitation will remain in effect five years from the issue date or will be replaced by an updated solicitation, whichever comes first. Offerors are requested to submit complete proposals for all requirements, including all certifications, as specified in this solicitation. Proposals may be submitted at any time during the open periods of the solicitation.
Any proposal not received during a Quarterly Last Month Open Period (on or between the Opening Date and its corresponding Closing Date) will not be evaluated and will be returned to the offeror. Federal
Holidays are identified as those established by Federal law (5 U.S.C. 6103) and made available to the

Notes: 1. All hand carried offers are to be delivered to the Business Opportunities Office between 8:00 a.m. and
5:00 p.m., Monday through Friday, except for legal federal holidays as set forth in 5 USC 6103. Offerors using a commercial carrier service must ensure that the carrier service “hand carries” the package to the Business Opportunities Office specified above for hand carried offers prior to the scheduled opening/closing time. A.6. Blocks 19-24 – Schedule of Supplies/Services
A.6.1. General Information
A.6.1.1. This solicitation seeks to establish Indefinite Delivery/Indefinite Quantity (IDIQ)
Multiple Award Schedule (MAS) type contracts for various commercially available off-the-shelf
(COTS) items which will be ordered through the DOD EMALL system for delivery to DOD EMALL customers worldwide. DOD EMALL customers include DoD military and non-military customers, the
Defense Logistics Agency (DLA) acting as or on behalf of the customer, and customers of other
Government entities (including Federal, State, and/or Local).
A.6.1.2. Pricing for all contracts awarded as a result of this solicitation shall be Fixed Price with
Economic Price Adjustment (see DLAD 52.216-9011 Economic Price Adjustment – DoD Electronic
Mall (EMALL)).
A.6.1.3. The term of the contracts awarded as a result of this solicitation will be a Base Ordering
Period and four (4) Option Ordering Periods (for a total of five (5) periods of performance). Each of these contract periods shall be for one year, unless otherwise specified in the award document. All contracts awarded as a result of this solicitation shall not exceed 60 months (should all option periods be exercised).
A.6.1.4. A minimum contract dollar value and a maximum contract dollar value shall be calculated for each successful offeror prior to making an award.
A.6.1.5. All items offered in response to this solicitation must be a “Commercially available off-the-shelf (COTS) item” as defined by FAR 2.101. There are no exceptions to this rule. However, this statement does not prohibit items other than COTS from being added to the DOD EMALL system when awarded under a separate agreement or contract that is not the direct result of this solicitation provided that the separate agreement or contract contains all of the terms and conditions required for DOD
EMALL participation. An offeror does not need to have prior sales of an offered COTS item as long as the offeror can demonstrate that the item is “sold in substantial quantities in the commercial marketplace” (which may include sales by other legal business entities).

B. CAUTION NOTICES
B.1. As America’s Combat Logistics Support Agency, the Defense Logistics Agency (DLA) provides effective and efficient worldwide support to Warfighters and our other customers. We receive guidance from the Deputy Under Secretary of Defense (Logistics and Materiel Readiness), and as a statutory
Combat Support Agency we report to the Chairman, Joint Chiefs of Staff and the Combatant Commands in providing worldwide logistics support to deployed forces. DLA is responsible for sourcing and providing most of the repair parts and virtually all fuel and troop support consumable items used by our military forces. We also procure Service-managed depot-level repair items. In addition, DLA provides a broad array of supporting supply chain management services, including storage and distribution, reutilization or disposal of surplus military assets, managing Defense strategic materials, providing catalogs and other logistics information, and supplying a wide range of document services. We support
U.S. allies through Foreign Military Sales and are a vital contributor whenever this country undertakes humanitarian relief efforts at home or abroad. We provide human resources management and workforce development services to other DOD components.

B.3. The Department of Defense Electronic Mall (DOD EMALL) is a web-based online ordering platform meant to provide a full service e-Commerce site to find and acquire finished goods and services from the commercial marketplace and government sources for the Department of Defense and other
State and Federal agencies.
B.4. This solicitation is being issued as part of a Multiple Award Schedule (MAS) Program using the guidance of FAR Part 8 for all ordering procedures. The MAS program is designed to provide logistic support that empowers the customer to select the product that best meets their mission needs using best value ordering procedures.
B.5. All items offered in response to this solicitation must be a “Commercially available off-the-shelf
(COTS) item” as defined by FAR 2.101. See Section A.6.3.1 of this solicitation for a complete listing of all excluded items, including items with assigned National Stock Numbers (NSNs) and items requiring
Government Source Inspection.
B.6. This solicitation applies to Government facilities worldwide. Offerors may provide pricing for
Contiguous United States (CONUS) delivery; Alaska, Hawaii and Puerto Rico (AHP) delivery; and
Outside Contiguous United States (OCONUS) delivery.
B.7. Offerors are required to provide with their offers a list of contracts (commercial and/or government) performed within the last two years as detailed in Section E, Addendum to 52.212-1, Subparagraph

B.11. An initial assessment of all proposals submitted prior to the closing date and time will be performed within a reasonable amount of time after offers are retrieved from the Business Opportunities
Office to determine completeness. The proposals will be reviewed in order of receipt and compared to the checklist found in Section E, Addendum to 52.212-1, Subparagraph (g)(3) of this solicitation. Upon evaluation of the proposal, the Contracting Officer will make a determination as to whether the offeror has an understanding of the solicitation requirements sufficient enough to move forward. If the
Contracting Officer determines that the offeror has not demonstrated an understanding of the solicitation requirements, he/she may determine the proposal to be non-compliant and may return the proposal without further evaluation.
B.12. Minimum Surge Requirements. The DOD EMALL Contracting Office intends to partner with the contractors in supporting deploying units. DOD EMALL may be used as a vehicle for the rapid acquisition of essential supplies to respond to DoD wartime, contingency or humanitarian operations.
Surge as used in this solicitation is the ability of the industrial base to meet accelerated delivery requirements with existing industrial base capabilities across the spectrum of contingencies. This includes both the capability to ramp-up quickly to meet early requirements as well as sustain this increased pace throughout the conflict. Recognizing the unique requirements of the DoD and its national security roles, those contractors offering items required to support surge requirements will be requested to participate when the actual requirements are known.
B.13. DFARS Clause 252.225-7012, Preference for Certain Domestic Commodities (JUN 2010) and
DFARS Clause 252.225-7021, Trade Agreements (JUN 2011) apply to this solicitation.
B.14. CONTRACTOR CODE OF BUSINESS ETHICS (DEC 2010)
FAR Part 3.1002(a) requires all government contractors to conduct themselves with the highest degree of integrity and honesty. Contractors should have a written code of business ethics and conduct. To promote compliance with such code of business ethics and conduct, contractors should have an employee business ethics and compliance training program that facilitates timely discovery and disclosure of improper conduct in connection with government contracts and ensures corrective measures are promptly instituted and carried out. A contractor may be suspended and/or debarred for knowing failure by a principal to timely disclose to the government, in connection with the award, performance, or closeout of a government contract performed by the contractor or a subcontract awarded there under, credible evidence of a violation of federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in title 18 of the United States Code or a violation of the False Claims Act.

The solicitation or contract includes FAR Clause 52.203-13, Contractor Code of Business Ethics and
Conduct contained elsewhere in the solicitation. The contractor shall comply with the terms of the clause and have a written code of business ethics and conduct; exercise due diligence to prevent and detect criminal conduct, promote ethical conduct and a commitment to compliance with the law within their organization; and timely report any violations of Federal criminal law involving fraud, conflict of interest, bribery or gratuity violations found in Title 18 of the United States Code or any violation of the False Claims Act (31 U.S.C 3729-3733).
B.15. Next Generation e-Commerce Solution (NGe-Com)
B.15.1. Under the auspices of the Office of the Secretary of Defense (OSD), Defense Procurement and Acquisition Policy (DPAP), DLA is pursuing NGe-Com to serve as a technology refresh to its legacy system. DLA has partnered with the General Services Administration (GSA) Federal Acquisition
Service (FAS) to develop a single Government Electronic Mall to provide one-stop shopping for GSA and DoD customers, which may become a “Federal Mall”, or “FedMall” (note: this effort was previously referred to as “DOD EMALL 2.0”). The NGe-Com effort is expected to provide the government with a cost effective way to address current and future user needs by providing industry best practices, enhanced system performance, flexibility, and scalability. The chosen solution will be able to do this while also improving the user experience to provide more of a commercial look and feel, and may be in its Full Deployment (FD) phase of development as early as the end of the third quarter of
Fiscal Year (FY) 2015. Given this aggressive timeline and the overall complexity of this effort, it is anticipated that there will be an integrated concurrent approach to development and deployment.
B.15.2. The new system resulting from the NGe-Com effort will offer current and new functionality that may include, but not be limited to: the ability to support purchases of a variety of goods and services under different terms and conditions; capability to promote preferred sources; real-time order tracking and status; Vendor Dynamic Pricing (new policy pending); open interface standards supporting vendor-managed catalogs (new policy pending); the ability to support Reverse Auctions (see DLAD 52.215-
9023); capability for customers to provide reviews on vendors and products; new messaging features; a mobile-ready application; and et cetera. Some functionality of the new system is dependent upon policy changes, which may or may not be established at the time of FD.
B.15.3. Current DOD EMALL contractors, including those awarded contracts resulting from this solicitation, may be required to agree to new terms and conditions prior to transitioning to the system developed as a result of the NGe-Com effort (see B.17. and B.18.). Any new terms and conditions may be modified into the existing contract in accordance with FAR 52.212-4(c) “Contract Terms and
Conditions – Commercial Items”.
B.16. The DLA does not warrant the accuracy, completeness, or timeliness of information provided through DOD EMALL. Support contractors to the DLA and the DoD EMALL shall not be held liable for loss or damages resulting from information provided through the DOD EMALL.
B.17. The DLA reserves the right to change the terms and conditions for participation in the DOD
EMALL. Vendors will be notified of such changes at least 15 calendar days prior to implementing changes that impact vendor participation.
B.18. Vendors may request termination of their DOD EMALL contract at no cost to the
Government via written request to the contracting officer. If approved by the contracting officer, the request will result in a termination of the contract for the convenience of the Government at no cost to the Government.
B.19. Participation in the DOD EMALL is not transferable.
B.20. In November 2014, The DOD EMALL Contracting Office was moved from DLA Logistics
Information Service (DLIS) to the DLA Contracting Services Office – Philadelphia (DCSO-P). Please review all Sections of this Solicitation, as terms and conditions, including the manner in which proposals are to be submitted and evaluated, have been updated.

Addendum to FAR 52.212-4
The following paragraph of 52.212-4 are amended as indicated below:
Paragraph (m), Termination for Cause.
Delete paragraph (m) in its entirety and substitute the following:
(m) Termination for Cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the
Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the
Government for any and all rights and remedies provided by law. If this contract is terminated in whole or in part for cause, and the supplies or services covered by the contract so terminated are repurchased by the Government, the Government will incur administrative costs in such repurchases. The Contractor and the Government expressly agree that, in addition to any excess costs of repurchase, or any other damages resulting from such default, the Contractor shall pay, and the Government shall accept, the sum of $1,350.00 as payment in full for the administrative costs of such repurchase. This assessment of damages for administrative costs shall apply for any termination for cause following which the
Government repurchases the terminated supplies or services together with any incidental or consequential damages incurred because of the termination. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.
DLAD 52.212-9000 Changes – Military Readiness (NOV 2011)
The commercial changes clause at Federal Acquisition Regulation (FAR) 52.212-4(c) is applicable to this contract in lieu of the changes clause at FAR 52.243-1. However, in the event of a contingency operation or a humanitarian or peace keeping operation, as defined below, the Contracting Officer may, by written order, change 1) the method of shipment or packing, and 2) the place of delivery. If any such change causes an increase in the cost of, or the time required for performance, the Contracting Officer shall make an equitable adjustment in the contract price, the delivery schedule, or both, and shall modify the contract. The Contractor must assert its right to an adjustment within 30 days from the date of receipt of the modification.
“Contingency operation” means a military operation that-is designated by the Secretary of Defense as an operation in which members of the armed forces are or may become involved in military actions, operations, or hostilities against an enemy of the United States or against an opposing military force; or results in the call or order to, or retention on, active duty of members of the uniformed services under 10
United States Code (U.S.C.) 688, 12301(a), 12302, 12304, 12305, or 12406, chapter 15 of U.S.C., or https://www.acquisition.gov/far/index.html
Section C. Contract Clauses any other provision of law during a war or during an national emergency declared by the President or
Congress (10 U.S.C. 101(a)(13)).
“Humanitarian or peacekeeping operation” means a military operation in support of the provision of humanitarian or foreign disaster assistance or in support of peacekeeping operation under Chapter VI or
VII of the Charter of the United Nations. The term does not include routine training, force rotation, or stationing. (10 U.S.C. 2302 (8) and 41 U.S.C. 259(d)(2)(B)).

DLAD 52.212-9001 Application of Fast Payment to Part 12 Acquisitions
This acquisition is being conducted using Federal Acquisition Regulation (FAR) Part 12, Acquisition of
Commercial Items. FAR 52.213-1, Fast Payment, applies. The terms and conditions in 52.213-1 take precedence over paragraphs (a), (j), (n), (o) and (p) of the clause at FAR 52.212-4.
DLAD 52.213-9009 Fast Payment Procedure (APR 2014)
When the contract or order includes Federal Acquisition Regulation (FAR) 52.213-1, Fast Payment
Procedure, the following terms and conditions are included.
(a) The following statement shall appear on the consignee’s copy of the invoice or packing slip:
Consignee’s notification to purchasing activity of nonreceipt, damage, or nonconformance
The consignee shall notify the purchasing office promptly after the specified date of delivery of supplies not received, damaged in transit, or not conforming to specifications of the purchase order. Unless extenuating circumstances exist, the notification should be made not later than 60 days after the specified date of delivery.
(b) Free on board (f.o.b.) terms are in accordance with FAR 52.213-1. Invoices shall be submitted directly to the finance office designated elsewhere in this order or in the basic contract, or in the case of unpriced purchase orders, to the Contracting Officer.
