4. IDENTIFICATION OF THE STATUTORY AUTHORITY PERMITTING OTHER

THAN FULL AND OPEN COMPETITION:

The statutory authority permitting other than full and open competition is Title 10, U.S.C 2304 (c)(1), as implemented by the Federal Acquisition Regulation (FAR) 6.302-1, “Only one responsible source and no other supplies or services will satisfy the agency requirement.”

5. DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE

QUALIFICATIONS OR THE NATURE OF THE ACQUISITION REQUIRES USE OF

THE AUTHORITY CITED:

In accordance with FAR 6.302-1, brand-name Greenlight Technologies maintenance is essential to the Government’s requirement because the supplies or services required by the agency are available from only one responsible source, and no other type of services will satisfy the agency’s needs. A brand-name item, whether available on one or more contracts, is an item or service peculiar to one manufacturer and may be procured by brand-name specification if essential to the Government’s requirements. Because the Greenlight Technologies brand-name specification is essential to the Government’s requirements, thereby precluding consideration of services provided by an alternative source.

Greenlight Technologies maintenance is required for the continued support of the Enterprise Automated System used to ensure the auditability of the DLA Enterprise Business System (EBS).

Greenlight Technologies brand-name maintenance is the only maintenance services that can fulfill this requirement. Greenlight Technologies software code is proprietary, and only authorized resellers can provide the required maintenance, including providing updates, patches and technical support. The Government’s requirements and market research indicates other companies’ products do not meet the Agency’s needs. The Greenlight Technologies RTA Design Studio and Transaction Monitoring offer a Segregation of Duties (SOD) extension capability unique to RTA Design Studio and Transaction Monitoring. Additionally, no other software has the required SOD extension capability to provide updates and patches to existing Greenlight Technologies software. Greenlight Technologies software is proprietary in nature and updates/patches are only available directly from Greenlight Technologies.

On December 10, 2018, DLA Contracting Service Office Philadelphia awarded a 12-month Option Period 2 Contract (on GSA Schedule No: GS-35F-0119Y) to Carahsoft Technology Corporation for Greenlight Technologies LaserFocus and RTA Design Studio Systems Annual Maintenance. Carahsoft Technology Corp. is Greenlight Technologies’ only designated reseller.

Because procurement of any services other than proprietary brand-name Greenlight Technologies maintenance services would not be compatible with and would not support DLA’s current networking environment, including the requirement for SAP compatibility, the aforementioned maintenance services are essential to satisfying the Government’s requirement. Only Greenlight Technologies and authorized resellers of Greenlight Technologies software are capable of satisfying the requirement without considerable configuration and setup efforts. Consequently, the use of other than full and open competition for this procurement action is justified.

6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE

SOLICITED FROM AS MANY POTENTIAL SOURCES AS IS PRACTICABLE:

The current action will be issued as a total small business set-aside, Combined Synopsys/Solicitation-Request for Proposal (RFP) posted to the Contract Opportunities website (beta.sam.gov) in accordance with FAR 5.201(b). All responsible parties will be given an opportunity to submit an offer.

7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE

ANTICIPATED COST TO THE GOVERNMENT WILL BE FAIR AND REASONABLE:

As the Contracting Officer, I hereby determine that pricing will be fair and reasonable based on pricing analysis in accordance with FAR 15.404-1. It is anticipated that the Government will use various prices analysis techniques including, but not limited to: 1) comparison of proposed prices received in response to the solicitation (reference FAR 15.404-1(b)(2)(i)); 2) comparison with competitive published price lists (reference FAR 15.404-1(b)(2)(iv)); and 3) comparison of proposed prices with prices obtained through market research of the same or similar items (reference FAR 15.404- 1(b)(2)(vi)), in order to obtain a fair and reasonable price.

8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE

RESULTS OR A STATEMENT OF THE REASON MARKET RESEARCH WAS NOT

CONDUCTED:

Based on current market research conducted November 26, 2019, it has been determined that only the aforementioned product support can fully meet the Government’s need. No competitor functional replacement services exist in the market at this time to meet the Government’s need.

The Government will continue to conduct market research to determine if there are changes in the marketplace that would enable future competitive action, i.e. whether there are similar products and/or product support services in the marketplace that provide the same functionality, whether the original equipment manufacturer releases ownership rights of the product, and whether it is economically feasible to procure a new system.

Market research actions were conducted amongst authorized resellers of the required Greenlight Technologies maintenance support. These actions included a Request for Information (RFI) posted to both the NASA SEWP System and GSA eBuy, and a Sources Sought announcement created under Open Market procedures and posted to the Contract Opportunities website (beta.sam.gov). The findings from this market research confirmed that two small and one large

Page 5 of 6 Pages business concerns were capable of providing the required support via open market procedures.

Support is not currently available through the NASA SEWP or GSA eBuy system. A decision was made to issue the requirement via a 100% total small business set-aside as a Combined Synopsis/Solicitation – Request for Proposal under open market procedures and posted to the Contract Opportunities website (beta.sam.gov) in an effort to disseminate the requirement to the maximum number of potential sources.

9. ANY OTHER FACTS SUPPORTING THE USE OF OTHER THAN FULL AND

OPEN COMPETITION:

N/A

10. LISTING OF THE SOURCES, IF ANY, THAT EXPRESSED, IN WRITING, AN

INTEREST IN THE ACQUISITION:

11. STATEMENT OF THE ACTIONS, IF ANY, THE AGENCY MAY TAKE TO

REMOVE OR OVERCOME ANY BARRIERS TO COMPETITION BEFORE ANY

SUBSEQUENT ACQUISITION FOR THE SUPPLIES OR SERVICES REQUIRED:

At this time, the required Greenlight Technologies Maintenance provided by authorized resellers of these products are the only services that will support DLA’s requirements and meet the Government’s needs. However, DLA has exercised, and continues to exercise, competition as often as possible and is required to conduct ongoing reviews to keep abreast of new technology, both in industry and the Government. As a continuing effort, DLA utilizes a variety of vendors, manufacturers, and contracts to fulfill its requirements and will continue the practice of surveying the market to ensure full and open competition to the maximum extent practicable.
