NOTICE TO OFFERORS

1. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6 in conjunction with Part 13.5 of the Federal Acquisition Regulations (FAR), as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued. This solicitation is issued as a Request for Quote (RFQ) and the solicitation number is SP3300-17-R-5008.

2. This Request for Quotation (RFQ) is being issued to establish a Fixed Price Indefinite Delivery Requirements Contract to provide PACKING LIST ENVELOPES for delivery to multiple destinations. This solicitation requires vendors to submit Firm Fixed pricing for each CLIN and each zone defined below. Delivery Orders will be issued on a Firm Fixed Price basis, and will be shipped to destinations in Zones 1 and 2. The destination address will be provided in the individual Delivery Orders placed against this contract. F.O.B. Destination prices shall include delivery to all destinations within Zones 1 and 2, including delivery to the continental United States (CONUS) Consolidation and Containerization Points (CCP) within the respective zones if the ultimate destination is OCONUS or overseas. Vendors may not propose alternate zones. The zones are defined as follows:

Zone 1: Alabama, Arkansas, Connecticut, Delaware, Florida, Georgia, Illinois, Indiana, Iowa, Kentucky, Louisiana, Maine, Maryland, Massachusetts, Michigan, Minnesota, Mississippi, Missouri, New Hampshire, New Jersey, New York, North Carolina, Ohio, Pennsylvania, Rhode Island, South Carolina, Tennessee, Vermont, Virginia, Washington, D. C., West Virginia, Wisconsin.

Zone 2: Arizona, California, Colorado, Idaho, Kansas, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oklahoma, Oregon, South Dakota, Texas, Utah, Washington, Wyoming.

3. The following Attachments apply to solicitation SP3300-17-R-5008:

Attachment 1 – Delivery Locations & Zones Attachment 2 – Past Performance Questionnaire (PPQ)

Attachment 1 is a list of Delivery Locations & CONUS DLA Distribution sites in each zone by state, with the associated DoD Activity Address Code (DoDAAC). Destinations within the zones are not restricted to these sites.

4. PERIOD OF PERFORMANCE: Date of contract award through one (1) year with two (2) one (1) year option periods. The Government reserves the right to exercise the option years in accordance with FAR 52.217-9 – Option to Extend the Term of the Contract.

Base Year: 25 September 2017 through 24 September 2018 Option Year 1: 25 September 2018 through 24 September 2019 Option Year 2: 25 September 2019 through 24 September 2020

5. ESTIMATED QUANTITIES: The quantities shown in the Schedule of Supplies/Services are estimated only. They represent the Government’s best-known estimate for each line item. Payment will be made only for the actual quantities provided to the Government at the price specified. If the Government requirements do not result in the quantities estimated, such event shall not constitute the basis for an equitable price adjustment under the contract.

6. PAYMENT INFORMATION: Payment for supplies delivered under the written delivery orders will be made by DFAS;

contractor shall submit invoices thru Wide Area Workflow (WAWF) in accordance with DFARS 252.232- 7006 Wide Area Workflow Payment Instructions.

7. This solicitation is restricted to total 100% Small Business Set-Aside. The North American Industry Classification System (NAICS) code for this solicitation is 326111 and the size standard is 750 employees.

8. SYSTEM FOR AWARD MANAGEMENT REGISTRATION – As stated in the referenced FAR 52.212-1 Instructions to

Offerors – Commercial Items, paragraph (k) System for Award Management, a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation.

Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through http://www.acquisition.gov or http://www.sam.gov/.

9. PACKING AND MARKING REQUIREMENTS: All material shall be packaged best commercial practice in accordance with ASTM D3951 and shall be marked in accordance with MIL-STD-129P. All shipments must contain proper shipping documentation. Suppliers must attach, in a water-resistant envelope to the exterior shipping container, a commercial packing list. All documents must include at a minimum, contract number, document number for each item, Material Number or National Stock Number (NSN), quantity, and Unit of Issue. Omission of any data on the shipping documentation will cause a delay in receipt of goods and significantly delay payment.

10. This solicitation incorporates clauses and provisions in effect through Federal Acquisition Circular (FAC) 2005-95 effective 19

January 2017; Defense Federal Acquisition Regulation Supplement (DFARS) DPN 20161222 (Effective 22 Dec 2016) edition;

11. This solicitation is being issued as a small business set-aside, which means any concerns proposing to furnish a product that it did not itself manufacture must furnish the product of a small business manufacturer. Reference FAR Clause 52.219-6, Notice of Total Small Business Set-Aside.

Any award resulting from this solicitation will be issued on a Standard Form (SF 1449).

The provision at FAR 52.212-1, Instructions to Offerors – Commercial, applies to this acquisition.

Paragraph (c) of FAR Provision 52.212-1 is hereby tailored to read as follows:

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers.

Addenda to FAR 52.212-1: The following provisions apply and are incorporated by full text:

FAR 52.209-7 – Information Regarding Responsibility Matters (Jul 2013)

(a) Definitions. As used in this provision—

“Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceeding at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

“Federal contracts and grants with total value greater than $10,000,000” means—

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite- quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).

“Principal” means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.

(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management database via https://www.acquisition.gov (see 52.204-7).

FAR 52.209-11 – Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law (Feb 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(b) The Offeror represents that—

(1) It is ☐ is not ☐ a corporation that has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability; and

The Government contemplates award of a Fixed Price Indefinite Delivery Requirements Contract, with Firm Fixed Price Delivery Orders, resulting from this solicitation.

This solicitation incorporates one or more solicitation provisions by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available. The offeror is cautioned that the listed provisions may include blocks that must be completed by the offeror and submitted with its quotation or offer. DLAD 52.233-9001 Disputes- Agreement to Use Alternative Dispute Resolution (DEC 2016)

(a) The parties agree to negotiate with each other to try to resolve any disputes that may arise. If unassisted negotiations are unsuccessful, the parties will use alternative dispute resolution (ADR) techniques to try to resolve the

SP3300-17-R-5008 Page 9 of 41 dispute. Litigation will only be considered as a last resort when ADR is unsuccessful or has been documented by the party rejecting ADR to be inappropriate for resolving the dispute.

(b) Before either party determines ADR inappropriate, that party must discuss the use of ADR with the other party.

The documentation rejecting ADR must be signed by an official authorized to bind the contractor (see FAR 52.233-1), or, for the Agency, by the contracting officer, and approved at a level above the contracting officer after consultation with the ADR Specialist and legal counsel. Contractor personnel are also encouraged to include the ADR Specialist in their discussions with the contracting officer before determining ADR to be inappropriate.

QUOTATION SUBMISSION INSTRUCTIONS: Quotes must include one (1) copy each of the following items.

Submission of a quote that does not contain all items requested below may result in elimination from consideration for award.

1. Company name, address, phone number, email address, and fax number;

2. Solicitation number;

3. Completed Schedule of Supplies/Services;

4. Desired and Required Time of Delivery is applicable;

5. Contractor DUNS & Cage Code;

6. Name of Small Business Manufacturers;

7. Past performance information from three (3) sources that clearly indicate the offeror has satisfactorily provided the same or similar product commercially or to the Government within the past three (3) years. This information shall include (a) Contract Number, (b) Point of Contact, (c) Telephone number, (d) Dollar amount of contract, (e) Brief description of product provided. See attachment 2 Past Performance Questionnaire.

8. Completed representations and certifications located at FAR Provision 52.212-3, or indicate completion of the representations and certifications via www.sam.gov.

FAR 52.212-2 Evaluation -- Commercial Items (Oct 2014)

(a) The Government intends to award one contract resulting from this solicitation to the responsible offeror using the lowest price/technically acceptable source selection process with the lowest overall price for all CLINS (including Base Year and Two Option Years). In order to be considered for award, an offer must be provided for all CLINS. Award will be based on the lowest evaluated price of proposals meeting or exceeding the acceptability standards for the non-cost factors. Factor 1 – Contractor Past Performance: This factor shall be evaluated for acceptability only on a pass/fail basis and shall not be rated. An offeror who has been found to have a satisfactory past performance history will then have its proposal evaluated for the lowest price.

Factor 1: Past Performance – This standard is based upon the offeror’s ability to substantiate credible examples of past performance associated with their commercial and/or Government offerings, including delivery, schedule compliance, product quality and overall customer satisfaction. Evaluation of past performance will be a subjective assessment based on consideration of all relevant facts and circumstances; it will not be based upon absolute standards of acceptable performance. The Government will seek to determine whether the offeror has consistently demonstrated a commitment to customer satisfaction and timely service.

The minimum criteria for acceptability under this factor shall be information submitted by the offerors’ from three (3) sources that clearly indicate they have satisfactorily provided the same or similar product commercially or to the Government within the past three (3) years. This information shall include:

a. Contract Number

b. Point of Contact

c. Telephone number

d. Dollar Amount of Contract

e. Brief description of product provided

The Government is not limited to the information provided above, but reserves the right to independently seek past performance information through open market contacts, government systems, and other government agencies.

(b) Options – The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the base year. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer, whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

However, the Government will evaluate an offer that proposes delivery based on the Contractor’s date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through

FAR 52.216-19 – ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than 1 MX (thousand), the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of 1,125 MX (thousand).

(2) Any order for a combination of items in excess of 4,499 MX (thousand); or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the

Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph

(b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

FAR 52.216-21 – REQUIREMENTS (OCT 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities described as "estimated'' or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) Except as this contract otherwise provides, the Government shall order from the Contractor all the supplies or services specified in the Schedule that are required to be purchased by the Government activity or activities specified in the Schedule.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 21 days after expiration of contract.

FAR 52.217-9 – OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within the period of performance; provided, that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three years.

DFARS 252.216-7006 ORDERING (MAY 2011)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the contract schedule. Such orders may be issued from date of contract award through one (1) year with two (2) option years (or three (3) years if option years are exercised) following date of contract award.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c)(1) If issued electronically, the order is considered “issued” when a copy has been posted to the Electronic Document Access system, and notice has been sent to the Contractor.

(2) If mailed or transmitted by facsimile, a delivery order or task order is considered “issued” when the Government deposits the order in the mail or transmits by facsimile. Mailing includes transmittal by U.S. mail or private delivery services.

(3) Orders may be issued orally only if authorized in the schedule.

DFARS 252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (MAY 2013)

(a) Definitions. As used in this clause—

“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall—

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:
