SECTION H

SPECIAL CONTRACT REQUIREMENTS

H1 Liquid Asphalt Economic Price Adjustment (EPA) – March 12, 2010 DLA Defense distribution Center J7-AB

(a) General. The unit prices of Contract Line Item Numbers (CLIN) 0017, 0019, 1017 and 1019 of this contract shall be subject to adjustment periodically as provided herein. The Contractor shall notify the Contracting Officer of a Price Rebate or Price Increase per paragraph C below, within ten (10) days after the Pennsylvania Asphalt Paving Association’s (PAPA) monthly Asphalt Paving Index (API) has been published.

(b) Warranties. The Contractor warrants that:

(1) The unit prices set forth in the Schedule do not include allowances for any portion of the contingencies covered by this clause. Pricing actions pursuant to the Changes clause or other provisions of the contract will be priced as though there were no provisions for economic price adjustment.

(2) The prices to be invoiced hereunder shall be computed in accordance with the provisions of this clause.

(c) Definitions. The terms used in this instruction are defined as specified below.

(1) Material Index Bid (IB) - The total $ price charged to the DDC for CLINs:

0017 BCBC Bituminous Pavement - Material Only Price 0019 Bituminous Wearing Course, ID-2-Material Only Price 1017 BCBC Bituminous Pavement - Material Only Price

1019 Bituminous Wearing Course, ID-2-Material Only Price delivered to the Government and included in the contract award schedule.

(2) Price Rebate (PR) - Price decrease to the IB in the event that the Asphalt Paving Index (API) decreases greater than ten (10) percent below the initial Baseline Index established by the Government. There is no percentage limit on the amount of decreases that may be made under this clause.

(3) Price Increase (PI) –Price increase to the IB in the event that the Asphalt Paving Index (API) rises greater than ten (10) percent above the initial Baseline Index established by the Government. The maximum percentage price increase will be 40 percent (%) per contract calendar year.

(4) Contract Date. The term which means the date of award of the contract resulting from this solicitation.

SP3300-10-R-0018 H-2

(5) Economic Indicator. The economic indicator for price adjustments under this instruction is contained in the Pennsylvania Asphalt Paving Association’s (PAPA) monthly Asphalt Paving Index (API) price for asphalt cement. The API uses pricing data obtained on the last Wednesday of the preceding month, from a survey of producers who do business in Pennsylvania. The API price can be found at the following website: www.pahotmix.org. The applicable API price used for this solicitation is found under Zone 1-Districts 3, 4, 5, 6, 8. Using this information, the Government is establishing a Baseline Index to determine the changes to the cost of asphalt pavement for the duration of the Contract.

(6) Baseline Index. For purposes of price adjustment under this clause, the Baseline Index shall be the index posted for material placed in March 2010 which has a price of $494/ton. This Baseline Index applies to both the base contract year and option year one CLINs.

(7) Adjusting Price Index. For purposes of price adjustment under this clause, this term shall mean the API indicator for the month in which the unit price(s) are being adjusted.

(d) Cumulative Price Adjustment. Unit price adjustments under this contract shall be subject to the following limitations:

(1) The unit prices of the Base Year CLINs will serve as the Index Bids (IB) that will be used in the calculation of any future Price Rebate (PR) or Price Increase (PI), including the option year.

(2) The Government will only require a Price Rebate (PR) from or issue a Price Increase (PI) to the Contract in the event that the API either falls below or rises greater than ten (10) percent above or below the initial Baseline Index of $494/ton. When this occurs, the PR or PI shall be equivalent to the percentage the PR or PI falls below or rises above the initial Baseline Index (ex.: 21.3% increase in Baseline Index yields (21.3-10.0) 11.3% increase).

(3) PRs and PIs resulting from changes to the Baseline Index will only affect a portion of the IB for the bituminous material because the bituminous material is not wholly composed of asphalt. Industry standards indicate that BCBC is composed of 4% asphalt and ID-2 Wearing Course is composed of 6.2% asphalt. The remainder of the bituminous material is composed of sand and stone aggregate.

Therefore, the PR and PI resulting from the Asphalt Escalation Formula shall only be applied to 4% of CLINs X017 and 6.2% of CLINs X019.

(4) Upon publication of the Adjusting Price Index, the contracting officer will make an effort to monitor the monthly changes to the API, but the http://www.pahotmix.org/

SP3300-10-R-0018 H-3

Contractor is responsible for notifying the Government in writing of the monthly status of the API and is also responsible for providing the Government with a written calculation showing any required PR or PI resulting from updates to the APIs. Any adjustments made in accordance with this clause whether increased or decreased, shall be the responsibility of the Contracting Officer via modification. The Government has developed a form for reporting the monthly price adjustment which will be provided to the contractor for their use.

(5) The following are examples of a PR and PI adjustment calculations using the Baseline Index (Figures shown were created to illustrate the method of calculating changes to the CLIN pricing. They do not represent actual data.)

Example PR Adjustment Baseline Index $494/ton, Month 1 Current Index 410/price per ton CLIN 0017/price per ton bid: $400.00

(410-494)/494 = -17% + 10% = -7% X $400.00 = -$28.01 PR

-$28.01 X0.04 = -$1.12 decrease in value to IB or $398.88 price per ton

Example PI Adjustment:

Baseline Index $494/ton, Month 1 Current Index 550/price per ton CLIN 0017/price per ton bid: $400.00

(550-494)/ 475 =11.3% - 10% = 1.3% X $400.00 = $5.2 PI

$5.2X0.04 = $.21 increase in value to IB or $400.21 price per ton

Baseline Index $494/ton, Month 2 Current Index 570/price per ton CLIN 0017/price per ton bid: $400.00

(570-494)/494 = 15.3% -11.3%= 4% X $400.21 = $16.00 PI

$16.00 X0.04 = $.64 increase in value to IB or $400.85 price per ton

(6) If PAPA fails to publish a monthly API value for the designated commodity item or if the Contracting Officer determines that the index consistently and substantially fails to reflect market conditions, the Contracting Officer may amend the contract to specify use of an appropriate substitute index effective on the date the index specified in the contract was not published or, if published, begins to consistently and substantially fail to reflect market conditions.

(e) Contract Modifications. The price adjustment(s) to be made hereunder shall be evidenced by a Modification signed by the Contractor and the Contracting Officer.

The Modification shall be issued within ten (10) days of notification by the contractor that a PI or PR price adjustment is required based on the monthly API publication:

Shall set forth the unit price(s) as adjusted in accordance with this clause to establish the Contract CLIN Price(s) for the ensuing performance period and, SP3300-10-R-0018 H-4

(1) Shall adjust the unit prices of any task orders issued during this 10 day period.

(2) If the adjustment results in a decrease to the unit price(s) of task orders issued during this (10) day period, the Contractor shall submit a credit memorandum in the amount of the decrease within thirty

(10) days of the date of the Modification. This credit will be applied to subsequent task orders.

(f) Disputes. Any disagreement which arises in connection with the administration of this clause shall constitute a dispute under the “Disputes” clause of the contract.

(g) Examination of Records: The Contracting Officer (or their authorized representative) may examine the Contractor’s books, records, and other supporting data relevant to the cost of material applicable to this clause during all reasonable times until the end of three years after the date of final payment under this contact or the time periods specified in Subpart 4.7 of the Federal Acquisition Regulation (FAR), whichever is earlier.

H2 DEPOT REGULATIONS. Illegal drugs, guns or other contraband are not authorized on this Federal installation. It is the contractor's responsibility to ensure that its employees working on-site at this installation are U.S. citizens or legal aliens with no outstanding warrants. This installation is manned by a DoD Police Force who possesses apprehension authority, which includes holding suspects for local authorities. 52.204-7 CENTRAL CONTRACTOR REGISTRATION (APR 2008)

DFARS 252.204-7004 ALTERNATE A (SEP 2007) substitutes the following paragraph (a) for paragraph (a) of the FAR 52.204-7 clause:

(a) Definitions. As used in this clause--

“Central Contractor Registration (CCR) database” means the primary Government repository for contractor information required for the conduct of business with the Government.

“Commercial and Government Entity (CAGE) code” means—

(1) A code assigned by the Defense Logistics Information Service (DLIS) to identify a commercial or Government entity; or

(2) A code assigned by a member of the North Atlantic Treaty Organization that DLIS records and maintains in the CAGE master file.

This type of code is known as an “NCAGE code.”

“Data Universal Numbering System (DUNS) number” means the 9-digit number assigned by Dun and Bradstreet, Inc. (D&B) to identify unique business entities.

“Data Universal Numbering System +4 (DUNS+4) number” means the DUNS number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.) This 4-character suffix may be assigned at the discretion of the business concern to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see Subpart 32.11 of the Federal Acquisition Regulation) for the same parent concern.

“Registered in the CCR database” means that—

(1) The Contractor has entered all mandatory information, including the DUNS number or the DUNS+4 number, into the CCR database;

(2) The Contractor’s CAGE code is in the CCR database; and

SP3300-10-R-0018 I-9

(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service, and has marked the records “Active.”

The Contractor will be required to provide consent for TIN validation to the Government as part of the CCR registration process.

(b)

(1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.

(2) The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS+4” followed by the DUNS or DUNS+4 number that identifies the offeror’s name and address exactly as stated in the offer. The DUNS number will be used by the Contracting Officer to verify that the offeror is registered in the CCR database.

(c) If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one.

(1) An offeror may obtain a DUNS number—

(i) Via the internet at http://fedgov.dnb.com/webform or if the offeror does not have internet access, it may call Dun and Bradstreet at 1-866-705-5711 if located within the United States; or

(ii) If located outside the United States, by contacting the local Dun and Bradstreet office. The offeror should indicate that it is an offeror for a U.S. Government contract when contacting the local Dun and Bradstreet office.

(2) The offeror should be prepared to provide the following information:

(i) Company legal business name.

(ii) Tradestyle, doing business, or other name by which your entity is commonly recognized.

(iii) Company physical street address, city, state and Zip Code.

(iv) Company mailing address, city, state and Zip Code (if separate from physical).

http://fedgov.dnb.com/webform

SP3300-10-R-0018 I-10

(v) Company telephone number.

(vi) Date the company was started.

(vii) Number of employees at your location.

(viii) Chief executive officer/key manager.

(ix) Line of business (industry).

(x) Company Headquarters name and address (reporting relationship within your entity).

(d) If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror.

(e) Processing time, which normally takes 48 hours, should be taken into consideration when registering. Offerors who are not registered should consider applying for registration immediately upon receipt of this solicitation.

(f) The Contractor is responsible for the accuracy and completeness of the data within the CCR database, and for any liability resulting from the Government’s reliance on inaccurate or incomplete data. To remain registered in the CCR database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the CCR database to ensure it is current, accurate and complete. Updating information in the CCR does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(g)

(1)

(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day’s written notification of its intention to:

(A) Change the name in the CCR database;

(B) Comply with the requirements of Subpart 42.12 of the FAR;

SP3300-10-R-0018 I-11

(C) Agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name.

(ii) If the Contractor fails to comply with the requirements of paragraph (g)(1)(i) of this clause, or fails to perform the agreement at paragraph (g)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the CCR information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the “Suspension of Payment” paragraph of the electronic funds transfer (EFT) clause of this contract.

(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the CCR record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims). Assignees shall be separately registered in the CCR database. Information provided to the Contractor’s CCR record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the “Suspension of payment” paragraph of the EFT clause of this contract.

(h) Offerors and Contractors may obtain information on registration and annual confirmation requirements via the Internet at http://www.ccr.gov or by calling 1- 888-227-2423, or 269-961-5757.

52.216-18 ORDERING (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from the date of contract award through one year for the base year period and for one option year period if the Government exercises the option.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail.
