About this file

This document is a Sources Sought/Market Research notice from the Small Business Administration (SBA) regarding a requirement for Filing COVID-19 Economic Injury Disaster Loan (COVID EIDL) Uniform Commercial Code (UCC) Continuation Statements.

The SBA is conducting market research to identify interested parties with the capability to file approximately 1.37 million UCC continuation statements on behalf of the agency. The work will involve verifying entity names and domestic/foreign status, then filing the statements with the appropriate Secretary of State offices. The majority of the filings must be completed within FY2025, with the remainder in FY2026-FY2027. The SBA anticipates using NAICS code 561499 "All Other Business Support Services" and may set the requirement aside for small businesses based on the responses received. Interested parties are invited to submit capability information by August 14, 2024 addressing qualifications, pricing, approach, and past experience. The SBA will not provide feedback on the submissions but may contact vendors directly for additional information.

Sources Sought/Market Research

Overview The Small Business Administraon (SBA) is issuing this synopsis as a means of conducng market research to idenfy pares having an interest in and the resources to support this requirement for Filing COVID-19 Economic Injury Disaster Loan (COVID EIDL) Uniform Commercial Code (UCC) Connuaon Statements. The result of this market research will contribute to determining the method of acquision. The SBA ancipates using North American Industry Classificaon System (NAICS) code 561499 “All Other Business Support Services” for this acquision.

There is no solicitaon at this me. This request for capability informaon does not constute a request for proposals; submission of any informaon in response to this market survey is purely voluntary; the SBA assumes no financial responsibility for any costs incurred.

Descripon of Requirement Vendors should review the attached work statement which describes in detail the SBA’s requirement.

The SBA will provide to the awarded vendor the original UCC financing statement number as sorted by loan number for a populaon of approximately 1.37 million loans. For each statement, the vendor first will need to check with the subject Secretary of State’s office that the name of the enty is spelled correctly against what the state is showing in its corporate name database, and check if the enty is Domesc (formed in the state SBA is filing in) or Foreign (formed in a different state than the one SBA is filing in). The vendor then will be required to file with the correct Secretary of State’s office the correct and mely UCC connuaon statements beginning in November 2024. Most of these loans (approximately 80%) must have the UCC connuaon statements filed within government FY25, with the remainder to be filed in either FY26 or FY27. The vendor will be required to submit writen deliverables/reports in accordance with the government’s work statement.

SBA ancipates two CLINs as follows:

CLIN 0001 – Processing Fee

Pricing Type: Firm Fixed Price

Descripon: The contractor will file UCC connuaon statements and submit accurate, complete and mely deliverables in accordance with the government’s work statement.

For these services, the contractor will be paid a fixed processing fee per each UCC filing completed. This fee should represent the full scope of services provided as addional compensaon will not be provided. The contractor will be paid monthly for all filings completed during the month prior.

CLIN 0002 – Filing Fee

Pricing Type: Cost Reimbursement

Descripon: The contractor will be responsible for paying the UCC filing fee at me of filing and will be reimbursed by the government monthly for all filings completed during the month prior. There will be no funds obligated on this CLIN as the filing fee will be reimbursed to the contractor at cost from each loan where a UCC connuaon statement is filed. Filing fees vary by state and must be recorded accurately by loan for purposes of reimbursement. The reimbursement to the contractor will be completed outside of this contract but governed by the terms of this contract.

Vendor Qualificaons The SBA ancipates that a qualified vendor will have established online filing and payment accounts with the Secretary of State filing systems in all 50 states and all U.S. territories.

Addionally, a qualified vendor will have demonstrated a thorough knowledge and understanding of the UCC financing statement requirements in all 50 states and territories as well as recent, successful experience filing large numbers of UCC connuaon statements. The vendor must have a secure way to send/receive sensive data.

Submission Instrucons Interested pares who consider themselves qualified to perform the above-listed services are invited to submit a response to this noce by 5PM ET on Wednesday August 14, 2024. All responses and quesons concerning this noce must be submited to Sara Soeka at sara.soeka@sba.gov.
