(A) The contractor will furnish supplies or services, described in general terms, if and when requested by the Contracting Officer or other authorized individuals during the specified five (5) year period of performance (POP). No supplies or services shall be furnished without such authorized requests. All purchases will be made within any stipulated aggregate amount, if applicable, and will be paid through IPP.gov upon issuance of written BPA Calls.

(B) The Government is obligated only to the extent of authorized purchases actually made under the BPA. The period of performance will begin upon award and continue for five (5) years. Authorized purchases will be made through written BPA Calls. This BPA may be discontinued by either party upon thirty (30) days written notice.

(C) Each individual purchase under the BPA is subject to a dollar limitation that may not exceed the applicable simplified acquisition threshold in accordance with RFO 12.201-1(a), including the increased threshold at 12.001(c). Repairs and maintenance have an estimated value of $100,000.00, with an annual allowance of $20,000.00. All repairs must be performed by the original equipment manufacturer (YSI, Inc.). The overall BPA estimated value is $250,000.00.

(D) Any Contracting Officer in the RAMPD LCB, acting within the limits of their appointed authority under the Department of the Interior’s Contracting Officer’s Warrant System, is authorized to issue BPA Calls. All BPA Calls shall be issued in writing and shall be firm fixed price. When maintenance or repairs are required, the contractor shall submit an initial quote detailing the required work to both the Contract Specialist (CS) and the Contracting Officer (CO) for review. The contractor shall not begin any work until formal approval is issued by the CO.

Individual BPA Calls shall not be modified to reflect any increases in pre-approved price lists that may occur. All BPA Calls shall be placed against the BPA via Optional Form 347, Order for Supplies or Services.

Price lists can be updated during the POP to reflect current rates by submitting updated price schedules (Attachment 2) to the Contracting Officer or Contract Specialist at least 30 days prior to the new prices becoming effective. The Contracting Officer will review submitted revised price schedules and approve prior to the effective date of the updated price schedule. Price schedules shall have effective dates annotated on the price schedule and cannot be updated at a frequency of more than once per year.

Frequency of ordering: BPA calls shall be placed as needs arise.

Ordering procedure – Issuance of calls: Upon receipt of any call issued hereunder by the Contracting Officer or authorized official, the contractor, pursuant to such call, shall furnish to the Government services or product of the type and at the prices set forth in the call. Calls may be issued at the discretion of the Government during the period set forth elsewhere in this agreement.

Each Call will identify:

· Quantity(ies), Part Number and Delivery Information

(E) All deliveries made under this BPA shall be accompanied by a delivery ticket or sales slip that includes, at a minimum, the following information:

• Contractor contact information

• BPA number

• Date of BPA Call

• BPA Call number

• Quantity, unit price, and part number for each item, reflecting any applicable discounts

• Date of delivery

(F) Invoices: A summary invoice shall be submitted at least monthly for all deliveries made during a billing period, identifying the delivery tickets covered therein, stating their total dollar value, and supported by receipt copies of the delivery tickets.

(G) All provisions and clauses included in this solicitation and resulting BPA will apply to RFQs for resulting BPA Calls, unless otherwise noted on a per Call basis.

Additional contract clauses may be inserted into the call as applicable for the work ordered. The notice for each call will provide any required "fill-ins" for provisions and clauses and other specific information/direction pertaining to the call.

** The Performance Work Statement (PWS) provides more detailed information about the requirement and is attached to the RFQ.**

YSI Inc. located at 1725 Brannum Lane, Yellow Springs, Ohio 45387-1107.
