Ordering

This contract uses two mediums for ordering work, Technical Direction and Task Orders. All work ordered through either medium shall be within the scope, issued within the period of performance, and be within the maximum value of the contract. An appointed Contracting Officer Representative (COR) may direct Technical

Direction work for firm-fixed price contract line item numbers (CLINs) previously ordered by the Contracting

Officer (CO). An authorized CO is the only authority to issue Task Orders for order negotiated firm-fixed price work.

Procedures for Ordering Work

Technical Direction: All Technical Direction must comply with the clause EPA Acquisition Regulation

(EPAAR) 1552.237-71 Technical Direction. (AUG 2009). Although CLINs may be funded at the contract level, all Technical Direction work shall be authorized in writing before contractor performance commences. Government authorization will occur through Technical Direction by emailing issued ordered work in a spreadsheet (Attachment #3 to Contract) containing written Technical Direction instructions and details necessary to complete the general descriptions of work areas or tasks.

An authorized contractor official shall acknowledge receipt and acknowledgement of technical direction within seven (7) calendar days. If the contractor considers the quantity or specified work completion date to be unreasonable, then the Contractor shall promptly notify the CO within seven (7) calendar days, stating why the quantity or specified work completion date is unreasonable.

Oral/Verbal Direction: The Performance Work Statement permits the COR to authorize Technical

Assistance responses for Moderate-to-High Public Health Risk (Time-and-Material CLIN 0001C) below the micro-purchase threshold. Any verbal authorization for TA responses to Moderate-to-High Public

Health Risk must be documented in writing in accordance with EPAAR 1552.237-71 Technical

Direction. (AUG 2009). The contractor and government shall agree upon an estimate of labor effort, travel, and response time for the Moderate-to-High Public Health Risk. All responses estimate to exceed the micro-purchase threshold shall be approved by the Contracting Officer. The contractor exceeds at its own risk for exceeding the CLIN funded ceiling.

Authorized representatives of the government may issue Technical Direction from ***effective date of award of contract or exercise of option*** through *** effective end date of base or option period***.

Task Orders: Clause EPA-I-16-101 “Procedures for Issuing Task Orders – Non-Emergency Work” details the procedures for negotiating firm-fixed price task orders. At least once a year, and no more than four times a year, the CO, COR, and contractor will meet (Performance Work Statement Section 2.3.6.3) to discuss

Capacity Development (CD) priorities for tribes. The results of the discussion and priorities will include

CD performance work for negotiated firm-fixed price task orders. The Task Order Performance Work

Statement will identify 1) critical milestones and schedules, and specify work products; 2) describe project specific quality assurance and travel requirements; and 3) identify contacts and other resources that will assist the contractor in accomplishing the work. Any Task Order proposed price elements included in a proposal that requests performance-based payments, the proposal shall specifically described events (e.g., milestones) or some measurable criterion of performance, along with a description of what constitutes successful performance of the event or attainment of the performance criterion. The government will not reimburse contractors for Task Order proposal preparation.

The Government will order services to be furnished under this contract by issuing delivery orders on

Optional Form 347, from _***__ through _***__. In addition to the Contracting Officer, the following individuals are authorized ordering officers. A Standard Form 30 will be the method of amending task/delivery orders. The Contractor shall acknowledge receipt of each order through FedConnect by an authorized company officer submitting a signed copy of the signature block on task order, within _seven

(7)_ calendar days of receipt. Under no circumstances, will the Contractor start work prior to the issue date of the task.

During the period specified in the "Ordering" clause, the Government shall place orders totaling a minimum and not exceeding the maximum quantities identified in Table 1 or dollar amounts identified in Table 2.
