About this file
This is a Request for Proposal (RFP) for HSI Seminar Services issued by the National Guard using a Single Award Task Order Contract (SATOC) structure with an Indefinite Delivery/Indefinite Quantity (IDIQ) contract vehicle. The solicitation number is W912SV26RA003, issued by the Massachusetts Army National Guard (MAARNG) on July 15, 2026, with an offer due date of August 17, 2026 at 12:00 AM. The contract is set aside exclusively for Women-Owned Small Businesses (WOSB), with a NAICS code of 611310 and a size standard of 250 employees.
The contractor must provide seminar services including the General Flag Officer Seminar (GFOS) and Leadership in Homeland Security Seminar (LHS), each 4-6 days in duration, delivered over a three-year ordering period. The contract includes 10 contract line items (CLINs) covering two seminars per year across three years, plus service contract reporting requirements. The minimum guarantee equals the total firm-fixed price of the initial task order (CLINs 0002 and 0003), and the maximum ceiling is $3,300,000 over the entire ordering period. All line items are priced on a firm-fixed-price basis. Performance will occur at Hanscom Air Force Base, Massachusetts. Proposals must be submitted electronically in three volumes: Technical Capability (25 pages), Past Performance (5 pages), and Price (5 pages), with evaluation based on technical capability and past performance being significantly more important than price. The contractor must be an accredited educational institution awarding bachelor's, master's, and Ph.D. degrees, with Ph.D.-level tenured faculty and facilities accommodating up to 65 participants.

head of a division or business segment; and similar positions).
(b) The offeror [ ] has [ ] does not have current active Federal contracts and grants with total value greater than $10,000,000.
(c) If the offeror checked "has" in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the System for Award Management, which can be accessed via https://www.sam.gov (see 52.204-7).

52.229-11 Tax on Certain Foreign Procurements-Notice and Representation.
2020-06
Tax on Certain Foreign Procurements-Notice and Representation (Jun 2020)
(a) Definitions. As used in this provision-
Foreign person means any person other than a United States person.
Specified Federal procurement payment means any payment made pursuant to a contract with a foreign contracting party that is for goods, manufactured or produced, or services provided in a foreign country that is not a party to an international procurement agreement with the United States. For purposes of the prior sentence, a foreign country does not include an outlying area of the United States.
United States person as defined in 26 U.S.C. 7701(a)(30) means
(1) A citizen or resident of the United States;
(2) A domestic partnership;
(3) A domestic corporation;
(4) Any estate (other than a foreign estate, within the meaning of 26 U.S.C. 701(a)(31)); and
(5) Any trust if-
(i) A court within the United States is able to exercise primary supervision over the administration of the trust; and
(ii) One or more United States persons have the authority to control all substantial decisions of the trust.
(b) Unless exempted, there is a 2 percent tax of the amount of a specified Federal procurement payment on any foreign person receiving such payment. See 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7.
(c) Exemptions from withholding under this provision are described at 26 CFR 1.5000C-1(d)(5) through (7). The Offeror may claim an exemption from the withholding by using the Department of the Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available at www.irs.gov/w14. Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.
(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that
(1) It [ ] is [ ] is not a foreign person; and
(2) If the Offeror indicates "is" in paragraph (d)(1) of this provision, then the Offeror represents that-I am claiming on the IRS Form W-14 [ ] a full exemption, or [ ] partial or no exemption [Offeror must select one] from the excise tax.
(e) If the Offeror represents it is a foreign person in paragraph (d)(1) of this provision, then-
(1) The clause at FAR 52.229-12, Tax on Certain Foreign Procurements, will be included in any resulting contract; and
(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.
(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.
(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts. For questions relating to the interpretation of the IRS regulations go to https://www.irs.gov/help/tax-law-questions.

Offerors must also include a detailed supporting breakdown of estimated costs (e.g., labor, materials, travel, venue costs) to facilitate the Contracting Officer's price realism analysis. This breakdown may be submitted as an attachment or appendix and is excluded from the 5-page narrative limit.
The Government's preference is for tuition price proposal that are separate from the cost of meals and beverages. Offerors are encouraged to provide a "tuition-only" pricing option. However, the Government will consider proposals where meals and beverages are included as an integral and non-separable part of a fixed seminar fee or tuition rate. If providing a bundled rate, the offeror must affirm that this is their standard commercial practice and that a discounted "tuition-only" rate is not available. The Government will evaluate all proposals to determine the best value, whether meals are included or not. Any meals provided as part of the tuition shall not be separately itemized or reimbursed, and the Government will make the appropriate per diem adjustments for attendees in accordance with the Joint Travel Regulations (JTR).
Calculation of Total Evaluated Price (TEP): For the purpose of evaluation and award determination, the Government will determine a Total Evaluated Price (TEP) for each offeror. The TEP will be calculated by adding the offeror's total proposed price for the services to the Government's independent estimate of its own travel costs required to attend the seminar location specified in the offeror's proposal. The offeror is not required to calculate the TEP or estimate Government travel costs.
Submission of Proposals
Electronic Submission: Proposals shall be submitted electronically via email to the Contracting Officer, Isao Hattori, at isao.hattori.civ@army.mil and the Contract Specialist, Marc Kerrigan, at marc.j.kerrigan.civ@army.mil no later than the date and time specified on the cover page of the RFP (Block 8 on SF 1449).
File Format: Proposals must be submitted as searchable PDF or WORD files.
Period for Acceptance of Offers
The offeror agrees to hold the prices in its proposal firm for 90 calendar days from the date specified for receipt of offers, unless a longer period is specified in their proposal.
Acknowledgment of Amendments (if any)
Offerors must acknowledge receipt of all solicitation amendments issued by the Government.
Acknowledgment must be included in their cover letter or within Volume I of their proposal.
Government Intent (Basis for Award & Communications)
Basis for Award: The Government will award a contract to the responsible offeror whose offer, conforming to the solicitation, is determined to be most advantageous to the Government. This will be based on a best value tradeoff process. As part of this process, the Government will conduct a comparative analysis of proposals. The evaluation will first assess each proposal against the evaluation factors listed below, and then the merits of the proposals will be compared to one another to determine which offer provides the best value. The factors and subfactors for evaluation are described in the clause at FAR 52.212-2, where Technical Capability and Past Performance are significantly more important than Price.
Discussions: The Government intends to evaluate proposals and award a contract without discussions with offerors (an anticipated "award without exchanges"). However, the Government reserves the right to conduct discussions or communications if deemed necessary by the Contracting Officer.
Responsibility: The offeror assumes that the Government has no prior knowledge of their capabilities or experience and will base its entire evaluation solely on the information presented within the submitted proposal volumes.
Offeror Information and Registrations
Unique Entity Identifier (UEI) and CAGE Code: The offeror must provide their UEI number and CAGE code in the administrative section of their proposal (or on the SF 1449 cover page).
SAM Registration: The apparent successful offeror must be registered in the System for Award Management (SAM.gov) prior to contract award. Failure to register in SAM may render an offeror ineligible for award if registration cannot be attained in a timely manner.
Indefinite Delivery/Indefinite Quantity (IDIQ) / SATOC Instructions
Contract Structure: The resulting contract will be a Single Award Task Order Contract (SATOC) with a Firm-Fixed-Price (FFP) basis for individual task orders. The solicitation describes the scope of work for the entire IDIQ contract, not for a single delivery order.
Minimum Guarantee: The Government guarantees a minimum order total of the total firm-fixed price of the initial task order during the entire performance period of the contract. This amount will be obligated at the time of the initial contract award (via the first task order or the base award document.
Maximum Ceiling: The total cumulative value of all task orders issued against this SATOC shall not exceed $3,300,000.00 over the entire ordering period.
Pricing Submission: Offerors are required to propose specific pricing for future task orders in accordance with the Contract Line Item Numbers (CLINs) stated in this solicitation. The pricing proposed in Volume III will be evaluated for reasonableness and will serve as the established pricing framework for all future task orders awarded under this SATOC.
Ordering Period: The ordering period for this contract is anticipated to be 3 years from date of award.
Place of Performance and Wage Determination:
The place of performance for this contract is not known at the time of this solicitation and will be determined by the proposal of the successful offeror.
This contract is subject to the Service Contract Labor Standards statute. In accordance with Federal Acquisition Regulation (FAR) clause 52.222-49, Service Contract Labor Standards--Place of Performance Unknown, this solicitation may not include all applicable wage determinations for all potential places of performance.
Offerors who intend to perform the services in a location for which a wage determination has not been provided may submit a proposal. However, should such an offeror be selected for award, the applicable wage determination for the proposed locality will be requested from the Department of Labor and incorporated into the resultant contract retroactive to the date of contract award.
Offerors may request that the Contracting Officer obtain wage determinations for additional potential places of performance. All requests must be submitted in writing no later than 10 days after solicitation issuance.
Questions Regarding the Solicitation
All questions regarding this solicitation must be submitted in writing via email to the Contracting Officer, Isao Hattori, at isao.hattori.civ@army.mil and the Contract Specialist, Marc Kerrigan, at marc.j.kerrigan.civ@army.mil. To ensure fair consideration and to allow adequate time for the Government to prepare and issue responses, all questions must be received no later than ten (10) calendar days prior to the solicitation closing date.
