Factor 4 - Small Business Utilization: Section 00 22 16

AND

Teaming arrangement is described as “Two or more companies who form a partnership or joint venture to act as a potential prime contractor” or “A potential prime contractor who agrees with one or more other companies to have them act as its subcontractor under a specified Government contract or acquisition program.”

In addition, the offeror must submit a letter signed by all first-tier members stating the offeror has the right to discuss all Past Performance information directly with the Government. “First- tier” is defined as first level subcontractors.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

f. Ensure that the reference documentation is provided. Should an offeror have no record of past performance, an unknown rating will be assigned. This does not preclude award to a higher priced offeror with an excellent past performance record. Should an offeror intentionally not submit past performance information, this will adversely impact their past performance rating.

**All supporting documentation is excluded from the page count. Supporting documents will not be incorporated into any resulting contract.**

2.1.5 Factor 5: Price

This section shall consist of all information required to support proposed prices.

Certified cost and pricing data are not currently required; however, the Government reserves the right to request such data prior to award. There are no page limitations for this volume. The Offeror shall ensure that the information submitted in this part is consistent with and fully supports the amounts set forth in the solicitation. Offeror shall complete the price form. The price factor consist of three (3) tabs:

1 – SATOC labor rate, G&A %, OH % and Profit % 2 – Task Order Price 3 – Task Order Supporting Information

Tab 1 – SATOC labor rate, G&A %, OH % and Profit %

a. Summary – Offeror shall submit the completed excel sheet named SATOC labor, G&A, OH, and Profit. The summary worksheet shall also list the maximum profit percentage (%) that Offeror will include in any task order.

b. Please include the unburdened labor rates for each labor category, G&A percentage

(%) and OH percentage (%). The fully burdened labor rates proposed by the Offeror shall include direct cost, payroll taxes, insurance, benefits, and any other applicable labor costs (not already included in either the Offeror’s field or home office overhead), but shall exclude profit. The Government has included all of the most common labor used to accomplish the work in accordance with the task orders anticipated under the SATOC. Fully burdened labor rate shall calculate in G&A % and OH %, but not profit %, which is separately calculated in each task order.

c. Offerors are cautioned that the rates proposed will be legally binding for the entire life of the contract. The rates proposed will be the maximum rates that the Offeror may use to price all firm-fixed price Task Orders issued through the life of the contract. The Offeror’s proposed labor rates are to be fully burdened labor rates exclusive of profit. Lower rates may be offered at the Task Order level at the Offeror’s discretion and in accordance with each Offeror’s exercise of business judgment.

NOTES TO WORKSHEETS:

1. The Binding Labor Rates proposed in Table 1 are binding upon contract award for the life of the SATOC.

2. The hourly burdened labor rates shall include direct cost, payroll taxes, insurance, benefits, and any other applicable direct labor costs, but shall exclude G&A, OH, and profit. The unburdened hourly rates are required so the Government can determine how the proposed burdened rates were calculated.

3. The Binding Labor Rates proposed in Table 1 represent the maximum labor rates that the contractor shall use when responding to a Request for Task Order Proposal (RTOP) issued by the Government. These binding rates shall also apply to all modifications issued against task orders. The contractor may propose a lower hourly rate for these labor disciplines when responding to the RTOP or modification request based on the tasks within the RTOP or modification requests.

4. Adherence to these rates will be reviewed through submittal of supporting documentation by the Contractor with each task order proposal. Failure to propose the binding hourly rate or a lower rate for the listed labor disciplines may result in the Contractor’s task order proposal being rejected for award consideration.

5. If a discipline is not listed in the Schedule of Binding Labor Rates proposed in Table 1 and is required for the Contractor to perform a specific task order, the Contractor may propose the required labor discipline and the associated fully burdened labor rate (exclusive of profit) in the proposal submitted in response to the issued RTOP or modification request.

6. If during the Contract Period of Performance, the Contractor’s original personnel are no longer available, the Contractor shall provide personnel that meet the same qualifications as stated in the base contract. The Contractor shall be responsible for negotiating the labor rates for those personnel that have been provided in Table 1. The rates provided in Table 1 are the maximum that will be paid by the Government for any replacement personnel.

7. The maximum rates shall be governed by the effective date of the Task Order.

Task Orders will use the prices for the 12-month period effective on the date the Task Order is issued. Modifications to Task Orders will reflect the rates of the “current 12-month” binding capped labor rate schedule. For example, if the rate schedule changes over on 1 November of each year, and a Task Order is issue on 1 September 2019 for 12 months work, the maximum rates will be the rates that were effective on 1 November 2018. Under the same assumptions, if a modification to the Task Order is required in December 2019, the labor rates effective on 1 November 2019 will apply.

8. The Government reserves the right to request certified cost or pricing date; or information other than certified cost or pricing data from the contractor at the task order level to assess the reasonableness of the proposed task order pricing.

9. Please see Specification Sections for qualifications and requirements for personnel identified in the Seed Project.

d. If applicable, Joint Venture Agreement and Joint Venture Information. Note that no

Contract may be awarded to a joint venture that is not registered in the System for Award Management (SAM). Joint ventures may register by contacting the SAM at http://www.sam.gov.

d. The Offeror may submit documentation supporting its maximum rate for profit. The

Offeror shall not propose separate maximum rates for subcontractors or Contractor Team Arrangement partners. The Offeror shall not submit different maximum rates for self-performed work and subcontracted work. The maximum profit rate shall be binding even if the Weighted Guidelines Method would result in a higher profit.
