Section I - Contract Clauses
Addendum to 52.212-2 Evaluation- Commercial Products and Commercial Services
TRONAIR DIGITAL FLOWMETER UPGRADE
BRAND NAME ONLY - 100 PERCENT SMALL BUSINESS SET-ASIDE
1. ACQUISITION
This acquisition is being conducted in accordance with FAR Part 12, Acquisition of Commercial Products and Commercial Services, and applicable Federal acquisition and small business regulations.
This requirement is 100 percent set aside for Small Business concerns.
The Government requires the Tronair Digital Flowmeter Upgrade identified in this solicitation. This is a Brand Name Only requirement. The Government will not consider substitute, alternate, or "equal" products.
2. BASIS FOR AWARD
The government intends to award a contract using a Best Value Tradeoff approach.
Award will be made to the responsible Small Business concern whose quotation conforms to the requirements of the solicitation and provides the best value to the Government, considering Technical and Price.
The Government may select a higher-priced quotation when the technical advantages offered provide sufficient value to the Government to justify paying a price premium.
3. EVALUATION FACTORS
Factor 1 - Technical
The Government will evaluate the offeror's quotation to determine whether the proposed solution meets the requirements for the Tronair Digital Flowmeter Upgrade.
The technical evaluation will consider the offeror's ability to provide the required brand name product/upgrade and meet the technical requirements, specifications, compatibility requirements, installation requirements, and other requirements identified in the solicitation.
The offeror shall clearly identify the manufacturer, product/part number, and other information necessary for the Government to verify compliance with the stated requirements.
Failure to demonstrate compliance with the required technical requirements may result in the quotation being determined technically unacceptable.
Factor 2 - Price
The Government will evaluate the total proposed price for fairness and reasonableness.
The Government may consider the total evaluated price, including all required products, upgrades, labor, installation, testing, shipping, and other costs applicable to the requirement.
4. RELATIVE IMPORTANCE OF EVALUATION FACTORS
Technical is more important than Price.
Although Technical is more important than Price, Price remains an important consideration in the award decision.
The Government will consider the relative merits of technically acceptable quotations and the associated prices to determine which quotation represents the best overall value to the Government.
A quotation offering superior technical capability may be selected over a lower-priced quotation when the Government determines that the technical benefits warrant the associated price premium.
5. BRAND NAME ONLY REQUIREMENT
The Government has identified Tronair as the required brand for this acquisition.
The requirement is for the Tronair Digital Flowmeter Upgrade and is not solicited on a brand-name-or-equal basis.
Offerors shall provide the specified Tronair product/upgrade identified in the solicitation.
Quotations proposing another manufacturer's product, substitute, alternate, or "equal" product will not be considered.
The Contracting Officer's supporting documentation for the Brand Name Only determination is maintained in the contract file.
6. SMALL BUSINESS SET-ASIDE
This acquisition is 100 percent set aside for Small Business concerns.
The apparent successful offeror must meet the applicable Small Business eligibility requirements and be determined responsible prior to award.
7. TECHNICAL QUOTATION
The offeror shall provide sufficient technical information for the Government to evaluate compliance with the solicitation requirements.
At a minimum, the quotation shall identify:
Manufacturer;
Exact product/model/part number;
Description of the proposed Tronair Digital Flowmeter Upgrade;
Compliance with the stated technical requirements;
Compatibility with the existing equipment/system, where applicable;
Installation and/or integration requirements, where applicable;
Warranty and manufacturer support, where applicable; and
Delivery schedule.
8. DISCUSSIONS
The Government intends to evaluate quotations and make award without discussions. However, the Government reserves the right to conduct discussions if determined necessary by the Contracting Officer.
9. AWARD DECISION
The Government will evaluate all eligible quotations in accordance with the stated evaluation factors and make a best-value determination.
The Government is not required to select the lowest-priced quotation. The selected quotation must provide the Government with the combination of technical capability and price determined to represent the best value.
The Contracting Officer will document the award decision in the acquisition file.

(2) A domestic partnership;
(3) A domestic corporation;

Any exemption claimed and self-certified on the IRS Form W-14 is subject to audit by the IRS. Any disputes regarding the imposition and collection of the 26 U.S.C. 5000C tax are adjudicated by the IRS as the 26 U.S.C. 5000C tax is a tax matter, not a contract issue. The IRS Form W-14 is provided to the acquiring agency rather than to the IRS.
(d) For purposes of withholding under 26 U.S.C. 5000C, the Offeror represents that

(2) The Offeror shall submit with its offer the IRS Form W-14. If the IRS Form W-14 is not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent of each payment.
(f) If the Offeror selects "is" in paragraph (d)(1) and "partial or no exemption" in paragraph (d)(2) of this provision, the Offeror will be subject to withholding in accordance with the clause at FAR 52.229-12, Tax on Certain Foreign Procurements, in any resulting contract.
(g) A taxpayer may, for a fee, seek advice from the IRS as to the proper tax treatment of a transaction. This is called a private letter ruling. Also, the IRS may publish a revenue ruling, which is an official interpretation by the IRS of the Internal Revenue Code, related statutes, tax treaties, and regulations. A revenue ruling is the conclusion of the IRS on how the law is applied to a specific set of facts.
