Note 1: Monthly Invoicing – A set monthly payment will be made at the quoted “Total Amount” divided by 12 months for all employees identified in the above Schedule of Items. This is a fixed amount that will be paid regardless of the number of employees serviced for that month.

Note 2: The estimated number of employees will be adjusted monthly as fluctuations occur, but it is the intent of the Contracting Officer (CO) to only adjust the number of employees when such change is +/- 15%. This change will be documented via a bilateral modification, which is signed by the company and the CO.

Note 3: Each Option Year (1, 2, 3, and 4) is not guaranteed and is dependent upon the availability of funding for that specific fiscal year (FY) coupled with the Government’s decision to continue services by exercising the follow-on option year.

Note 4: All prices are considered firm-fixed-price (FFP), which are not subject to adjustment by the Government or the Contractor. The exception to this rule is the +/- as described in Note 2.

Note 5: The “Additional Fees” above are for requirements beyond the standard EAP services. Refer to Section C, Paragraph C.7 for additional information.
