Statement of Work for the Purchase of PMA 262 HARDWAREWALL(r) (HWW) RAISE THE BAR (RTB) SOFTWARE LICENSE AGREEMENT I.

Triton System Overview

The purpose of the Triton Unmanned Aircraft System (UAS) is to provide multiple-sensor persistent maritime Intelligence, Surveillance, and Reconnaissance (ISR) that will be capable of World-Wide Access (WWA). WWA refers to the ability to operate a UAS in maritime and littoral areas between 60 degrees north and 60 degrees south latitudes worldwide. The Triton UAS will operate both independently and cooperatively with other assets to provide a more effective and supportable persistent maritime surveillance capability than currently exists.

The Triton UAS will be required to support a wide range of military operations, such as maritime surveillance, communication relay, homeland defense, and collection of enemy order of battle information, mine warfare, maritime interdiction, surface warfare, Battle Damage Assessment (BDA), counter drug operations, port surveillance, battlespace management, situational awareness, and targeting support for maritime and littoral strike.

Additionally, data collected by the Triton UAS will support a variety of intelligence activities and nodes when posted to the Global Information Grid (GIG). In a secondary role, it will also be used alone or in conjunction with other assets to respond to theater level operational or national strategic tasking. The Triton UAS, leveraging the Maritime Patrol and Reconnaissance Force's (MPRF) Main Operating Base (MOB) support and infrastructure, will serve as an adjunct to the P-8A to leverage the unique system attributes of each platform and optimize the Family of Systems (FoS) approach to contribute to dominant Maritime Domain Awareness (MDA).

The Triton UAS will be an integrated System of Systems (SoS) that consists of the following components: (1) Land-based Unmanned Aircraft (UA) that will conduct pre-planned missions (from start, taxi, and take-off through landing, taxi, and shutdown) while remaining dynamically re-taskable;

(2) A suite of interactive mission payloads; (3) A suite of communications systems with Line Of Sight (LOS) and Beyond Line-Of-Sight (BLOS) capabilities; (4) A Mission Control System (MCS) used for mission planning and analysis, launch and recovery, and mission.

II.

Scope

This Statement of Work (SOW) addresses the requirement for Lab, Fleet and AUS MOBs and FOBs to operate Boeings Cross-Domain solution and the software subscription in order to maintain them. The referenced subscription is operational on all Fleet and AUS MQ-4C MOBs and FOBs as well Lab test environments. The annual software subscription updates for HardwareWall software version 4.X (RTB), includes published patches, antivirus software and definition updates, and version releases in support of one (1) security domain. Software subscription updates are a requirement for RTB compliance.

III.

Requirements

General Requirements During the buildup of the Triton Aircraft and corresponding MOB and FOB assets, Northrop Grumman (NGC) installs various software and hardware packages. One of the hardware packages is Boeing Cross-Domain solution- HardwareWall that utilizes the Raise The Bar Software subscriptions.

These subscriptions require yearly renewal and are identified in the DD250 process when the Navy Fleet takes control of the asset from NGC.

Expiration of Licenses

HardwareWall Raise The Bar Software updates In the event of licenses lapse/loss of server/subscription expiration we can no longer upgrade or patch the software that runs the physical hardware (Cross-Domain Solution).

Delivery Delivery terms are FOB Origin. Acknowledged delivery and schedule dates are approximate only and based on prompt receipt of all necessary information or materials from the Purchaser. Signed acceptance of delivery is not a requirement for invoicing.

(a) As used in this clause- Definitions.

"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.

"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.

"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(b) The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as Electronic invoicing.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
