This is a combined synopsis/solicitation for commercial items prepared in accordance with FAR 12.6, Streamlined Procedures for Commercial Items, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals [or quotes] are being requested and a written solicitation will not be issued. The solicitation number is HT941025QE010 The solicitation is issued as a request for quotation (RFQ). Provisions and clauses in effect through Federal Acquisition Circular 2025-05 are incorporated. It is the contractor’s responsibility to be familiar with the applicable clauses and provisions. The clauses may be accessed in full text at these addresses:

Description/Specifications/Statement of Work
Statement of Work Transcranial Magnetic Stimulation (TMS) System
1. Introduction
This Scope of Work (SOW) is issued in accordance with FAR Part 12 for the acquisition of commercial items. The purpose is to procure and install of one Clinical Transcranial Magnetic Stimulation (TMS) System including treatment chair to support the operations of Naval Medical Center San Diego (NMCSD). The contractor shall supply all items, services, and delivery functions necessary to meet the performance requirements described herein, in accordance with standard commercial practices.
2. Description of Supplies
TMS is a noninvasive procedure that uses magnetic fields provided by magnetic coils to stimulate nerve cells in the brain to improve symptoms of depression. TMS is typically used when other depression treatments haven't been effective.
Required TMS Features/Capabilities The contractor shall provide commercially available items meeting the following requirements:
a. One (1) Clinical Transcranial Magnetic Stimulation System to include Federal Drug Administration (FDA) cleared motorized treatment chair, treatment coils, Transcranial Magnetic Stimulation System device, touch monitor and compatible neuronavigation system all in one application.
b. Neuronavigation system that can be operated without and Magnetic Resonance Imaging (MRI).
c. FDA cleared to deliver 10hz, 1hz and intermittent theta burst stimulation (iTBS).
d. FDA cleared to treat Major Depressive Disorder, obsessive Compulsive Disorder.
e. Electromyography leads.
f. No fee per use.
g. System shall be able to store, retrieve and load stimulation protocols and fully able to operate as a standalone Transcranial Magnetic Stimulation System +Neuronavigation system (not requiring connection to an Information Technology (IT) computer network for daily use).
h. Chair adjustability: height, back rest, leg rest synchronize and tilt electronically (motorized). The arms rest, neck rest/head rest and cheek rest can be adjustable manually. Chair shall have ergonomic features designed for patient comfort and stability during prolonged sessions. All aspects of the chair shall be adjustable to ensure patient comfort and recline up to 75 degrees.
i. Chair Material and upholstery shall be vinyl leather fabric - fire retardant class 1IM, Azo free (dyed without using azo dyes), antibacterial, antifungal covering (99.9% resistant to harmful bacteria).
j. Shall have stability and mobility features to include locking casters and lockable with foot lever.
k. Shall include power supply unit.
l. Shall have a two-year warranty (twenty-four (24) months) on all parts and labor after date of delivery.
m. Shall include all manuals.
n. Contractor shall provide onsite installation of Transcranial Magnetic Stimulation System per industry standards.
3. Performance Requirements.
The contractor shall provide the following service, maintenance, and technical support as part of this contract:
a. The contractor shall include comprehensive two (2) days of onsite operation and clinical training. Onsite and remote training for new staff shall take place within 30 days of installation and will includes all parts, labor, and travel. The training includes initial onsite training for all clinical and technical staff and ongoing training for new staff during the contract period.
b. Software. Contractor shall provide all software maintenance releases and software upgrade releases within thirty (30) days after the maintenance or upgrade release has become available as directed by OEM. Software and firmware updates shall be provided via secure offline media if required.
Technical assist with be provided with software problems or interruptions.
c. Provide detailed dimensions for system footprint, weight and power requirements for installation.
d. Provide a list of all consumables items required for operation of Transcranial Magnetic Stimulation System and include estimated annual usage and costs for a typical clinical volume.
e. No portion of the work shall be subcontracted without prior written consent of the POC. In the event that the contractor desires to subcontract some part of the work specified herein, the contractor shall furnish the Contracting Officer with the names, qualifications, and experience of their proposed subcontractor(s).
4. Preventative Maintenance Requirement.
a. The contractor shall be responsible for service repair/preventive maintenance of the full system. The term of the contract is intended to be base plus four options.
b. One (1) preventative maintenance per fiscal year. Month of preventative maintenance services will be determined by the department.
c. Perform service preventative maintenance to industry standards.
d. The scope of work performed under these specifications includes the furnishing of all labor, and parts to perform all repairs on equipment listed, to assure continued operation at their designed efficiency and capacity.
e. Ensure that only FULLY QUALIFIED FIELD ENGINEERS and TECHNICIANS who have gone through original equipment manufacturer (OEM) or comparable third-party service schools for the above-mentioned equipment, shall be employed in the performance of all work performed under this contract. Upon request, contractor shall provide training certificates (or notarized copies) to the Material Management Department BIOMED division for verification.
f. Make repairs to the extent necessary (as determined by inspection tests or disassembly) to ensure a functional system that will efficiently serve its intended purpose.
g. The contractor shall verify that the equipment that was services is fully functional before checking out.
Preventative Maintenance Inspection (PMI) Report. The contractor shall provide a PMI report documenting all services performed, the status or health of each component, and any recommendations for replacement or additional maintenance. Written quotes for additional maintenance or replacement parts for any malfunctioning equipment shall be provided to the NMCSD prior to repair. A copy of the complete written report shall be submitted via electronic mail to the POC within thirty (30) calendar days after accomplishing the full inspection.
TITLE TO EQUIPMENT: Contractor shall not assume possession or control of any part of the equipment. The government retains ownership to title thereof.
LIABILITY: The Contractor shall not be liable for any loss, damage, or delay due to any cause beyond his reasonable control including but not limited to, acts of government, strikes, lockouts, fire, explosion, theft, floods, riot, civil commotion, war, malicious mischief or acts of God.
UTILITIES: The Contractor may use Government utilities, (e.g., electrical power, compressed air, and water) that are available and required for any service performed under this contract. The building engineer, to ensure compatibility with the Naval Medical Center's electrical wiring and equipment, shall approve contractor electrical equipment.
SHIPMENT: The contractor shall not exceed seven (7) business days of shipment for all equipment coming from and going to Material Management Department, Biomed Repair Department, Naval Medical Center San Diego.
ACCESS TO EQUIPMENT: Contractor shall be provided reasonable access to all equipment that is to be serviced and utility outlets required to do the service. The contractor shall be free to start and stop all primary equipment incidentals to the operation of the maintained equipment after permission is received from on-duty personnel responsible for such equipment.
GOVERNMENT PERSONNEL: NMCSD employees will not perform maintenance or attempt repairs to equipment while such equipment is under the purview of this contract unless agreed to in writing by the contractor.
PARTS AVAILABILITY: To ensure minimal equipment downtime, contractor shall maintain replacement repair parts and materials necessary to perform each repair or supply said parts and materials within two (2) business days.
LABOR: All compensation for labor from the hours of 0800-1600. Local PST Time is included in the contract price.
Any labor performed outside of this timeframe is not included in the contract pricing. If service becomes necessary to be performed between 1600-0800, NMCSD Biomedical Repair Division shall be notified prior to performance.
Parts and materials: All compensation for parts and materials is included in contract price.
PARTS/SUPPLIES QUALITY: Parts and Supplies provided under this contract shall be new.
SECURITY REQUIREMENTS: Contractor will be required to contact the Medical Repair Branch at (619) 532- 8010 to submit the required information to complete the NMCSD Security Pass Form by 1400 the day prior to the scheduled visit. In the case of emergent repairs/service, the contractor will wait at the main gate for an escort from Medical Repair Branch or department personnel.
6. Delivery Requirements
Delivery Location: Mental Health Department, Building 6 3rd Floor, Room 3V-5F6, Naval Medical Center San Diego, 34800 Bod Wilson Drive, San Diego, CA 92134-5000.
Delivery Schedule: Require installation prior to 01 October 2025.

7. Quality Assurance & Inspection Conformance:
All items shall be new, commercially acceptable, and conform to the performance specifications provided.
Inspection & Acceptance:
The Government reserves the right to inspect all deliveries at the point of receipt. Non-conforming items will be rejected and may be subject to replacement or repair at no additional cost.
Warranties:
The contractor shall provide warranties that the items will perform as described for a minimum period of 24 months (included, not separately priced) from installation.

9. Performance Requirement Summary Matrix
The Government intends to utilize a Quality Assurance Surveillance Plan (QASP) to monitor the quality of the Contractor's performance. The oversight provided for in the QASP will help to ensure that service levels reach and maintain the required levels throughout the contract term. Further, the QASP provides the COR with a proactive way to avoid unacceptable or deficient performance and provides verifiable input for the required Past Performance Information Assessments. The QASP will be finalized immediately following award and a copy provided to the Contractor after award.
The QASP is a living document and may be updated by the Government as necessary.

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)
(a) As used in this clause- Definitions.
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as Electronic invoicing.

(c) To access WAWF, the Contractor shall- WAWF access.

(d) The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice WAWF training.

(d) . (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

ITEM UNIQUE IDENTIFICATION AND VALUATION (JAN 2023)
(a) . As used in this clause- Definitions
"Automatic identification device" means a device, such as a reader or interrogator, used to retrieve data encoded on machine-readable media.
"Concatenated unique item identifier" means-
(1) For items that are serialized within the enterprise identifier, the linking together of the unique identifier data elements in order of the issuing agency code, enterprise identifier, and unique serial number within the enterprise identifier; or
(2) For items that are serialized within the original part, lot, or batch number, the linking together of the unique identifier data elements in order of the issuing agency code; enterprise identifier; original part, lot, or batch number; and serial number within the original part, lot, or batch number.
"Data matrix" means a two-dimensional matrix symbology, which is made up of square or, in some cases, round modules arranged within a perimeter finder pattern and uses the Error Checking and Correction 200 (ECC200) specification found within International Standards Organization (ISO)/International Electrotechnical Commission (IEC) 16022.
"Data qualifier" means a specified character (or string of characters) that immediately precedes a data field that defines the general category or intended use of the data that follows.
"DoD recognized unique identification equivalent" means a unique identification method that is in commercial use and has been recognized by DoD. All DoD recognized unique identification equivalents are listed at . https://www.acq.osd.mil/asda/dpc/ce/ds/unique-id.html
"DoD item unique identification" means a system of marking items delivered to DoD with unique item identifiers that have machine-readable data elements to distinguish an item from all other like and unlike items. For items that are serialized within the part, lot, or batch number within the enterprise identifier, the unique item identifier shall include the data elements of the enterprise identifier; the original part, lot, or batch number; and the serial number.
" Enterprise " means the entity (e.g., a manufacturer or vendor) responsible for assigning unique item identifiers to items.
" Enterprise identifier" means a code that is uniquely assigned to an enterprise by an issuing agency.
"Government's unit acquisition cost" means-
(1) For fixed-price type line, subline, or exhibit line items, the unit price identified in the contract at the time of delivery;
(2) For cost-type or undefinitized line, subline, or exhibit line items, the Contractor's estimated fully burdened unit cost to the Government at the time of delivery; and
(3) For items produced under a time-and-materials contract, the Contractor's estimated fully burdened unit cost to the Government at the time of delivery.
"Issuing agency" means an organization responsible for assigning a globally unique identifier to an enterprise, as indicated in the Register of Issuing Agency Codes for ISO/IEC 15459, located at http://www.aimglobal.org/?Reg_Authority15459.
"Issuing agency code" means a code that designates the registration (or controlling) authority for the enterprise identifier.
"Item" means a single hardware article or a single unit formed by a grouping of subassemblies, components, or constituent parts.
" Lot or batch number" means an identifying number assigned by the enterprise to a designated group of items, usually referred to as either a lot or a batch, all of which were manufactured under identical conditions.
"Machine-readable" means an automatic identification technology media, such as bar codes, contact memory buttons, radio frequency identification, or optical memory cards.
"Original part number" means a combination of numbers or letters assigned by the enterprise at item creation to a class of items with the same form, fit, function, and interface.
"Parent item" means the item assembly, intermediate component, or subassembly that has an embedded item with a unique item identifier or DoD recognized unique identification equivalent.
"Serial number within the enterprise identifier" means a combination of numbers, letters, or symbols assigned by the enterprise to an item that provides for the differentiation of that item from any other like and unlike item and is never used again within the enterprise.
"Serial number within the part, lot, or batch number" means a combination of numbers or letters assigned by the enterprise to an item that provides for the differentiation of that item from any other like item within a part, lot, or batch number assignment.
"Serialization within the enterprise identifier" means each item produced is assigned a serial number that is unique among all the tangible items produced by the enterprise and is never used again. The enterprise is responsible for ensuring unique serialization within the enterprise identifier.
"Serialization within the part, lot, or batch number" means each item of a particular part, lot, or batch number is assigned a unique serial number within that part, lot, or batch number assignment. The enterprise is responsible for ensuring unique serialization within the part, lot, or batch number within the enterprise identifier.
"Type designation" means a combination of letters and numerals assigned by the Government to a major end item, assembly or subassembly, as appropriate, to provide a convenient means of differentiating between items having the same basic name and to indicate modifications and changes thereto.
"Unique item identifier" means a set of data elements marked on items that is globally unique and unambiguous. The term includes a concatenated unique item identifier or a DoD recognized unique identification equivalent.
"Unique item identifier type" means a designator to indicate which method of uniquely identifying a part has been used. The current list of accepted unique item identifier types is maintained at .https://www.acq.osd.mil/asda/dpc/ce/ds/unique-id.html
(b) The Contractor shall deliver all items under a contract line, subline, or exhibit line item.
(c) Unique item identifier.
(1) The Contractor shall provide a unique item identifier for the following:
(i) Delivered items for which the Government's unit acquisition cost is $5,000 or more, except for the following line items:
