ADMINISTRATIVE INFORMATION

1. This is a combined synopsis/solicitation for commercial products or commercial services prepared in accordance with the format in subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a separate written solicitation will not be issued.

Solicitation number HT9406-24-Q-0050 is issued as a request for quotation (RFQ).

Incorporated provisions and clauses are listed under CLAUSES INCORPORATED BY REFERENCE and

CLAUSES INCORPORATED BY FULL TEXT.

This requirement is set-aside 100% for Small Business. The associated NAICS code is 811210 and small business size standard is $34,000,000.00.

Award without Discussions: The Government intends to award without discussions, offerors should submit their best prices in their initial offer. If FAR Provision 52.212-2, Evaluation-Commercial Items, is included, Offerors must submit all information requested therein in order for the Government to determine technical acceptability.

Amendments: The Offeror shall submit to the Contracting Officer signed copies of all amendments issued to this solicitation. Failure to comply may cause your proposal to be rejected.

Period for Acceptance of Offers: The Offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.

Contact Information: A Contracting Officer's Representative (COR) will be appointed at the time of award. The successful Offeror will be furnished the COR name and contact information at the time of contract award.

PERFORMANCE WORK STATEMENT

1.0 GENERAL INFORMATION

1.1 This is a non-personal services contract to provide: Maintenance on designated government owned Laboratory and Surgical Microscopes.

1.1.1 Description of services/introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform maintenance on Laboratory and Surgical Microscope as defined in this Performance Work Statement

(PWS).

1.1.2 Background: Equipment was under a full service contract that is expired.

1.1.3 Scope: The Contractor shall provide on-site preventive maintenance to clean and calibrate with a parts allowance not to exceed (NTE) $700 for corrective maintenance services for all equipment listed on Technical

Exhibit 1 per year. The Contractor shall maintain the equipment within the original equipment manufacturers

(OEM) specifications, in accordance with the latest US, State, and Local law and regulations, DHA regulations, instructions, and The Joint Commission (TJC) requirements. DHA regulations and instructions will be made available upon request. When product recalls or upgrades are necessary to maintain the equipment in service within the original manufacturer’s specifications, the Contractor shall obtain and install same.

1.1.4 Period of Performance (PoP): Base Period of Performance (POP): 01 Jun 2024-31 May 2025, and three (3) option years: 01 Jun 2025 – 31 May 2026, 01 Jun 2026-31 May 2027, 01 Jun 2027-31 May 2028.

1.2 Administrative specifications

1.2.1 Place of performance: The work shall be performed on-site maintenance services in accordance with the items listed in contract. On-site will include:

1.2.2 Recognized Federal holidays: Not required to work.

1.2.3 Hours of operation: The contractor is responsible for conducting business from 0800 - 1700, Monday thru

Friday except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons.

1.3 Contractor Identification

1.3.1 Contractor personnel performing services in a contractor capacity in a Government facility are required to possess and wear an identification badge that displays his or her name and the name of their company. Ensure all those with whom the person interacts in any face-to-face dealings while supporting the Government understands that the person is contractor support personnel.

2.0 SPECIFIC TASKS

2.1 Objective: Complete manufacturer required preventative maintenance every 6 months, semi-annual per technical exhibit 1. Maintenance is to include replacing manufacturer recommended replacements parts, installation kits or any other items needed to maintain the equipment within the OEM specifications.

2.1.1 Scheduled Maintenance: Complete manufacturer required preventative maintenance every 6 months, semi-annual, June and December. Excluding items under warranty, Contractor must ensure that 100% of all periodic maintenance is performed within scheduled month.

2.1.2 Reporting: Upon completion of each preventive maintenance visit, field service personnel must submit a signed service report within three (3) working days to the Biomedical Department for data entry into DMLSS.

Contractor will report to Biomed to check in and out with every service provided.

2.1.3 Documentation: Upon completion of each preventive maintenance visit and each corrective maintenance visit, field service personnel must submit a signed service report to the COR or his/her designee within three (3) working days. The service report shall indicate all problems addressed, devices checked, parts replaced/repaired, parts ordered, and problem resolution or pending action.

2.2 Loaner Equipment: Not Required

2.2.1 Repair Parts: As needed to maintain the equipment within the original equipment manufacturer’s (OEM specifications. Parts allowance NTE $700 for corrective maintenance per year.

2.2.2 Replacement parts: Manufacture recommended replacements parts, preventative maintenance kits, batteries, orings, seals, tubing or any other items needed to maintain the equipment within the OEM specifications.

2.2.3 Repair down time: Not required

2.2.4 Equipment Unable to Locate (UTL): If the Contractor is unable to locate an item within the maintenance window specified, the Contractor shall immediately notify the Contracting Officer Representative (COR). The COR may determine that the property has been disposed of or otherwise inactive or unavailable for use and adjust

Technical Exhibit 1 accordingly.

2.3 Preventative maintenance consists of the follow checks:

2.3.1 Check list:

a. Evaluate optical and mechanical performance prior to any service.

b. Remove lenses and objectives, disassemble and clean as needed.

c. Clean and lubricate all slideways and moving parts.

d. Disassemble, clean, repack and lubricate coarse and fine adjustment assembly routinely.

e. Disassemble , clean, repack and lubricate X & Y mechanical stage controls and replace necessary thrust washer assemblies as needed.

f. Disassemble, clean and lubricate nosepiece carriage assembly.

g. Remo v e and clean condenser assembly, repair as needed diaphragms and lens elements.

h. Remove and clean illuminator, check for wiring condition, clean filters and mirrors and ensure correct functions of field diaphragms as necessary.

i. Remove bodies and check for cleanliness of prisms, clean and lubricate interpupillary adjustment, check for correct prism alignment.

j. Reassemble all operating continents. Check for parcentering of condenser, nosepiece, and binocular body. Ensure parcentering of low through high power objectives.

k. Check for and adjust as needed, parfocality between objectives.

l. Set all stops to ensure maximum performance and prevent objective or specimen damage.

m. Clean outside area of microscope.

n. Maintain office records of microscope by serial of components including lamp type to aid in minimal down time should repair be required.

o. P r o v i d e individual service records on microscopes to customer, which serve as acceptable certification for College of American Pathologists (CAP) inspections.

3.0 Qualifications/Considerations

3.1 Special Qualifications/Considerations; The Contractor shall maintain the equipment within the OEM specifications, in accordance with the US, State, and Local law and regulations, DHA regulations, and TJC requirements. DHA regulations and instructions will be made available upon request. Service personnel shall have sufficient experience to demonstrate proficiency in maintenance of the product. Base access will be scheduled prior to each on-site request. Technicians must have valid identification, current vehicle registration, and proof of insurance if driving onto the installation. If unable to get base access the contractor will reach out to the Biomed office at 904-542-7451 or 7452 and speak with any military personnel for an escort onto the installation. The contractor shall be an Original Equipment Manufacturer (OEM) authorized dealer, authorized distributor, or authorized reseller for the proposed equipment/system such that OEM warranty and service are provided and maintained by the OEM. All software licensing, warranty, and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

3.2 . Contractor Supplies and Equipment: The Contractor supplies and equipment shall comply with Federal, State, municipal, and industry or OEM specifications.

3.2.1 Code of conduct: The Contractor shall protect all facilities from damage caused by the Contractor and shall repair, at no additional cost to the Government, all damages caused by the Contractor’s activities. During performance of services, Contractor shall keep NMR&TC Jacksonville site safe, neat, clean and orderly. Contractor shall be responsible for all means, methods, techniques, sequences, and procedures of the services.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Lowest Price, Technically Acceptable. The Government intends to evaluate and award a contract without discussions with offerors.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2, BASIS OF AWARD:

A. General Information:

1. The basis of award will be the Lowest Priced, Technically Acceptable offer. Offerors must receive a rating of

Technically Acceptable in all factors/subfactors in order for their overall proposal to be determined Technically

Acceptable.

2. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, and technical requirements.

3. The Government intends to make award without discussions, unless the Contracting Officer determines that discussions are necessary. Offerors should provide their most favorable prices in their initial offers.

B. Non-Price Evaluation Factors:

1. Factor 1- Technical: The contractor shall demonstrate that they have capabilities to perform to the specific tasks listed in Section 2.0 of the Performance Work Statement. If the offeror proposes to ‘partner’ or use a commercial service with a separate entity not owned, controlled or operated by the offeror, then the offeror should explain the nature of the arrangement with the separate entity. The explanation should explain the scope of services to be provided by the contractor and any other entities; and describe any formal/written or informal agreements between the contractor and other entities to provide the services required by this solicitation. Additionally, the explanation should specify the percentage division of payments between entities (any fractional percentages should be rounded to at least one decimal place). If the government requires additional information regarding an offeror’s arrangements with separate entities or division of contract payments, the government may issue clarifications to obtain additional information.

2. Factor 2 - Past Performance: The Offerors shall provide three recent and relevant Government or private sector projects completed within the past three years that demonstrates the ability to perform the requirements in this solicitation. The Offeror shall identify the contract title, contract number, dollar value, client name and address, location of work, point of contact with telephone number, and an explanation of how each project related to the work requirements of this solicitation.

C. Price Evaluation Factor:

1. Factor 1 - Price: Offerors shall complete the pricing schedule for each Contract Line Item Number (CLIN).

D. Proposals will be evaluated initially independently of the price to determine the Offerors’ ability to meet the

Government’s requirement set forth in the solicitation. The Government may make a final rating determination based on the proposal as submitted without requesting any further information. For all proposals determined to be

Technically Acceptable, the offer providing the lowest price will receive the contract award.

1. Offerors’ technical proposals will receive an overall rating based on the following:

(a) Technically Acceptable: Offeror meets all requirements or technical specifications or has submitted all documentation requested in any technical evaluation criteria and all documentation meets the standard set forth in the solicitation.

(b) Technically Unacceptable: Offeror fails to meet all requirements or technical specifications or has failed to comply in submitting requested documentation in any technical evaluation criteria or the submitted documentation fails to meet the standard set forth in the solicitation.

D. For the purposes of the award of this Contract, the Government intends to evaluate the option to extend services, provided under FAR 52.217-8, as follows:

1. The evaluation will consider the possibility that the option can be exercised at any time during any contract performance period and can be exercised in increments of one to six months, but for no more than a total of six months during the life of the contract.

2. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those in effect under the contract when the option is exercised.

3. The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price for the basic requirement and the total price for the priced options has the same effect on the total price of all proposals relative to each other, and will not affect the ranking of proposals based on price, unless, after reviewing the proposals, the Government determines that there is a basis for finding otherwise.

4. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (FEB 2024)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern—

(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart

19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary

Identification and Records Locator Subsystem, or successor system that is maintained by the Department of

Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small

Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to

SBA on or before December 31, 2023.

"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the

SDVOSB Program.

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding the threshold at 13 CFR

124.104(c)(2) after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least
