Description/Specifications/Statement of Work Blanket Purchase Agreement

THIS PRE-PRICED BLANKET PURCHASE AGREEMENT (BPA) IS SUBJECT TO THE FOLLOWING ORDERING REQUIREMENTS AND PROCEDURES:

The period of performance for this BPA is 07 July 2025 to 06 July 2030.

1. : This is a pre-priced Blanket Purchase Agreement to provide Vertical Wind Tunnel (VWT) instruction to a Military Block of up to 15 Description Of Agreement student and Military Coaching re-certification training to 351st Special Warfare Training Squadron (STWS) instructors at Kirtland Air Force Base New Mexico effective for the above referenced period of performance.

2. : The Government is obligated only to the extent of approved and authorized calls placed against this BPA.Extent Of Obligation

3. (U.S. Dollars).Order And BPA Maximum

a. Call Order Maximum: $25,000.00**

b. Contractor Obligation to Deliver Maximum: $800,000.00

c. BPA Master Limit: $800,000.00

d. *Call limit is based on each caller's approved Government Purchase Card (GPC) limit.

4. Current Price List:

a. The agreed upon price list, catalogs, etc., shall indicate:

i. BPA number

ii. Prices, discounts, and/or items/terms

iii. Period of performance applicable to the price list, and

iv. will be signed be signed by the Contracting officer (Copy to be forwarded to vendor)

b. The price list (rate card) shall:

i. Be reviewed and agreed upon on an annual basis. Any change in pricing shall be submitted to the Government at least sixty (60-) days before implementation and

ii. will not become effective until agreed to in writing by both parties. Such unit price list(s) will become part of this agreement for the specific period(s) of time stated in the price list(s).

iii. Prices extended to the Government shall be as low as, or lower than those charged to the supplier's commercial customers in the State of Texas purchasing the same service offerings.

iv. If applicable, any discount extended to such commercial customers for prompt payment shall also be made available to the Government.

5. : Destination for routine orders.Fob Point

6. Notice Of Individuals Authorized to Place Calls and Dollar Limitation:

a. The Contractor shall only allow individuals identified on the current authorized caller list to place orders. The Government will not be responsible for orders placed by unauthorized personnel or for services not covered by the approved BPA pricelist.

b. A list of names of individuals authorized to place calls under this agreement shall be furnished to the Contractor by the Contracting Officer as changes to the authorized caller list are made.

7. :New Service or Change to Existing Accounts

8. : Method Of Placing BPA Calls

a. Authorized callers/351st SWTS POCs shall coordinate and submit requests for a quantity of hours for either Military Block (Student instruction) or Military Coaching (351st instructor re-certification). Once services are coordinated and finalized, the customer will email a service order request to the vendor and cc the Contracting Officer and Contract Specialist.

b. Ensure the most current order form is used.

c. The Contract Specialist for this BPA will provide a copy of the most current BPA order form to all authorized callers.

d. The Contractor shall not process any service requests unless

i. The person submitting the order form is an Authorized caller.

ii. The Contractor shall acknowledge receipt of service order requests within 5 business days.

iii. Authorized callers shall keep records /copies of all submitted service order requests for BPA audit purposes.

e. INSTRUCTION/ COACHING DATE: Personnel approved and authorized by the Contracting officer to place calls must establish a date for instruction/ coaching with the Contractor for each call made against the BPA. (The Government needs a reasonable date for performance to maintain schedules)

f. ORDER FORM REVISIONS: The Government reserves the rights to change the BPA order form's content for class sizes. The class size shall not exceed 15 students per call. The Contractor may request changes as they deem necessary to assist with call requirements. However, the contractor requested changes will require agreement by both parties.

9. : For technical issues, the customer will place a technical order call to the Contractor's technical/customer service number (information to be Technical Issues provided upon BPA award).

10. : Billing may occur at the time if instruction or monthly via Wide Area Workflow (WAWF).Billing

11. : Payment will be made via Government Purchase Card (GPC) for purchases up to the BPA call limit of $25,000.00 if billed at time of instruction. If Payment WAWF is the choice of billing, payment shall be made via Electronic Fund Transfer (EFT).

12. : The Government may cancel this agreement at any time if the parties fail to agree upon any deletion, amendment, or addition to this BPA, BPA Cancellation which statutes, Executive Order, the Federal Acquisition Regulation (FAR) and/or this Supplement requires. However, either party may cancel this agreement in its entirety upon thirty (30) days' written notice to the other party.

13. : This agreement shall be reviewed at a minimum, annually before the anniversary of its effective date, and revised to conform to all requirements BPA Reviews of statues, Executive order or FAR and/or Supplements.

14. : An agreement modifying the BPA, or the issuance of a superseding BPA shall evidence this revision.BPA Modifications

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)

(a) As used in this clause- Definitions.

"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.

"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.

"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(b) The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Electronic invoicing.

(c) To access WAWF, the Contractor shall- WAWF access.

(d) The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before WAWF training.

. 5352.201-9101 AFGSC Ombudsman (Jul 2023)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
