INFORMATIONAL PRICING NOTE:

TUPE - (Transfer of Undertakings (Protection of Employment) Regulations 2006

Definition. The United Kingdom's Transfer of Undertakings (Protection of Employment) Regulations 2006

(TUPE) is the main piece of legislation governing the transfer of an undertaking, or part of one, to another. The regulations are designed to protect the rights of employees in a transfer situation.

During the solicitation phase and award of the resultant contract the Government does not have access to specific TUPE information nor becomes involved with related TUPE processes and associated liabilities (to include indemnification) that may transpire during pre-award or post-award phases between transferor and transferee. While the Government fully understands the relevance of TUPE-information in proposing fixed prices, the responsibility to provide TUPE-information rests solely with the transferor; governed by Regulation 11 of the Transfer of Undertakings (Protection of Employees) Regulations 2006 (TUPE). As the transferor need only provide TUPE information to the transferee prior to the transfer, the Government will only make available the listing of the current, incumbent contractor(s) with associated points of contact if requested. The Government is not responsible for determination of TUPE applicability; the responsibility lies solely with the transferor.

As this is a firm-fixed price requirements contract it is incumbent upon the offeror to calculate any anticipated TUPE pricing at time of quote submittal. TUPE costs cannot be submitted as a conditional quote, if submitted as such the offeror's quote will be considered unacceptable and the offeror may be excluded from competition.

End of Addendum

ADDENDUM TO 52.212-2

Addendum to 52.212-2 Evaluation - Commercial Items

BASIS FOR CONTRACT AWARD: The Government's evaluation of offeror's quotes will be conducted utilizing the evaluation factors of: Technical Capability, Price, and Past Experience. Evaluation of these factors will utilize a fair and reasonable evaluation approach; whereby the Government seeks to award on the basis of the lowest price of quotes which meet the listed technical specifications, price, and past experience. Only those offerors whose quotes are determined to be technically acceptable, either initially or as a result of discussions, will be considered for award. Under the evaluation process, trade-offs will NOT be permitted between price, and the non-price factors.

Only one award will be made as a result of this solicitation.

The Government intends to award a contract without discussions. However, the Government reserves the right to conduct discussions if deemed necessary. Upon completion of the Government's initial evaluation of quotes, exchanges with offerors may occur, for purposes of clarifications, communications, and/or discussions.

EVALUATION FACTORS FOR AWARD:

a. Technical Capability: The Government will evaluate technical capability on pass/fail basis. The government will evaluate technical quotes and the below listed sub-factors. Failure to meet the minimum requirements of any of the sub-factors below will result in the quote being deemed technically deficient, and will preclude the offeror from award. All sub-factors are considered equal in term of technical evaluation:

1. Subfactor 1: Licenses/Insurance/Registration must be current-In order to fulfill the requirement, the vendor must submit Contractor's Health & Safety Assessment Scheme (CHAS) certificate, Building Engineering Services Association (BESA) certificate, and proof of company insurance.

Rating Description Acceptable Quote clearly meets the minimum requirements of the solicitation.

Unacceptable Quote does not clearly meet the minimum requirements of the solicitation.

b. Price Evaluation. The Government will evaluate prices submitted to determine a fair and reasonable price in accordance with FAR 13.106-3. Failure to provide the documentation described in the Instructions to Offerors may result in the offer being deemed non-responsive and ineligible for award. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists;

offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness of the price. Failure to quote on all CLINs may render the quotation unacceptable and ineligible for award.

i. During the evaluation process, the Government Evaluation Team will validate a total price for each offeror's quote. An offeror's total price will be validated by multiplying the quantities identified in the Request for Quote by the proposed unit price for each CLIN of ALL ordering periods to derive at the extended total amount for each CLIN. The extended prices for each CLIN will then be added together.

ii. Offerors should propose the best available pricing to the Government for each CLIN in arriving at the most competitive price. Additionally, as this requirement is commercial in nature and will result in a "firm-fixed-price" requirements contract, a comparison of offeror's total price will satisfy the requirement for price analysis, in establishing price reasonableness. The Government may determine that an offer is unacceptable if the prices are significantly unbalanced.

c. Past Experience.

i. Measure of Merit: This requirement is met when the offeror thoroughly, completely, and accurately submits all of the following criteria listed in this subfactor. Past experience will be evaluated for its completeness in addressing relevant past experience comprising of the two (2) required years of verified recent, and relevant past experience performing Hoods & Ducts Cleaning services. This requirement will be met when an offeror provides documentation of the experience acquired in the timeframe specified and has demonstrated the relevancy of the experience with Hoods & Ducts Cleaning services. Contact information will be verified to ensure the experience submitted meet relevant experience required in this solicitation.
