Basic Ordering Agreement (BOA) for Corrosion Control Service.
The Contractor shall furnish all parts, labor, tolls, materials, equipment, supervision, facilities and transportation necessary to accomplish corrosion control, repair, painting, prevention, and frame undercoating of vehicles. Corrosion control, repair, prevention, and painting consists of, but not limited to, repairing damaged metal or other materials due to corrosion, treating bare materials due to corrosion, treating bare metal, priming /sealing and painting the entire vehicle.

As prescribed in 232.7004(b), use the following clause:
WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)
(a) Definitions. As used in this clause-
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall-
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the WAWF home page at https://wawf.eb.mil/
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:
(1) Document type. The Contractor shall submit payment requests using the following document type(s):
(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.
(ii) For fixed price line items-
(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

(B) For services that do not require shipment of a deliverable, submit either the Invoice 2in1, which meets the requirements for the invoice and receiving report, or the applicable invoice and receiving report, as specified by the Contracting Officer.

(iii) For customary progress payments based on costs incurred, submit a progress payment request.
(iv) For performance based payments, submit a performance based payment request.
(v) For commercial item financing, submit a commercial item financing request.
(2) ) Fast Pay requests are only permitted when Federal Acquisition Regulation (FAR) 52.213-1 is included in the contract.
(f) [Note: The Contractor may use a WAWF "combo" document type to create some combinations of invoice and receiving report in one step.]
(3) Document routing. The Contractor shall use the information in the Routing Data Table below only to fill in applicable fields in WAWF when creating payment requests and receiving reports in the system.

(4) Payment request. The Contractor shall ensure a payment request includes documentation appropriate to the type of payment request in accordance with the payment clause, contract financing clause, or Federal Acquisition Regulation 52.216-7, Allowable Cost and Payment, as applicable.
(5) Receiving report. The Contractor shall ensure a receiving report meets the requirements of DFARS Appendix F.
(g) WAWF point of contact.
(1) The Contractor may obtain clarification regarding invoicing in WAWF from the following contracting activity's WAWF point of contact.

Special Contract Requirements
DESCRIPTION/SPECIFICATIONS
SCOPE OF WORK
This BASIC ORDERING AGREEMENT (BOA), herein after referred to also as the "Agreement" is a written instrument of understanding between the 765 ABS/CONF, Lajes Field, here after referred to as the "Contracting Activity", represented by the Contracting Officer, organized and existing under the laws of United States of America and Portugal here after referred to the "Contractor" the company that will do the performance for Corrosion Control, Repair, Maintenance, Painting, Prevention, and Undercoating services as set forth in the Performance Work Statement (PWS) - 25 May 2022, known as Attachment 1 herein. The Contractor shall furnish all parts, labor, tools, materials, equipment, supervision, facilities and transportation necessary to accomplish corrosion control, repair, painting, prevention, and frame undercoating of vehicles. Corrosion control, repair, prevention, and painting consists of, but not limited to, repairing damaged metal or other materials due to corrosion, treating bare metal, priming/sealing and painting the entire vehicle. Upon completion, each vehicle's finish and appearance shall be free of deficiencies and of a quality that meets safe, serviceability, and appearance standards as outlined in T.O. 36-1-191. If interested in consulting T.O. 36-1- 191vendors shall request this document separately. The effective date of this agreement shall be provided at the time of issuance.
DURATION
This agreement shall remain in effect for a period of 5 years from the effective date.
MODIFICATION
This Basic Ordering Agreement may be modified only under its terms and conditions or by mutual agreement of the parties.
REVIEW
This Agreement shall be reviewed by the Contracting Activity at least annually before the anniversary of its effective date and revised as necessary to conform to the requirements of the Federal Acquisition Regulation (FAR) and applicable supplements or to statutory requirements. Any change shall be effective only through written modification to this Agreement and not by individual orders issued hereunder. Modifications to this Agreement shall have no retroactive effect on orders previously issued.
Discontinuation This Agreement may be discontinued in its entirety at no cost by either party. The party desiring to cancel /terminate this Agreement shall serve to the other party a written notice of such intent at least 30 calendar days prior to the effective date of the cancellation/termination. The parties agree that the cancellation shall have no effect on any order not completed by the effective date of the cancellation/termination. The Contractor shall proceed diligently and complete such orders under the terms and conditions of this Agreement.
APPLICABILITY
The terms and conditions of this Agreement shall be applicable to all delivery orders issued citing this document.
PRICES
All price evaluations will be done at the Order level. The BOA will establish several agreements with experienced and responsible contractors in order to maximize competition for each order.
Orders placed under this Agreement shall be solicited and evaluated based on competition among all BOA holders. Utilize Attachment 2 as a reference to understand the possible types of vehicles that could potentially be used on future Delivery Orders. Contractors will then price their performance accordingly.
NON-PRICED FACTORS
The BOA will evaluate two technical factors: Capability Statement and Physical layout of the contractor's facility. These factors will demonstrate vendor's ability to provide Corrosion Control, Repair, maintenance, Painting and Undercoating Services and ensure they are capable of handling multiple vehicles.
Orders placed under this Agreement will be evaluated using a Lowest Priced Technically Acceptable (LPTA) methodology.
AUTHORIZED USERS
Only 765 ABS/CONF/PKA is authorized to issue delivery orders under the agreement.
BINDING CONTRACT
Issuance of a Basic Ordering Agreement does not obligate the Government to place future contracts or delivery orders with the Contractor.
A binding contract will only be established between the Contractor and the Contracting Activity upon issuance of a delivery order, by an authorized ordering office.
DISPUTES
Failure to reach Agreement on price for any delivery order issued before its price is established is a dispute IAW FAR 52.233-1 Disputes;
NON PAYMENT FOR QUOTES
The Government shall not be liable for reimbursement of any Contractor's quote preparation costs for any solicitation request issued for a delivery order quote under this Agreement, whether the request is funded or is issued under advance solicitation authority given to the Contracting Office. Advance solicitation authority permits the issuance of solicitations before funds become available or certified. Under this advance authority funds are not available and may not become available. The Government reserves the right to cancel a solicitation if it's in their best interest to do so.
DELIVERY ORDER QUOTE EVALUATION
Delivery orders placed under this Agreement will be evaluated using a Lowest Priced Technically Acceptable (LPTA) methodology.
The award decision may be based upon one (1) evaluation factor:
Factor 1 - Price
Description: This factor evaluates if the offerors proposed price, using one or more of the techniques defined in FAR 15.404, Proposal Analysis, in order to determine the price reasonableness.
DELIVERY ORDER PROCESS Upon identification of a requirement within the scope of this Agreement, the Contracting Activity will compete the requirement among all the BOA holders. This will be accomplished by issuing a Request for Quote (RFQ).
The Request for Quote (RFQ) shall identify:
- Type of vehicle or vehicles;
- The desired/required period of performance;
- Site visit date and time and place of convene;
- The questions due date;
- The offer due date.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 31 July 2027.

As prescribed in 46.710(d), insert a clause substantially as follows: Warranty of Services (May 2001) (a) Definition."Acceptance," as used in this clause, means the act of an authorized representative of the Government by which the Government assumes for itself, or as an agent of another, ownership of existing and identified supplies, or approves specific services, as partial or complete performance of the contract. (b) Notwithstanding inspection and acceptance by the Government or any provision concerning the conclusiveness thereof, the Contractor warrants that all services performed under this contract will, at the time of acceptance, be free from defects in workmanship and conform to the requirements of this contract.
The Contracting Officer shall give written notice of any defect or nonconformance to the Contractor within 5 days after detecting any defect or nonconformance from the date of acceptance by the Government. This notice shall state either- (1) That the Contractor shall correct or reperform any defective or nonconforming services; or (2) That the Government does not require correction or reperformance. (c) If the Contractor is required to correct or reperform, it shall be at no cost to the Government, and any services corrected or reperformed by the Contractor shall be subject to this clause to the same extent as work initially performed. If the Contractor fails or refuses to correct or reperform, the Contracting Officer may, by contract or otherwise, correct or replace with similar services and charge to the Contractor the cost occasioned to the Government thereby, or make an equitable adjustment in the contract price. (a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the interested party to another official who can resolve the concern.
(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMB Circular A-76 competition performance decisions).
(c) If resolution cannot be made by the contracting officer, the interested party may contact the ombudsman, <<1>>. (1) Provide any service or product with any specification, standard, drawing, or other document that requires the use of a Class I ODS in the test, operation, or maintenance of any system, subsystem, item, component, or process; or
(2) Provide any specification, standard, drawing, or other document that establishes a test, operation, or maintenance requirement that can only be met by use of a Class I ODS as part of this contract/order.

(3) The small business size standard for a concern that submits an offer, other than on a construction or service acquisition, but proposes to furnish an end item that it did not itself manufacture, process, or produce is 500 employees if the acquisition-
(i)Is set aside for small business and has a value above the simplified acquisition threshold;
(ii)Uses the HUBZone price evaluation preference regardless of dollar value, unless the offeror waives the price evaluation preference; or
(iii)Is an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.
(b)
(1) If the provision at 52.204-7, System for Award Management, is included in this solicitation, paragraph (d) of this provision applies.
(2) If the provision at 52.204-7, System for Award Management, is not included in this solicitation, and the Offeror has an active registration in the System for Award Management (SAM), the Offeror may choose to use paragraph (d) of this provision instead of completing the corresponding individual representations and certifications in the solicitation. The Offeror shall indicate which option applies by checking one of the following boxes:
(i) [ ] Paragraph (d) applies.
(ii) [ ] Paragraph (d) does not apply and the offeror has completed the individual representations and certifications in the solicitation.
(c)
(1) The following representations or certifications in SAM are applicable to this solicitation as indicated:
(i) 52.203-2, Certificate of Independent Price Determination. This provision applies to solicitations when a firm-fixed-price contract or fixed-price contract with economic price adjustment is contemplated, unless-
(A) The acquisition is to be made under the simplified acquisition procedures in part 13;
(B) The solicitation is a request for technical proposals under two-step sealed bidding procedures; or
(C) The solicitation is for utility services for which rates are set by law or regulation.
(ii) 52.203-11, Certification and Disclosure Regarding Payments to Influence Certain Federal Transactions. This provision applies to solicitations expected to exceed $150,000.
(iii) 52.203-18, Prohibition on Contracting with Entities that Require Certain Internal Confidentiality Agreements or Statements-Representation.
This provision applies to all solicitations.
(iv) 52.204-3, Taxpayer Identification. This provision applies to solicitations that do not include the provision at 52.204-7, System for Award Management.
(v) 52.204-5, Women-Owned Business (Other Than Small Business). This provision applies to solicitations that-
(A) Are not set aside for small business concerns;
(B) Exceed the simplified acquisition threshold; and
(C) Are for contracts that will be performed in the United States or its outlying areas.
(vi) 52.204-26, Covered Telecommunications Equipment or Services-Representation. This provision applies to all solicitations.
(vii) 52.209-2, Prohibition on Contracting with Inverted Domestic Corporations-Representation.
(viii) 52.209-5, CertificationRegarding Responsibility Matters. This provision applies to solicitations where the contract value is expected to exceed the simplified acquisition threshold.
(ix) 52.209-11, Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law.
