***Notice: Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an offeror for any costs.***
AFMETCAL has a requirement for 13 each Torque Multiplier Calibration System and Kits in FY24 to support the AFMETCAL mission. However, at this time AFMETCAL only has planned funding to purchase 3 each. The remaining units may be acquired as funding becomes available to AFMETCAL and may be exercised as option quantities under CLINs 1001 and 1002.

CLINs 1001-1002 are for the remaining 10 units to be purchased of the initial 13 unit requirement.
However, there is no guarantee that an option will be exercised or, if exercised, that all 10 remaining units will be purchased. The Government reserves the right to purchase quantities in increments up to the maximum quantity specified with no limits on the number of modifications used to purchase the quantities. Additional units may be purchased anytime from the date of award through 30 September 2028 or 30 days after completion of CLIN 0001, whichever is later. Completion means all units have been delivered, accepted, and paid. Inspection and Acceptance
Inspection and Acceptance of First Production Unit (CLIN 0001)
FIRST PRODUCTION APPROVAL- GOVERNMENT TESTING
(a) The Contractor shall deliver a one (1) unit of Lot/Item 0001 within 120 calendar days from the award of this contract to the Government at AFMETCAL (See ship to address for CLIN 0001) for first production tests. The shipping documentation shall contain this contract number and the Lot/Item identification. The characteristics that the first production units must meet and the testing requirements are specified elsewhere in this contract.
(b) Within 45 calendar days after the Government receives the first production units, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval or disapproval of the units. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required by the Contractor. A notice of disapproval shall cite reasons for the disapproval.
(c) If the first production units are disapproved, the Contractor, upon Government request, shall submit an additional production unit for testing. After each request, the Contractor shall make any necessary changes, modifications or repairs to the first production unit or select another first production unit for testing. All costs related to these tests are to be borne by the Contractor, including any additional costs for additional tests following disapproval. The Contractor shall furnish any additional first production unit to the Government under the terms and conditions and within the time specified by the Government. The Government shall act on this first production unit within the time limit specified in paragraph (b) of this clause. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule or for any additional costs to the Government related to these tests.
(d) If the Contractor fails to deliver any first production unit on time, or the Contracting Officer disapproves any first production unit, the Contract shall be deemed to have failed to make delivery within the meaning of the Default of this contract.
(e) Unless otherwise provided in the contract, the Contractor- (1) May deliver the approved first production unit as a part of the contract quantity, provided it meets all contract requirements for acceptance and was not consumed or destroyed in testing; and
(2) Shall remove and dispose of any first production unit from the Government test facility at the Contractor's expense.
(f) If the Government does not act within the time specified in paragraphs (b) or ( c) of this clause, the Contracting Officer shall upon timely request from the Contractor, equitably adjust under the Changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual terms affected by the delay.
(g) The Contractor is responsible for providing operating and maintenance instructions, spare parts support, and repair of the first production unit during any first production test.
(h) Before first production unit approval, the acquisition of material or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first production unit approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government.
(i) The Government may waive the requirement for first production approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the Offeror/Contractor and have been accepted by the Government.
The Offeror/Contractor may request a waiver.
RESUBMISSION OF FIRST PRODUCTION
If first production retesting/resubmission is authorized under First Production Approval- Government Testing, paragraph (c) Cost to the Government related to the retesting/resubmission, including administrative costs for the contract modification, in the amount of $847.52 per unit, shall be borne by the Contractor and deducted from the contract price. When the Government determines that a complete retest is not required, the Contracting Officer may adjust the total retesting cost accordingly.
Inspection and Acceptance of Production units (CLIN 0003) - Acceptance testing shall be completed within 45 days of receipt of the units at the delivery address.
Invoices shall not be submitted in Wide Area WorkFlow (WAWF) through Procurement Integrated Enterprise Environment (PIEE) until the units have been accepted.

First Production Unit - Unit shall be shipped to the Precision Measurement Equipment Laboratory (PMEL) at Nellis AFB, NV for acceptance testing.
Shipping address is included in the attached "Anticipated Shipping Address List."
Production Units - Deliveries on CLINs 0003 and 1001 must have requisition numbers prior to shipment. Production units will be directly shipped to the PMELs using the attached anticipated Shipping Address List (Attachment 3). Please work with the contract specialist to get the requisition numbers. Delivery includes new and retest units. Units may arrive at destination no earlier than seven (7) days before the required delivery date.
Accelerated delivery is not permitted without coordination through the contract administrator.

As prescribed in 232.7004(b), use the following clause:
WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)
(a) Definitions. As used in this clause-
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall-
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the WAWF home page at https://wawf.eb.mil/

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

Notice of Price Evaluation preference for HUBZone Small Business Concerns (Oct 2022)
(a) Evaluation preference.
(1) Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except-
(i) Offers from HUBZone small business concerns that have not waived the evaluation preference; and
(ii) Otherwise successful offers from small business concerns.
(2) The factor of 10 percent shall be applied on a line item basis or to any group of items on which award may be made. Other evaluation factors described in the solicitation shall be applied before application of the factor.
(3) When the two highest rated offerors are a HUBZone small business concern and a large business, and the evaluated offer of the HUBZone small business concern is equal to the evaluated offer of the large business after considering the price evaluation preference, award will be made to the
HUBZone small business concern.
(b) Waiver of evaluation preference. A HUBZone small business concern may elect to waive the evaluation preference, in which case the factor will be added to its offer for evaluation purposes.
[ ] Offeror elects to waive the evaluation preference.
(c) Joint venture. A HUBZone joint venture agrees that, in the performance of the contract, at least 40 percent of the aggregate work performed by the joint venture shall be completed by the HUBZone small business parties to the joint venture.
