SECTION B - CONTINUATION FROM SF 1449

(1) Description of Services: The Contractor shall provide the U.S. Department of Housing and Urban Development (HUD), Government National Mortgage Association’s (Ginnie Mae’s) Office of Chief Financial Officer (OCFO) with financial improvement services required to transform and improve support activities within Ginnie Mae’s Finance Division. The Contractor shall also provide Ginnie Mae Finance Division with risk mitigation activities that allows the Finance Division to produce timely, accurate, and reliable financial information to achieve an unqualified opinion on their Annual Financial Statements.

(2) Acquisition Approach: This solicitation will utilize the policies and procedures of FAR Part 12 – Acquisition of Commercial Items and FAR Part 15 – Contracting by Negotiations in conjunction with the policies and procedures of FAR Subpart Part – 19.8 - Contracting with the Small Business Administration (The 8(a) Program), and as supplemented by HUD Acquisition Regulation (HUDAR) Part 2415. The selected Contractor shall fully comply with all the specifications, clauses, provisions, and any supplemental terms and conditions specific to HUD.

(3) Set-Aside: This acquisition is set-aside for 8(a) participants on a competitive basis. Offers are solicited only from small business concerns expressly certified by the Small Business Administration (SBA) for participation in the SBA’s 8(a) Program as defined in Federal Acquisition Regulation 52.219-18.

(4) Contract Type: A Firm Fixed Price contract is anticipated.

(5) North American Industry Classification Service (NAICS) Code and Size Standards:

541211 “Offices of Certified Public Accountants” with a size standard of $26.5M.

(6) Product Service Codes (PSC): R408 Support “Professional: Program Management/Support”.

(7) Period of Performance: This requirement is for a base period of 1-year (July 21, 2024, through July 20, 2025) with four 12-month option periods. The base period includes a 2-month transition in period (July 21, 2024, through September 20, 2024). Unless the Government exercises the option Clause pursuant to FAR Clause 52.217-9 and FAR 52.217-8, the resultant contract will consist only of the base period.

(8) Schedule of Services: The base and option Line Item Numbers (LINs) shall consist of the LINs and prices listed in blocks 19, 23, and 24 of the SF 1449, in Attachment 0004 - Price Schedule, and in Attachment 0009 - Sample Price Breakdown Worksheet with Labor Hours & Rates.

1. Contract Administration: This section informs on government contract roles, responsibilities, and authority:

a. The Contracting Officer (CO) will be responsible for administration of the resultant contract and, alone, is authorized to take actions on behalf of the Government that result in changes in the terms and conditions of the contract.

b. The Contracting Officer’s Representative (COR)/Alternate COR (ACOR):

i. Will be delegated by the CO as their representative who will perform oversight for the Government. The COR will be delegated in writing and a copy of the designation will be furnished to the Contractor. The Contractor is cautioned to read the COR designation because only certain authorities are granted the COR by the CO. The term “COR” as used throughout the contract shall be interpreted to include the Contracting Officer’s designated representative(s) acting within the limits of their delegation of authority.

ii. The COR will act in a liaison capacity to coordinate activities between the Contractor and the Government as required in the performance of the work under the resultant contract.

iii. No oral statements of any person will in any manner or degree, modify or otherwise affect the terms of the resultant contract. The CO is the only person authorized to approve changes in any of the requirements under the resultant contract, and notwithstanding any provisions contained elsewhere in the resultant contract, the said authority remains solely with the CO.

iv. The COR will receive, review, and approve invoices to initiate contractor payment.

Additional information will be provided in the awarded contract.

2. Invoicing and Payment:

a. Invoice Submission and Payment System: Unless otherwise stated, the Contractor shall obtain access and submit invoices to the Department of Treasury Bureau of Fiscal Services' Invoice Platform Processing System (IPP) as described in HUDAR clause 2452.232-70.

b. Invoice Contents: To constitute a proper invoice, the invoice must include all items required by the FAR clause at 52.232-25, “Prompt Payment.”

3. Special Terms and Conditions Specific to the Contract:

a. Ginnie Mae Information Technology Security Requirements:

i. Federal Information Technology Security: The Contractor shall maintain compliance with all current and future Federal IT security requirements. The Contractor shall:

A. Maintain IT security and comply with all terms and conditions of the contract throughout the term of the contract with respect to all data and information technology requirements.

B. Use, maintain, enhance, develop, and upgrade all information technology software and system documentation under this Contract in accordance with Federal Laws, best practices, and regulations. This includes, but is not limited to:

C. Maintain SA&A standards in accordance with guidance published by NIST. An independent SA&A will be performed by Ginnie Mae during the period of performance of this contract. The Contractor shall complete the SA&A within the first six (6) month time period after the award of the contract and again at the expiration of the SA&A and to include any revisions or updates.

D. Follow the Department of Housing and Urban Development's (HUD's) Project Planning and Management (PPM) Life Cycle and industry best practices in the analysis, design, development, testing and implementation of proposed new systems and/or the enhancement to existing systems.

E. Review and update system documentation to ensure accuracy, compliance, and completeness. Reviews and revisions to be completed and delivered to Ginnie Mae quarterly.

F. The Contractor will prepare its security plan as part of its demonstration that it meets the requirements for SA&A per the applicable requirements from HUD, OMB, NIST, etc., which will require the preparation of several related documents, including but not limited to:

(1) FIPS 199/200 Security Categorization Analysis;

(2) SP-800 Security Controls Self-Assessment;

(3) Application and network venerability scans;

(4) Business Impact Assessment;

(5) Privacy Impact Assessment;

(6) Create System Security Plan, Risk Assessment, Technical Architecture, COOP and Contingency Plans, Quality Control Plan, ST&E Plan, and other relevant SA&A supporting documentation for each new application;

(7) (Security Assessment Reports) (formerly ST&E Testing);

(8) (Security Assessment Reports) (formerly ST&E Report);

(9) POA&M; and

(10) Accreditation Documentation.

G. Each mixed or financial system that the contractor manages, develops, modifies, enhances, releases and/or upgrades will be assessed under the Federal Information System Controls Audit Manual (FISCAM) methodology that include control families for both General Computer and Business Process Application controls:

I. Ginnie Mae Office of Enterprise Risk will have responsibility for maintaining the FISCAM-based mapping of security controls that will be required in order to maintain compliance with FISMA, OMB A-123, HUD, and Ginnie Mae security requirements.

(1) The Contractor shall support and provide system security to ensure availability, confidentiality, and integrity of the Ginnie Mae data applications

(e.g. maintaining access control, user identification, password protection and authentication, confidentiality of customer profiles and traffic, physical and personnel security required under this PWS). Provide SA&A support, including potential off cycle or unanticipated SA&A support, over the life of the contract.

J. The Ginnie Mae System Security Plans (Risk Assessment, Incidence Response Plan, and IT Contingency Plan) shall be reviewed and presented to Ginnie Mae’s Chief Information Security Officer for approval.

K. The contractor shall provide and present to the Ginnie Mae’s Chief Information Security Office on an annual basis, a Security Self-Assessment Report, the report is due no later than August 31st of each calendar year.

L. Plans of Action and Milestones shall be reviewed and updated on a quarterly basis and presented to the Ginnie Mae Chief Information Security Officer for review and approval.

Failure to adhere to the above NIST requirements could result in penalties, to include a contract performance stop-work order until compliance can be demonstrated. Disregard of these NIST requirements could also lead to other criminal, civil, administrative, or contract penalties, including:

• Breach of Contract damages

• False Claims Act damages

• Liquidated Damages

• Termination for Default

• Termination for Convenience

• Poor Past Performance

• Suspension/debarment

b. Right to Audit Statement

The Contractor agrees to retain all records, processes documentation, controls, flowcharts, and accounts related to award under this Agreement for a period of at least 3 years from the end of the contract. Such records, processed documentation, controls, flowcharts, and accounts shall itemize the names of employees, hours worked, services performed, materials used, and any other costs or expenses.

At any reasonable time, Contractor shall permit the agency or Ginnie Mae Contractors to review and audit all records and accounts related to costs and expenses invoiced to agency which pertain to the non-fixed price transactions under this Contract. The contractor agrees to cooperate with all inspections (i.e., Contract Audit Reviews (CARs), OMB A-123, Appendix A, Operational Risk Assessments (RCSA), Vendor Risk Assessment (VRM), and COOP activities) and to resolve all findings to agency satisfaction at no additional cost to the Government. The contractor agrees government may deduct any monetary discrepancies from any invoice submitted by the contractor to correct all monetary findings. Agency signature on timecards or other documents evidencing work performed or materials purchased shall not preclude Agency from receiving an adjustment to amounts paid to Contractor based on an audit or other review by or on behalf of Agency.

Such records shall include, but not be limited to:

• accounting records

• written policies and procedures

• flowcharts

• subcontract files (including quotations of successful and unsuccessful bidders, bid recaps)

• all paid vouchers including those for out-of-pocket expenses

• their reimbursement supported by invoices

• ledgers

• cancelled checks

• deposit slips

• bank statements

• journals

• original estimates

• estimating work sheets

• contract amendments and change order files

• back charge logs and supporting documentation

• insurance documents

• payroll documents

• timesheets

• memoranda and correspondence

4. Unique Aspects of the Contract not Covered by the Standard FAR Clauses:

a. Section 508 Compliance Statement:

All Electronic and Information Technology (EIT) procured through this Performance Work Statement / Bill of Materials and any resulting contract, contract, delivery order, or purchaser order must meet the applicable accessibility standards at 36 CFR §1194, U.S. Architectural and Transportation Barriers Compliance Board (Access Board) under the authority of Section 508 of the Rehabilitation Act Amendment of 1998.36 CFR 1194, unless an agency exception to this requirement exists. 36 CFR §1194, U.S. Architectural and Transportation Barriers Compliance Board (Access Board) is viewable at http://www.section508.gov. The Contractor shall indicate for each line item in the schedule whether each product or service is compliant or noncompliant with the accessibility standards at 36 CFR §1194. b. Audit Record Retention

The Contractor (and/or any subcontractor) shall maintain all information in accordance with National Archives and Records Administration (NARA) records retention policies and HUD-specific policies.

c. Data Rights

The government has unlimited rights to all documents/material produced under this contract to the extent permitted by the data rights clauses. The parties mutually acknowledge their understanding that this is the government’s intent. All data collected in the system is the property of the government. All documents and materials produced under this contract shall be government owned and are the property of the government with all rights and privileges of ownership/copyright belonging exclusively to the government. These documents and materials may not be used or sold by the Contractor without written permission from the contracting officer. All materials supplied to the government will be the sole property of the government and http://www.section508.gov/ may not be used for any other purpose. The government will maintain the right to request full copies in a format that is readily accessible through predominant industry and/or open data formats to which federal agencies agree at any time. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
