ACKNOWLEDGMENT OF AMENDMENTS: The quoter acknowledges receipt of amendments to the Solicitation numbered and dated as follows:
AMENDMENT NUMBER DATE
INSTRUCTIONS TO QUOTERS
The purpose of this Solicitation is to obtain quotes for the services set forth in Section B.3 Performance
Work Statement. The Government, in its sole discretion, may award a contract from the quotes received in response to this Solicitation, issue a new Solicitation, or cancel this Solicitation without reissue.
ACQUISITION OF COMMERCIAL ITEMS: This Request for Quote (RFQ) solicitation is issued under the authority of FAR Part 13.5 Simplified Procedures for Certain Commercial Items in which simplified acquisition procedures in FAR Part 13 will be used. FAR Part 14 and 15 will not be used.
From this RFQ, the Government intends to award a firm fixed price contract where the contractor provides a price that is not subject to any adjustment on the basis of the contractor’s cost experience in performing the contract. (Note: The terms “offeror” and “quoter” are both used in this Solicitation. For the purposes of this Solicitation, these terms are interchangeable; there is no difference in meaning between the two.)
SDVOSB SET-ASIDE: This requirement has been set aside for Service-Disabled Veteran-Owned Small
Businesses (SDVOSBs), under the Veterans First Contracting Program (VFCP), pursuant to VAAR
819.7001 et seq.
Eligibility and program requirements are set forth as follows:
VAAR 819.7003 Eligibility.
(b) At the time of submission of offers/quotes, and prior to award of any contracts, the offeror must represent to the contracting officer that it is a –
(1) SDVOSB . . . eligible under this subpart;
(2) Small business concern under the North American Industry Classification System (NAICS) code assigned to the acquisition (set forth in Block 10 of Page 1); and
(3) SDVOSB . . . listed as verified in VIP database at: https://www.vetbiz.va.gov/.
(e) A contract awarded under this subpart is subject to the SBA limitations on subcontracting requirements in 13 C.F.R. § 125.6, provided that only VIP-listed SDVOSBs are considered eligible and/or “similarly situated” under an SDVOSB sole source or set-aside. . . . [T]he limitations on subcontracting requirements apply to all SDVOSB . . . set-aside and sole source contracts. (Emphasis added.)
https://www.vetbiz.va.gov/
13 C.F.R. § 125.6 What are the prime contractor’s limitations on subcontracting?
(a) General. In order to be awarded a full or partial small business set-aside contract . . . a small business concern must agree that:
(1) In the case of a contract for services (except construction), it will not pay more than 50% of the amount paid by the government to it to firms not similarly situated. Any work that a similarly situated subcontractor further subcontracts will count towards the 50% subcontract amount that cannot be exceeded. (Emphasis added.)
(h) Penalties. Whoever violates the requirements set forth in paragraph (a) of this section shall be subject to the penalties prescribed in 15 U.S.C. § 645(d), except that a fine shall be treated as the greater of
$500,000 or the dollar amount spent, in excess of permitted levels, by the entity on subcontractors.
A party’s failure to comply with the spirit and intent of a subcontract with a similarly situated entity may be considered a basis for debarment on the grounds, including but not limited to, that the parties have violated the terms of a Government contract or subcontract pursuant to FAR 9.406-2(b)(1)(i) (48 C.F.R. §
9.406-2(b)(1)(i)). (Emphasis added.)
15 U.S.C. § 645 Offenses and Penalties.
(d)(2) Any person who violates paragraph (1) shall –
(A) be punished by a fine . . . or by imprisonment for not more than 10 years, or both;
(B) be subject to the administrative remedies prescribed by the Program Fraud Civil Remedies Act of
1986 (31 U.S.C. §§ 3801-3812);
(C) be subject to suspension and debarment as specified in subpart 9.4 of Title 48, Code of Federal
Regulations (or any successor regulation); and
(D) be ineligible for participation in any program or activity conducted under this authority of this chapter or the Small Business Investment Act of 1958 (15 U.S.C. § 661 et seq.) for a period not to exceed
3 years. (Emphasis added.)
Any business that represents itself as an SDVOSB and fails to completely follow the requirements set forth under this paragraph is subject to investigation and possible prosecution:

b. Complete the representation found under provision FAR 52.204-24(d), Representation Regarding
Certain Telecommunications and Video Surveillance Services or Equipment, found in Section E.
c. Complete the representations and certifications as directed under provision FAR 52.212-3, Offeror
Representations and Certifications – Commercial Items, found in Section E.
Guidance on Section (5) Representations & Certifications
This section of Amendment 1 provides detailed guidance regarding submission of the
Representations & Certifications required in paragraph (5), above.
The first required certification, VAAR 852.219-77, is found in Section C under this heading:
VAAR 852.219-77 VA NOTICE OF LIMITATIONS ON SUBCONTRACTING –
CERTIFICATE OF COMPLIANCE FOR SERVICES AND CONSTRUCTION
The certification it requires is found at the end of the clause:
Certification:
I hereby certify that if awarded the contract, [insert name of offeror___________________________] will comply with the limitations on subcontracting specified in this clause and in the resultant contract. I further certify that I am authorized to execute this certification on behalf of [insert name of offeror
Printed Name of Signee: _________________________________
Printed Title of Signee: ________________________________
Signature: ______________________________________________
Date: ___________________________________________________
Company Name and Address: _______________________________
By way of example, this certification may be submitted as follows:
Certification:
I hereby certify that if awarded the contract, ABC Corporation will comply with the limitations on subcontracting specified in this clause and in the resultant contract. I further certify that I am authorized to execute this certification on behalf of ABC Corporation.
Printed Name of Signee: John Doe
Printed Title of Signee: President, ABC Corporation
Signature: Digitally Signed /John Doe/
Date: December 8, 2021
Company Name and Address: ABC Corporation
123 Main Street, Anytown, Illinois 54321
The next requirement is a representation found in Section E, FAR 52.204-24(d):
52.204-24 REPRESENTATION REGARDING CERTAIN
TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR
EQUIPMENT
The first paragraph of FAR 52.204-24 states:
The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it ‘‘does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument’’ in paragraph
(c)(1) in the provision at 52.204–26, Covered Telecommunications Equipment or
Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212–3, Offeror
Representations and Certifications–Commercial Items. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it
‘‘does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services’’ in paragraph (c)(2) of the provision at 52.204–26, or in paragraph (v)(2)(ii) of the provision at 52.212–3.
What this paragraph means is that you do not complete the representations set forth in subparagraph
52.204-24(d) if your company has already made those representations with its SAM registration. You can check your company’s SAM registration via https://sam.gov under Entity Information on the homepage of that website. Under your company’s entity information page, there will be a menu on the left side where you can check the current Representations and Certifications made with your SAM registration:
https://sam.gov/
Under that list of Reps and Certs, you should find the representation made for FAR 52.204–26, as referenced in the first paragraph of FAR 52.204-24, above. Click on the hyperlink for 52.204-26, and it will provide the representation made for your company. Here is an example:
In this case, the quote does not require the FAR 52.204-24(d) representations be completed. Instead, the quote should reference the company’s SAM registration and the representations already made under FAR
52.204-26.
The final requirement is also found under Section E, FAR 52.212-3:
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS—
COMMERCIAL ITEMS
The first paragraph on FAR 52.212-3 states:
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for
Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
https://www.sam.gov/
Current SAM registration is a requirement for contract award; this requirement cannot be waived.
Accordingly, assuming that your company’s SAM registration is current, you will reference FAR 52.212-
3(b), which states:
(b)(1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the
Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212–3, Offeror Representations and
Certifications—Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s) applicable to the NAICS code(s) referenced for this solicitation), at the time this offer is submitted and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs _______________.
In other words, if no representations and certifications made for your company’s annual SAM registration have changed, you do not need to submit anything more for this paragraph. If, however, a representation or certification needs to be updated, you need to update it here, as well as in SAM.
In summary, section (5) Representations & Certifications requires the following:
(1) a completed VAAR 852.219-77 certification;
(2) a statement that the representation made for FAR 52.204-26 of your company’s SAM registration is current, and therefore no FAR 52.204-24 representation is required; and
(3) a statement that the representations and certifications made for your company’s SAM registration are current unless there is a representation or certification that needs to be updated.
