SECTION B- SUPPLIES AND SERVICES AND PRICE/COST

B.1 SCOPE OF CONTRACT

The U. S. Department of Agriculture (USDA), Agricultural Research Service (ARS) has a requirement for a single award Indefinite Delivery Indefinite Quantity Contract (IDIQ) for building automation system (BAS) equipment and parts at the National Bio and Agro-Defense Facility (NBAF) in Manhattan, KS .

B.2 Minimum Guarantee

The Government will obligate the minimum guarantee of $2,000.00 with the first delivery order issued against this contract, as the minimum for the entire contract period. Minimum and Maximum ordering limits shall be in accordance with Federal Acquisition Regulation (FAR) 52.216-19, Ordering Limitations. The estimated CLIN quantities are not guaranteed but are realistic expectations based future projected funding allocations. The quantities specified in the Schedule are estimates only and are not purchased by this contract. If the Government’s requirements do not result in orders in the quantities described as “estimated” or “maximum” in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

B.3 SCHEDULE OF ITEMS

See attached IDIQ schedule of pricing.

B.4 Period of Performance

The period of performance shall be for one (1) ordering period that will be for a total of five (5) years.

SECTION C - DESCRIPTION/SPECIFICATION/WORK STATEMENT

C.1 Description of Work

The Contractor shall provide the requested Building Automation System (BAS) equipment and parts, as identified on the attached schedule of pricing.

C.1.1 Contract shall provide BAS equipment by means of an Indefinite Quantity Indefinite Delivery (IDIQ) arrangement. The IDIQ contract shall be for an ordering period of five (5) years for a total of sixty (60) months.

Equipment shall be ordered through the issuance of individual delivery Orders, through the process defined in C.2.

C.1.2 Contract Pricing Structure. The contractor shall complete the attached schedule of IDIQ pricing. This pricing shall be valid for a period of 1 year from issuance of the contract award. Annually, the contractor may submit a revised pricing schedule, given that they contractor provide the supporting manufacturer pricing information to support any pricing adjustment.

C.1.3 Schedule of Items. The Contractor may provide an updated schedule of items when an item becomes obsolete, or the part numbers have changed and at that time provide an updated pricing for that specific part.

The Contracting Officer has the sole authority to add or remove parts to the schedule of pricing. The Contractor shall not adjust their pricing on any items, except for the annual pricing schedule adjustment.

C.1.4 Delivery Requirements. The Contractor shall delivery all items placed against this order within 2 weeks of delivery order issuance. The Contractor “may” request additional time for delivery from the Contracting Officer, for items that may be back ordered or need to be manufactured. The allowance of the time extension is at the discretion of the Contracting Officer to determine the facts at hand. This IDIQ is to support a world class research facility and timely delivery of ordered parts is imperative, the Contractor agrees to be part of the solution in meeting these expectations. All delivery orders placed against this contract vehicle shall be F.O.B Destination and shipping/freight shall be included in the unit price.

C.2 Ordering Instructions

C.2.1 Ordering Period.

The ordering period is identified in C.1.1, five (5) years for a total of sixty (60) months.

C.2.1 Period of Performance for Deliver Orders.

Each delivery order shall have an identified delivery date in accordance with C.1.4. No delivery orders shall be issued beyond the last day of the ordering period of the contract.

C.2.3 Authority to place Delivery Orders.

The Plains Area Administrative Office (PAAO) is delegated authority to award and administer delivery orders under this single award IDIQ. The ARS Procuring Contracting Officer (PCO) reserves the right to delegate this authority to other Contracting Officers within the PAAO. The Contracting Officer (CO) is an agent of the Government and the only official authorized to enter into a contract or binding agreement for the Government. Any change to the contract will be made in writing via contract modification by the Contracting Officer. The Contract Administrator/Specialist/Buyer is the person responsible for administering this contract and reports to the CO, if other than the CO. Government representatives other than the CO are not authorized to take any action that alters the contract. The ARS Procuring Contracting Officer is responsible for the base contract, including any changes to terms and conditions.

C.2.3.1 Delivery Order Contracting Officers.

The Delivery Order Contracting Officer is responsible for serving as the contracting focal point for coordination and awarding the delivery order for the end user; ensure the delivery order requirements are within the contract scope; execute any required delivery order modifications; perform any administrative or action associated with the issued delivery order; and perform any potential required delivery order close outs.

C.2.3.2 Delivery Order Contracting Officer’s Representative This contract vehicle will not require any individual delivery order to have an appointed contracting officer representative, due the dollar value associated with this contract.

C.2.4 Delivery Order Schedule of Items.

The delivery order schedule of items shall identify all items being ordered from the master pricing schedule from the base award, it shall include the item number, part number, unit price, item description and manufacturer.

C.2.5 Funding.

Contract funding shall be authorized at the delivery Order level and shall be the type deemed appropriate for BAS equipment. No unfunded delivery orders are authorized. The funding required to satisfy the guaranteed minimum shall be satisfied by issuing the first delivery order to obligate the guaranteed minimum. Contractors shall only invoice for the guaranteed minimum if they do not receive a delivery order during the first year of the four-year ordering period.

C.2.6 Delivery Order Types The single award BAS equipment IDIQ contract shall delivery orders shall be firm fixed price, with no adjustments other than those identified in C.1. Delivery Orders will be awarded in accordance with FAR

16.505 Ordering.

C.2.7 Ordering Limitations.

The Government’s guaranteed minimum obligation under this contract is $2,000. The minimum delivery order amount for BAS equipment covered by this contract shall not be an amount less than $5,000. The Government is not obligated to purchase, nor is the Contractor obligated to furnish requirements for less than this amount per FAR 52.216-19 Order Limitations.

C.3 DIRECTIVES, INSTRUCTIONS AND REFERENCES

Only the Contracting Officer shall issue directives/instructions defining the roles and responsibilities as deemed necessary.

C.4 PERIOD OF PERFORMANCE (AGAR 452.211-74) (FEB 1988)

The period of performance of this contract is from June 1, 2022 through May 31, 2027.

I.2 ORDERING (FAR 52.216-18) (AUG 2020)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from June 1, 2022 through May 31, 2027.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered “issued” when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

I.3 ORDER LIMITATIONS (FAR 52.216-19) (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $5,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor- (1)Any order for a single item in excess of $100,000;

(2)Any order for a combination of items in excess of $150,000; or (3)A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c)If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d)Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 14 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

I.4 INDEFINITE QUANTITY (FAR 52.216-22) (OCT 1995)

(a)This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b)Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

(c)Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d)Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after March 31, 2026.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

K.1 REPS AND CERTS DETAILS

(a) Definitions. As used in this provision— "Covered telecommunications equipment or services" has the meaning provided in the clause 52.204- 25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service—

Small business concern—

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.
