(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-

2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller

General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract.

If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(a) Definitions. As used in this clause –

Payment request means a bill, voucher, invoice, or request for contract financing payment with associated supporting documentation. The payment request must comply with the requirements identified in FAR

32.905(b), “Content of Invoices” and the applicable Payment clause included in this contract.

(b) Except as provided in paragraph (c) of this clause, the Contractor shall submit payment requests electronically using the Department of Treasury Invoice Processing Platform (IPP) or successor system. Information regarding IPP, including IPP Customer Support contact information, is available at www.ipp.gov or any successor site.

(c) The Contractor may submit payment requests using other than IPP only when the Contracting Officer authorizes alternate procedures in writing in accordance with HHS procedures.

(d) If alternate payment procedures are authorized, the Contractor shall include a copy of the Contracting Officer’s written authorization with each payment request.

NAIHS-ACQ-09 UNAUTHORIZED COMMITMENTS SEP 2023

(a) Definitions.

Contracting Officer means a person with the authority to enter into, administer, and/or terminate contracts and make related determination and findings.

Ratification means the act of approving an unauthorized commitment by an official who has the authority to do so.

Unauthorized Commitment (UAC) means an agreement that is not binding solely because the Government representative who made it lacked the authority to enter into that agreement on behalf of the Government.

(b) Policy.

The Government is not bound by agreements with, or contractual commitments made to, prospective contractors by individuals who do not have delegated contracting authority. Unauthorized commitments do not follow the appropriate process for the expenditure of Government funds. Consequently, the

Government may not be able to ratify certain actions, putting a contractor at risk for taking direction from a

Federal official other than the contracting officer (see FAR 1.602-1) Government employees responsible for unauthorized commitments are subject to disciplinary action. Contractors perform at their own risk when accepting direction from unauthorized officials. Failure to follow statutory and regulatory processes for the expenditure of Government funds is a very serious matter.

(c) Procedure.

Any agreement, modification, or change to a contractual agreement made by a government personnel who lack authority will be deemed an unauthorized commitment. The Government is not liable to the

Contractor or under the terms of the contract, financially or otherwise – unless the unauthorized commitment successfully passes the ratification process.

The ratification process does not have any lead time, nor does the Government make any promise that an unauthorized commitment will be ratified and, therefore, the Contractor would be paid. The Contractor proceeds at its own risk if any of the terms of the contract are altered, changed, or modified without the written concurrence by a Contracting Officer.

Statement of Work

2025 Kayenta Service Unit – Chargemaster

Background

The Kayenta Service Unit is comprised of three healthcare facilities: the Kayenta Health Center, Inscription House Health Center, and Dennehotso Health Station. Together, these facilities provide medical and support services to approximately 30,000 people each year, serving a remote and sparsely populated area. On average, they accommodate about 250 patients daily across the three clinics. Given the large population served by the Kayenta Service Unit, there is a significant need for chargemaster analysis services.

Scope

The Vendor offers a wide range of services focused on comprehensive chargemaster analysis. These services include auditing, reviews, education for providers and nurses, training in medical coding and documentation, process improvement, and enhancements to the revenue cycle. The aim of these services is to benefit both the service unit and the quality of patient care.

Objectives

The objective of the Vendor is to provide an in-depth analysis of chargemasters through a range of professional services. These services include auditing, comprehensive reviews, educational programs for healthcare providers, training for nursing and coding & billing staff, and initiatives for process improvement and revenue cycle enhancement. Each of these services is meticulously designed to improve operational efficiency while ensuring high-quality patient care.

Task

The Vendor will outline work requirements aimed at reducing recurring errors, analyzing and interpreting data from the Kayenta Service Resource and Patient Management System (RPMS) and

Electronic Health Records (EHR), standardizing claims, updating existing procedures, and maintaining efficiency while achieving cost savings for both inpatient hospital and clinical services. Additionally, these efforts will support the transition to full inpatient hospital status. These work requirements will be completed through the following tasks:

1. Provide updated coding resources including electronic worksheet, and corresponding charge tickets,

2. Assist with the development of Electronic Health Record (EHR) templates and annual updates.

3. Implement annual updates of chargemaster files in RPMS and EHR.

4. Conduct medical record reviews for documentation and coding of both inpatient and outpatient services.

5. Provide effective processes for effective revenue cycle management.

6. Perform ICD-10 audits.

7. Provide ICD-10 Coding training to prepare for implementation.

8. Analyze reports for the facility and professional services, ensuring that information is secured and accessible to all credentialed users.

9. Generate behavioral health reports.

10. Conduct fee schedule analysis for both facility and professional services.

11. To assist with transition to hospital status by providing appropriate inpatient and outpatient transcodes for all services.

12. Identify and implement process improvement.

13. Provide nurse education on documentation requirements, acuity levels, IV infusions versus IV therapy, and charge capture for medication and supplies.

14. On an as-needed basis, provide tailored onsite training based on audit findings and report analyses for providers, nursing staff, medical records personnel, diabetes education team, business office staff, emergency department staff, patient registration personnel, ancillary staff, department supervisors, and leadership team.

15. Provide continuous support through-out contract period and monthly meetings hospital leadership team.

Government-Furnished Property/Equipment

The Vendor will work with the Kayenta Service Unit IT Department to obtain authorization for accessing and using government equipment, programs, or software.

Security Requirements

The Vendor will work with the Kayenta Service Unit Information Technology Department to obtain special pass and/or identification requirements, security and access to RPMS.

52.212-2 EVALUATION – COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES

(a)The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1. Technical capability that meets the government requirements as described in Attachment A –Statement of

Work.

2. Delivery

For submission requirements, refer to the provision at 52.212-1 and any associated addenda. Failure to follow instructions and/or to provide required information may render your quote unacceptable.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c)A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
