NOTICE TO OFFERORS:

1. SUMISSION OF QUOTATIONS: Offerors shall submit only one (1) quotation in response to this solicitation, therefore, the Offeror’s submission should demonstrate the optimal capability in response to the requirements. Quotations shall be electronically submitted via email directly to diamond.turner@noaa.gov and jenna.taulman@noaa.gov . Offerors are further advised that they are responsible to ensure that electronically submitted are received no later than the specified deadline date and time. The Government does not anticipate extending the due date for receipt of quotes, therefore, Offerors are encouraged to thoroughly review the Request for Quotations (RFQ) and the following instructions.

2. INQUIRIES/QUESTIONS: ALL questions and inquiries shall be submitted IAW CAR 1352.215- 72 “Offerors must submit all questions concerning this solicitation in writing to diamond.turner@noaa.gov and jenna.taulman@noaa.gov. Questions should be received no later than 4:00 pm Eastern Time on June 02, 2025. Any responses to questions will be made in writing, without identification of the questioner, and will be included in an amendment to the solicitation. Even if provided in other form, only the question responses included in the amendment to the solicitation will govern performance of the contract.” The deadline stated within the provision is necessary to ensure timely award and the Government may, in its sole discretion, choose not to respond to questions received after the deadline.

3. QUOTATION PACKAGE REQUIREMENTS: Offeror shall have an active registration in the System for Award Management (SAM found at https://sam.gov/content/home) in order to provide a quote and be eligible for award. Offeror must provide their UEI # with their quote. Offerors shall submit the following with their quote:

a) Quote that provides pricing in accordance with ALL Line Items established within the solicitation. The pricing schedule may be submitted on the first four pages of the SF 1449, or on the contractor's choice of documentation so long as ALL line items are priced. All contract line item numbers' (CLIN) pricing shall be submitted as firm-fixed price to include unit price and extended total amount for each line item. All amounts shall be rounded to the nearest hundredth decimal place (i.e. $X.XX) and in US dollars. In the event of mathematical errors, the unit price will be used as the basis for computing cost. The Offeror agrees to hold prices in its offer firm for 90 calendar days from the required response date of quotes.

b) Provide all evaluation criteria and documents in accordance with (IAW) the provision at FAR 52.212-2.

Offeror’s are required to submit a Technical Capability Statement describing the Offerors technical approach to this requirement. The capability statement/technical approach write-up must not be a reiteration of the Statement of Work but should demonstrate how your company plans on performing the tasks listed in the attached Statement of Work, and must include a statement of expected delivery time and location of the contractor's facility within their quote. Per the Statement of Work, the distance of the contractor's shipyard may not exceed 50 miles from the vessel's homeport. Shipyards exceeding 50 miles will be determined to be unacceptable.

c) Completed Provisions & Clauses to include (Offeror may complete in SAM.gov or submit a hard copy):

• FAR 52.204-26, Covered Telecommunications Equipment or Services – Representation (OCT 2020).

(Note, complete only if not completed in SAM.gov)

• FAR 52.212-3, Offeror Representations and Certifications – Commercial Items. (Note, The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov)

4. Vendors are cautioned that the Government reserves the right to obtain information for use in the evaluation of past performance from any sources including sources outside of the Government. The Government may obtain whatever information it deems most relevant to the required effort by telephonic and/or written inquiry. This information may include SAM.gov information, or past performance information from any other source. The Government will use its discretion to determine the sources of past performance information used in the evaluation, and the information may be obtained from references provided by the offeror, the agency’s knowledge of contractor performance, other government agencies or commercial entities or past performance databases, and will be based on responsiveness, quality, and customer services.

(End of Provision)

FAR 52.212-2 Evaluation - Commercial Products and Commercial Services. (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) technical acceptability of the services offered to meet the Government requirement;

(ii) experience with similar sized vessels (length/tonnage and mission);

(iii) price.

BASIS FOR AWARD: The Government will award a Firm Fixed Price award resulting from this solicitation to the responsible and responsive Offeror whose quote, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered. In accordance with the tradeoff process, the Government may make award to other than the lowest-priced vendor or the vendor with the highest technical rating if the Contracting Officer determines that to do so would result in the best value to the Government.

EVALUATION: The Government intends to award a purchase order based on the evaluation of quotes received in response to this RFQ, therefore, the Offerors initial quote should contain the Offerors best terms from both a non-price and price standpoint. The Government reserves the right not to award a purchase order resulting from this solicitation, depending on the quality of the quote(s) submitted and the availability of funds for this requirement.

The Government will evaluate offers based on the factors 1-3 listed below. Factors are listed in order of relative importance. However, when quotes are determined to be equal in the non-price evaluation factors, price could become the determining factor. The Government will not make an award at a significantly higher overall price on the basis of slightly higher confidence in performance.

Factor 1: Technical Capability - This factor will be rated IAW the acceptable/unacceptable ratings listed in Table 1. The Government will evaluate the Offeror’s technical capability responses to determine the Government’s confidence that the Offeror will successfully perform the requirements IAW the RFQ and the Statement of Work. Offeror’s are required to submit a detailed Capability Statement that clearly and concisely demonstrates the vendors understanding of and approach to performing and meeting or exceeding the requirements and specific tasks IAW the Statement of Work.

The contractor's quote shall also include a price for ALL line items including options, and state the intended place of performance shipyard's address so the Government can determine if the place of performance will be within 50 miles of the vessel's homeport, as stated in Section 2.2 of the Statement of Work. Failure to provide a location, or a location outside the 50 mile radius of the vessel's homeport will determine the Contractor's quote to be technically unacceptable for Factor 1.

Table 1:

Acceptable: Based on the quote, the Government determined the quoter (a) is able to meet the requirements set forth in the Statement of Work, and (b) the place of performance is within 50 mile radius of the vessel's homeport.

Unacceptable: Based on the quote, the Government determined the quoter (b) is not able to meet the requirements set forth in the Statement of Work, and/or (b) the place of performance was either not provided or is outside the 50 mile radius of the vessel's homeport.

Factor 2: Experience - This factor will be rated IAW the acceptable/unacceptable ratings listed in Table 2. The offeror's experience with similarly sized vessels (length/tonnage and mission) will be evaluated to determine, as appropriate, successful performance of contract requirements, quality and timeliness of delivery of goods and services, effective management of subcontractors, cost management, level of communication between the contracting parties, proactive management and customer satisfaction.

Offeror shall provide at least one project in their technical capability statement that references previous work as it relates to similarly sized vessels (length/tonnage and mission). If a quoter has no relevant past performance, the quoter must affirmatively state that it possesses no relevant past performance history. Offerors who fail to either provide past performance information or affirmatively state that they have none, may be considered as noncompliant to the solicitation.

Table 2:

Acceptable: Based on the quote, the Government determined the quoter has experience with similarly sized vessels.

Unacceptable: Based on the quote, the Government determined the quoter does not have experience with similarly sized vessels.

Factor 3: Price - The Government will evaluate the Offerors pricing. The total evaluated price will include the sum of the Offeror’s price for each Line Item and will be evaluated for reasonableness and completeness in accordance with (IAW) FAR 13.106-3(a).

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

FAR 52.217-7 Option for Increased Quantity - Separately Priced Line Item. (MAR 1989)

The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor within 1 day. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree. If the Government fails to extend the option for Increased Quantity- Separately Priced Line Items within the period identified and the Government has provided a written notice to the Contractor that the action is undergoing review in accordance with Department of Commerce procedures for implementing Executive Order 14222 the contractor shall stop all work and incur no costs to be charged to the Government. Once the Department of Commerce’s review process has occurred, the Government will notify the contractor if the option may be exercised and, if so, adjust ordering and delivery dates accordingly. The Government will then extend the option for Increased Quantity-Separately Priced Line Items with a bilateral modification. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

(End of clause)

CAR 1352.201-70 Contracting Officer's Authority. (MAR 2010)

The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract terms and conditions, including price.

(End of clause)

CAR 1352.245-70 Government furnished property. (APR 2010)

The Government will provide the following item(s) of Government property to the contractor . The contractor shall be accountable for, and have stewardship of, the property in the performance of this contract. This property shall be used and maintained by the contractor in accordance with provisions of the "Government Property" clause included in this contract.

Vessel Characteristics:

- LOA: 72 feet - Gross Registered Tonnage: 96.2GRT

- Beam: 20 feet - Displacement Tonnage: 160 Tons

- Draft: 9.5 feet - Hull Material: Steel

- Permanent Crew: - Homeport: 166 Water Street, Woods Hole, MA 02543 2 Commissioned Officers

(End of clause)

CAR 1352.271-88 Guarantees. (APR 2010)

(a) In the event any work performed or materials furnished by the contractor under this contract prove defective or deficient within 10 days from the date of redelivery of the vessel, the contractor, as directed by the Contracting Officer and at its own expense, shall correct and repair the deficiency to the satisfaction of the Contracting Officer.

(b) The Government shall be entitled to rely upon any guarantee secured by the contractor or any sub-contractor covering work done or materials furnished which exceeds the 5 day period until its expiration.

(c) With respect to any individual work item identified and listed as incomplete at the redelivery of the vessel, the guarantee period shall run from the date of completion of such item.

(d) If and when practicable, the Government shall afford the contractor an opportunity to effect such corrections and repairs.

(1) If the Contracting Officer determines it is impracticable or is otherwise not advisable to return the vessel to the contractor, or the contractor fails to proceed promptly with any such repairs as directed by the Contracting Officer, the Contracting Officer may direct that the repairs be performed elsewhere, at the contractor's expense.

(2) Where corrections and repairs are to be made by other than the contractor due to nonreturn of the vessel to the contractor, the contractor's liability may be discharged by an equitable deduction in the price of the contract.

(e) The contractor's liability shall only extend for an additional 5 day guarantee period on those defects or deficiencies which it corrected. However, this clause does not limit the responsibility or relieve the liability of the contractor under the Liability and Insurance clause.

(f) At the Contracting Officer's option, defects and deficiencies may be left in their uncorrected condition. In that event, the contractor and the Contracting Officer shall agree on an equitable deduction in the contract price. Failure to agree upon an equitable reduction shall constitute a dispute under the Disputes clause of this contract.

(g) The rights and remedies of the Government provided in this clause are in addition to and do not limit any rights afforded to the Government by any other clause of the contract. If a defect or deficiency that exists at the time of redelivery of the vessel was not discovered by a reasonable inspection and is discovered after the expiration of the time frame stated in this clause, it is not subject to the time limitations stated in this clause.

(End of clause)

CAR 1352.271-90 Insurance requirements. (APR 2010)

(a) The contractor shall procure and thereafter maintain the following insurance:

(1) Ship contractor's legal liability insurance to insure the risks described in paragraph

(b) of clause 1352.271-79. This insurance shall be for $1,000,000.00.

(2) Comprehensive general liability insurance and automobile insurance to insure the risks described in paragraph (c) of clause 1352.271-79. This insurance shall be for $1,000,000.00 on account of any one accident or occurrence with respect to each vessel, boat, and/or barge upon which work is performed. The contractor shall cause the Government to be named as an additional insured under any and all liability insurance policies.

(3) Full coverage in accordance with the State Worker's Compensation law; and

(4) Full coverage in accordance with the United States Longshoremen's and Harbor Worker's Act.

(b) As evidence that it has obtained the insurance specified in paragraph (a) of this clause, the contractor shall furnish the Contracting Officer with a certificate or certificates executed by an agent of the insurer authorized to execute such certificates. Such certificates shall be furnished prior to commencement of the work. NOAA Acquisition Manual 1330-52.222-71 NOAA SEXUAL ASSAULT AND SEXUAL HARASSMENT

PREVENTION AND RESPONSE POLICY APPLICABLE TO CREW MEMBERS OF VESSELS UNDER NOAA

CONTRACT OR ORDER (MAY 2018)

(a) General Policy.

In accordance with NOAA Administrative Order (NAO) 202-1106, NOAA Sexual Assault and Sexual Harassment Prevention and Response Policy, it is the policy of NOAA to maintain a work environment free from sexual assault and sexual harassment. NAO 202-1106 prohibits sexual assault and sexual harassment by or of any employee, supervisor, manager, contractor, vendor, affiliate, or other individual with whom NOAA employees come into contact by the virtue of their work for NOAA. The NAO includes NOAA’s mandatory requirements for completion of sexual assault and sexual harassment prevention and response training.

It is the responsibility of the contractor to ensure that contractor employees maintain the highest degree of conduct and standards in performance of the contract or order. In support of this, NOAA urges its contractors to develop and enforce comprehensive company policy addressing sexual assault and sexual harassment prevention.

(b) Applicability.

The policy set forth in NAO 202-1106 applies to all contractor employees identified as crew members on vessels secured for use under a NOAA contract or order. Prior to performance, the contractor shall provide all contractor employee crew members an awareness briefing on the requirements of the NAO and a copy of or access to a copy of the NAO. All contractor employee crew members must comply with the NAO, which includes completion of the mandatory training provided by NOAA as described in (d) below. The contractor shall include wording substantially the same as this solicitation and contract language in every subcontract for services involving the use of vessels so that it is binding on each subcontractor.

(c) Definition.

Contractor Employees - As used in this solicitation and contract language, refers to employees of the prime contractor or its subcontractors, affiliates, consultants, or team members.

(d) Mandatory Training.

1. Completion of initial mandatory sexual assault and sexual harassment prevention and response training is required for all contractor employees identified as crew members in performance of this contract or order, in accordance with NAO 202-1106. This training will be provided by NOAA.

2. The training will include by-stander intervention training and specific steps on how to prevent and report sexual assault and sexual harassment, as well as training on drug and alcohol awareness in the workplace. The training will typically be provided within two (2) hours of the vessel’s departure from port.

3. A copy of NAO 202-1106 will be provided to each crew member upon initial boarding of the vessel.

Each crew member must sign a form managed by the vessel’s Commanding Officer/Operations Officer verifying they have received and will comply with the NAO in its entirety.

4. For vessels at sea for more than 12 months, annual sexual assault and sexual harassment training, provided by NOAA, will be required pursuant to NAO 202-1106. The specific format of the training will depend on the availability of resources (e.g. internet access).

(e) Reporting Incidents of Sexual Assault/Sexual Harassment.

Contractor employee crew members should refer to NAO 202-1106, Section 6, Reporting Incidents of Sexual Harassment or Sexual Assault, at .07, Reporting from Remote Locations, when reporting incidents of sexual assault or sexual harassment.

(f) Remedies.

In addition to other remedies available to the Government, contractor employee violations of NAO 202- 1106 or other Federal requirements (e.g., law, statutes, executive orders, code, rules, or regulations) applicable to sexual assault and sexual harassment may result in:

1. Requiring the contractor to remove a contractor employee or employees from the performance of the contract;

2. Requiring the contractor to terminate a subcontract;

3. Suspension of contract payments until the contractor has taken appropriate remedial action;

4. Termination of the contract for default or cause, in accordance with the termination clause of this contract;

5. Suspension or debarment; or

6. Other appropriate action.

NOAA Acquisition Manual 1330-52.237-71 NOAA GOVERNMENT-CONTRACTOR RELATIONS - NON-

PERSONAL SERVICES CONTRACT (SEPT 2017)

(a) The Government and the contractor understand and agree that the services to be delivered under this contract by the contractor to the Government are non-personal services as defined in FAR Part 37, Service Contracting, and the parties recognize and agree that no employer-employee relationship exists or will exist under the contract between the Government and the contractor’s personnel. It is, therefore, in the best interest of the Government to afford both parties an understanding of their respective obligations.

(b) Contractor personnel under this contract shall not:

1. Be placed in a position where they are under relatively continuous supervision and control of a Government employee.

2. Be placed in a position of command, supervision, administration, or control over Government personnel or over personnel of other contractors performing under other NOAA contracts.

(c) The services to be performed under this contract do not require the contractor or the contractor’s personnel to exercise personal judgment and discretion on behalf of the Government. Rather, the contractor’s personnel will act and exercise personal judgment and discretion on behalf of the contractor.

(d) Rules, regulations, directives, and requirements that are issued by the Department of Commerce and NOAA under its responsibility for good order, administration, and security are applicable to all personnel who enter the Government installation and facilities, who are provided access to Government systems, or who travel on Government transportation. This is not to be construed or interpreted to establish any degree of Government control that is inconsistent with a non-personal services contract.

(e) Both parties are responsible for monitoring contract activities for indications of improper employee-employer relationships during performance. In the event a situation or occurrence takes place inconsistent with this contract language, the following applies:

1. The contractor shall notify the contracting officer in writing within 5 business days from the date of any situation or occurrence where the contractor considers specific contract activity to be inconsistent with the intent of this contract language. The notice must include the date, nature and circumstance of the situation or occurrence, the name, function and activity of each Government employee or contractor employee involved or knowledgeable about the situation or occurrence, provide any documents or the substance of any oral communications related to the activity, and an estimated date by which the Government is recommended to respond to the notice in order to minimize cost, delay, or disruption of performance.

2. The contracting officer will review the information provided by the contractor, obtain additional information (if needed), and respond in writing as soon as practicable after receipt of the notification from the contractor. The contracting officer’s response will provide a decision on whether the contracting officer determines the situation or occurrence to be inconsistent with the intent of this contract language and, if deemed necessary, will specify any corrective action(s) to be taken in order to resolve the issue.
