(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)

(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial products or commercial services.

INSTRUCTIONS FOR THE PREPARATION OF OFFERS (FAR 52.212-1)

OFFER SUBMISSION DOCUMENTS

1. One (1) original fully completed and signed SF 1449 Offer page (complete block 30), acknowledgment of all amendments by completing blocks 15a, b, and c of the Amendment SF30

2. Quote pricing document. Document shall provide Contractor internal detailed pricing breakout of all priced elements of the offer. This should include all facets of cost.

3. Attachment 2 Specifications and Quote Sheet. Contractor shall complete the entire document and it shall be submitted with the offer.

4. Authorized Vender or Manufacturer verification. Provide verification document as an authorized vendor on company letterhead. No third party or pass-through offers will be accepted.

5. Acknowledgement of Evaluation Method – Offerors shall submit documentation stating an understanding that this procurement may not necessarily awarded to the lowest priced offeror. Offerors shall confirm an understanding of the evaluation criteria as identified in FAR 52.212- Evaluation – Commercial Items (Addendum). For example, if two firms have similar superior offers then the determining factor would be price. A comparative analysis will be done among offers and the “best value”, not lowest price will be selected. The Government may make multiple awards against this single solicitation-based evaluation of the seeds provided in response to this RFQ.

FAR 52.212-2 – Evaluation -- Commercial Items (Addendum).

Evaluation -- Commercial Items (Oct 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Technical Capability, Delivery, Past Performance, and Price.

Evaluation Methodology

Technical Capability, Delivery, and past performance, when combined, are more important than price.

As stated in FAR 13.106-2, “If using price and other factors, ensure that quotations or offers can be evaluated in an efficient and minimally burdensome fashion. Formal evaluation plans and establishing a competitive range, conducting discussions, and scoring quotations or offers are not required. Contracting offices may conduct comparative evaluations of offers.”

In accordance with FAR Part 13 the Government will award a firm fixed price contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Technical Acceptability is defined as:

1) Meeting all requirements as defined in the solicitation, to include submission of all Quote submission documents referenced in

Instructions for the Preparation of Offers (FAR 52.212-1 Addendum). Failure to submit ANY of the required document listed in

“Offer Submission Documents (52.212-1 Addendum)” will render your quote non-responsive and thus not eligible for award.

Failure to acknowledge any and all amendments will render your quote non-responsive and thus not eligible for award.

2) Authorized Vendors and Manufacturers. This requirement will ensure that item is not altered or adulterated, have maintained adequate storage conditions, and any guarantee agreements are transferred and will be honored by the offeror. Offerors that are

3rd party or pass through will not be accepted.

3) Product must meet the minimum specification as identified in attachment two (2) Specification & Bid Sheet Document

12805B23Q0020. Offers that fail to provide a realistic pricing approach for Submission Document for this effort will be found not acceptable. The Contractor must demonstrate the price proposed will not lead to inferior product or materials, and delivery lead times. Offerors that do not provide a pricing approach that is realistic will be rated lower.

• Yield Data. Offerors with yield consistency will be rated higher.

• Genetic Diversity. Offerors with genetic diversity will be rated higher.

• GMO Events. Evaluation of GMO events will determine a higher rater offer.

• Plant Characteristics. The Characteristics of the plant will be evaluated as part of the overall determination.

• Past Performance of Seed at USMARC. Seeds with prior poor performance at the USMARC will be rated lower.

4) Acceptable rating in “Past Performance”.

Past performance will be evaluated in accordance with FAR 13.106-2. Past Performance will be rated on an “acceptable” or

“unacceptable” basis. The apparent successful, prospective contractor must have “acceptable” past performance. System for

Award Management (SAM.gov) exclusions list, Federal Awardee Performance and Integrity Information System, and Contractor

Performance Assessment Reporting System (CPARS) shall be considered as part of the past performance evaluation process. Any past performance that is found to be “Negative”, shall result in the entire Past Performance rating as “Unacceptable”. “Negative” is defined as any CPARS past performance evaluation rated less than “Satisfactory”, any Terminations for Default/Cause, or any negative performance references will be rated as ‘Unacceptable’. Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.” Any past performance that is found to be “negative”, shall result in the entire Past Performance rating as

“ Unacceptable” making the overall Technical Acceptability as “Unacceptable”.

5) The Government may award a single order or multiple orders against this single solicitation-based evaluation of the seeds provided in response to this RFQ. This solicitation is based upon the criteria established above and required for planting and ensuring proper crop returns and yields in support of the USDA research.

FAR 52.212-3 Offeror Representations and Certifications—Commercial Products and Commercial Services (May 2022)

The offeror shall ensure that their business has completed their online Representations and Certifications at the System and Awards

Management (SAM) website which may be found at https://www.sam.gov/portal/public/SAM/. It is the Offeror’s responsibility to ensure that the information provided in each certification/representation is completed truthfully and completely. Failure of an Offeror to complete their online certification/representations prior to the close of the Solicitation (to include listing of the applicable NAICS code, “active status”, or applicable size standards) will result in their offer being deemed non-responsive and eliminated from consideration of the award.
