ADDENDUM TO SPECIFICATION
CONSUMPTION TAX EXEMPTION PROCEDURES ON PURCHASE OF GOODS AND SERVICES BY
THE UNITED STATES ARMED FORCES IN JAPAN [JAPANESE LAW NO. 108, 1988]
(a) The Consumption Tax Law (Law No. 108, 1988) was enacted in the Diet of Japan on 24 December 1988, and applied from April 1, 1989. The Government of Japan (GOJ) and the United States Government (USG), in accordance with paragraph 3, Article XII, of the "Agreement Under Article VI of the Treaty of Mutual Cooperation And Security Between Japan And The United States of America Regarding Facilities And Areas And The Status of United States Armed Forces In Japan,” (SOFA) have agreed upon procedures for exempting the United States from the Japanese Consumption Tax on goods and services purchased in Japan for official purposes of the U. S. Armed Forces by the U. S. Armed Forces or its authorized procurement agencies.
(b) The underlying objective is to obtain the full amount of the exemption from the tax on U.S. Forces procurements immediately at the time of purchase and at the same time provide the Contractor a proof of purchase document, acceptable to GOJ tax authorities, which he/she can present to the tax authorities to obtain a tax credit and/or refund for tax already collected and paid by previous sellers.
(c) The exemption from the Japanese Consumption Tax applies not only to prime contractors, but also subcontractors or suppliers at every level regardless of the nationality of the prime contractor whether a Japanese or foreign firm.
(d) By the submission of their offer, the offeror certifies that the Japanese Consumption Tax is not included in the bid/proposal/quote price, nor will it be a part of any subsequent modification to the contract. Procedures for Contractors to obtain a consumption tax credit are described in USFJ Instruction 51-5 that may be obtained from the Procuring Contracting Office.
GOVERNMENT REPRESENTATIVES
The contract will be administered by an authorized representative of the Contracting Officer. In no event, however, will any understanding or agreement, modification, change order, or other matter deviating from the terms of the contract between the Contractor and any person other than the Contracting Officer be effective or binding upon the Government, unless formalized by proper contractual documents executed by the Contracting Officer prior to completion of this contract. The authorized representative as indicated hereinafter:
_______The Contracting Officer’s Representative (COR) will be designated by the Contracting Officer as the authorized representative of the Contracting Officer. The COR is responsible for monitoring performance and the technical management of the effort required hereunder, and should be contacted regarding questions or problems of a technical nature.
___X___The designated Contract Specialist will be the Administrative Contracting Officer's representative on all other contract administrative matters. The Contract Specialist should be contacted regarding all matters pertaining to the contract or task/delivery orders.
_______The designated Property Administrator is the Administrative Contracting Officer's representative on property matters. The Property Administrator should be contacted regarding all matters pertaining to property administration.
CONCILIATION
a. Any disagreement arising under this contract which is not resolved by the parties to this contract may be submitted to the U.S.-Japan Joint Committee for Conciliation in accordance with paragraph 10, Article XVIII, of the Status of Forces Agreement under Article VI, of the Treaty of Mutual Cooperation and Security between Japan and the United States of America.
b. Recourse to the Joint Committee for Conciliation for resolving disputes is available in addition to the procedures set forth in the Contract Disputes Act of 1978 and the Disputes Clause of this contract, 52.233-1. A request for conciliation by the Joint Committee, however, shall not toll the time periods allowed under the Contract Disputes Act for appealing a contracting officer's final decision to either the Armed Services Board of Contract Appeals or U.S. Court of Federal Claims.
c. Upon filing a request for conciliation with the Joint Committee, the Contractor shall immediately notify the Contracting Officer in writing of the request.

1. DESCRIPTION
This procurement is for the following:
• VEHICLES identified in Attachment 1: Specification – Mandatory Characteristics for each item being purchased under this solicitation.
2. APPLICABILITY
This solicitation is a Request for Quotations (RFQ), therefore the words “offer” and “offeror” may be construed to mean “quotation” and “quoter”, where appropriate, and the words “proposal” or “proposing” may be construed to mean “quote” or “quoting”, where appropriate.
Quoters are requested to hold quoted prices firm for 60 days after the date specified for receipt of quotes.
3. SYSTEM FOR AWARD MANAGEMENT (SAM) REGISTRATION
All offerors (i.e. whether individually or as a joint venture, etc.) responding to this solicitation must be registered and have an active status in the System for Award Management (SAM) database prior to the closing date for receipt of offer to be eligible for award and must have active Represenation and Certification in SAM.

An offeror is required to be registered in SAM when submitting its quotation, and shall continue to be registered at all relevant times, i.e. time of award, during contract performance, and through final payment of the contract resulting from this solicitation.
CAUTION: All offerors are required to be registered in SAM at the time their offer/quotation/bid/proposal is submitted. Offerors with no active SAM registration upon receipt of their offer/quotation/bid/proposal shall be considered ineligible for award. 4. FAR PROVISION 52.229-11 AND FAR CLAUSE 52.229-12
FAR provision 52.229-11 and FAR clause 52.229-12 are included in this solicitation. This provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request. This rule applies to Federal Government contracts for goods or services that are awarded to foreign persons.
It implements the Department of the Treasury final regulations published in the Federal Register at 81 FR 55133 on August 18, 2016, under section 5000C of the Internal Revenue Code relating to the 2 percent tax on payments made by the U.S. Government to foreign entities pursuant to certain contracts.
Exemptions from this excise tax must be claimed by an Offeror when it submits, with its offer/quotation/bid/proposal, a U.S. Department of Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available via the internet at www.irs.gov/w14. If not submitted with the offer/quotation/bid/proposal, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent on each payment. Failure to submit IRS Form W-14 with a payment request will also result in an automatic withholding of 2 percent from the payment request.
When filling out the IRS Form W-14 the following information may be used to complete Part I, Line 6 and 7:
Line 6 Contract / reference number: N4008424Q0005 Line 7 Name and address of the acquiring agency:
Naval Facilities Engineering Systems Command (NAVFAC) Far East City or town, state or province. Include postal code where appropriate Country (do not abbreviate)
Bldg. 1828, 1F, Tomari-cho, Yokosuka, Kanagawa, 238-0001 Country (do not abbreviate) Japan
Any exemption claimed and self-certified is subject to audit by the IRS. Any disputes concerning this tax are adjudicated by the IRS because the Section 5000C tax is a tax matter not a contract issue.
Offerors are encouraged to seek guidance from their own tax, legal, or accounting professionals for advice concerning the provision, clause, and the execution/submission of IRS Form W-14. Additional information is also available at:
https://pacific.navfac.navy.mil/Facilities-Engineering-Commands/NAVFAC-Far- East/About-Us/Contractors- Information/ However, offerors are advised to consult Title 26 U.S.C. 5000C and its implementing regulations at 26 CFR 1.5000C-1 through 1.5000C-7 (see FAR 29.402-3, 31.205-41(b)(8)) for specific details and/or updates.

Offerors are responsible for submitting files in the format specified consistent with requirements stated elsewhere in this solicitation. Files that cannot be opened, or are otherwise missing the required content are the responsibility of Offerors.
It is an Offeror’s responsibility, when transmitting its quotation electronically, to ensure the quotation’s timely delivery by transmitting the quotation sufficiently in advance of the time set for receipt of quotations to allow for timely receipt by the Government no later than the date and time stated in the solicitation. Offerors shall allow adequate time to upload files, which may be slower for non-DoD users, and to avoid other technical difficulties that may be encountered. An Offeror risks the late receipt and rejection of a quotation where it delays transmitting its quotation until the last few minutes before the time set for receipt of quotations. It is the responsibility of the Offeror to confirm receipt of quotations. Quotations that are received after the stated date and time in the solicitation shall be treated as late submissions and will not be considered except under facts and circumstances allowed by the Federal Acquisition Regulation (FAR).
9. LATE QUOTATIONS
Notwithstanding subparagraph (f) of FAR 52.212-1, the Government reserves the right to consider late quotations, modifications, and revisions if the Contracting Officer determines such considerations are in the best interest of the Government.
10. PRE-AWARD SURVEY
FAR 9.104 requires prospective contractors to demonstrate, among other things, that they have adequate financial resources to perform the contract or ability to obtain them, capability to comply with the required performance schedule, a satisfactory performance record, and be otherwise eligible to receive an award under applicable laws and regulations. The pre-award survey is not a part of the technical evaluation. The Government may make a pre-award survey of an offeror to determine whether such offeror is qualified and capable of performing the contract. The preaward survey will involve examination of the bidder's financial and technical status and understanding of the contract requirements. The following are examples of the information that, upon request, the offeror shall be required to provide in writing to the pre-award survey team. Requested information shall be forwarded within three days of request. Failure to provide requested information, or a determination, after review of the information, of the offeror’s nonresponsibility, may result in rejection.
a. Summary of the Offeror’s experience in providing the requested services/supply required by the specifications.
b. Current financial statements and data.
c. Past performance record of prior contracts for similar work, and the names and addresses of individuals with the organization issuing the contract who may be contacted for information concerning the Contractor’s performance.
d. The Government intends to evaluate each offeror’s past performance history in the Supplier Performance Risk System (SPRS) for the Federal supply class (FSC) and product or service code (PSC) of the supplies being purchased, in accordance with DFARS 213.106-2. In the case of a supplier without a record of relevant past performance history in the SPRS for the FSC or PSC of the supplies being purchased, the supplier may not be evaluated favorably or unfavorably for its past performance history.
52.212-2 Evaluation - Commercial Items NOV 2021
EVALUATION FACTORS FOR AWARD
This is a solicitation for commercial items and is issued as a Request for Quotation (RFQ) in accordance with FAR
13.106. The Offeror must be an authorized dealer and/or manufacturer. Written quotes are required (oral offers will not be accepted). Submission of quotes must be in accordance with FAR 52.212-1, Instructions to Offerors, Commercial Items. The Government will award a Purchase Order on the basis of the lowest priced offer. Since award of the Purchase Order will be based on initial responses, offerors are highly encouraged to quote their most advantageous pricing in their initial response. Award of the Purchase Order will be made using the Simplified Acquisition Procedures in accordance with FAR 13.106-2 and FAR 13.106-3(a).
Basis for Award: The Government will award a Purchase Order resulting from this solicitation to the responsive and responsible offeror whose quote conforming to the solicitation (i.e., meets all identified minimum mandatory characteristics identified for each item specified in Attachment 1: Specification – Mandatory Characteristics for each item being purchased under this solicitation) will be most advantageous to the Government at the lowest price. The following factor shall be used to evaluate quotes: price alone.
1. The Government reserves the right to eliminate from consideration from award any or all quotes at any time prior to award of the contract(s) that do not conform to the solicitation; to negotiate with offerors in the competitive range;
and to award Purchase Order(s) to the responsible offeror(s) submitting the lowest price quote(s) that conforms to the solicitation (i.e., meets all minimum mandatory requirements specified in Attachment 1: Specification – Mandatory Characteristics for each item being purchased under this solicitation).,
2. The Government intends to evaluate the quotes and award Purchase Order(s) without discussions with offerors (except clarifications as described in FAR 15.306(a)). The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.
3. The Government reserves the right to award each Line Item / Combination of Line Items as separate contracts to the offeror(s) representing the lowest priced quotation.
SUBMISSION REQUIREMENTS & BASIS OF EVALUATION,
(i) RFQ Submittal Requirements: The Offeror shall complete and submit the following in the order shown below:
a. Standard Form (SF) 1449 (Solicitation/Contract/Order for Commercial Items). Offeror shall complete blocks 17a, 30a, 30b, and 30c, and Item No. 0001 and 0002 of Section SF 1449—Continuation Sheet.
Quotations shall be priced in Japanese Yen ONLY. Quotations not priced in Japanese Yen will be considered non-responsive and will not be evaluated.
b. Acknowledgements of mendments (SF30), if any.
c. Completed Attachment 1: SPECIFICATION – MANDATORY CHARACTERISTICS for Each Item being Purchased under this Solicitation.
d. Completed Representations and Certifications of SF1449.
Note: The failure of an Offeror to complete and submit all of the aforementioned items (i.e., a, b, and c) will result in the Offeror’s quote being deemed non-responsive and ineligible for further consideration for award.
Submission of item d is strongly encouraged to facilitate responsibility assessment per FAR 9.104-1 and validate eligibility to receive an award.
(ii) Basis of Evaluation: The Government will evaluate price per Item No(s) that conform to the solicitation (i.e., meet all minimum mandatory requirements specified in Attachment 1: Specification – Mandatory Characteristics for each item being purchased under this solicitation) to determine fairness and reasonableness in accordance with FAR 13.106-3(a). Analysis will be performed by one or more of the following techniques to ensure a fair and reasonable price:
(1) Comparison of proposed prices received in response to the solicitation.
(2) Comparison of proposed prices with the Independent Government Cost Estimate.
(3) Comparison of proposed prices with available historical information.
(4) Comparison of market survey results.
Deviations from the RFQ minimum/mandatory requirements set forth in the RFQ and Attachment 1:
Specification –Mandatory Characteristics for each item being purchased under this solicitation are NOT allowed and an offeror's quote that deviates from the RFQ minimum/mandatory requirements will be determined non-responsive and not eligible for award.
AWARD OF PURCHASE ORDER
